# Aehr Test Systems insiders sold $62.5 million and bought nothing as the stock fell 32.3% in a month

> The AI burn-in darling fell 32.3% in a month on no company news, and retail is calling it a bargain. The Form 4 trail says the people closest to the company took $62.5 million off the table and bought nothing.

A 24-year-old investor [posted in a UK trading forum this week](https://old.reddit.com/r/trading212/comments/1x7v2o4/24m_when_will_it_end/) that [Aehr Test Systems](https://theinference.org/markets/companies/aehr-test-systems) has been "a blood bath," and that he has been "buying the dip but only have £240 left to invest" [3]. The thread drew 35 points and 78 comments, and the crowd is buying the fall [3]. The people running the company spent the year doing the opposite.

## The fall had a name: Titan HP

Aehr makes wafer-level test and burn-in systems, the machines that stress chips for hours before they ship, and its FOX systems now serve silicon carbide power chips, memory, processors and the photonics used in AI [4]. That story carried the stock from a 52-week low of $18.70 to a high of $147.40 [1].

Then it dropped 19% in the week to October 19 and 32.3% over the month, and was priced at $63.33 after a 4.5% bounce that day [1]. The visible catalyst, per Oppenheimer's note, was the selloff after [Teradyne](https://theinference.org/markets/companies/teradyne) launched its Titan [HP](https://theinference.org/markets/companies/hp) tester [4]. The company's own filing trail explains nothing: [the October 19 annual-meeting 8-K holds only routine vote counts](https://www.sec.gov/Archives/edgar/data/1040470/000165495426009056/0001654954-26-009056-index.htm), 32,659,546 shares entitled to vote, no business news [2].

## The receipts

GuruFocus [counts $62.5 million of insider selling over the past 12 months with no insider buying](https://www.gurufocus.com/news/9130637/is-aehr-test-systems-aehr-overvalued-after-45-rally-gf-value-says-overvalued), at a company that is still cash-flow negative [1]. The stock now trades at a forward P/E of 83.3x against a five-year median of 39.8x, more than double its own history, and GuruFocus pegs fair value at $22.02 a share [1].

EDGAR confirms the cadence: a single filing on August 14 reported $5.2 million of insider sales, with $2.2 million on August 5, $1.2 million and $758,264 also on August 14, and more through September and October [4]. [The Form 4 list on EDGAR shows a steady run of insider sale filings through the second half of the year](https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&CIK=0001040470&type=4&dateb=&owner=include&count=40), and no open-market purchase [6].

## The counterpoint, stated fairly

Oppenheimer, which initiated coverage at Outperform with a $120 target in September, called the post-Titan HP decline a buying opportunity on October 14; [Jefferies](https://theinference.org/markets/companies/jefferies) opened at Buy with a $175 target in August; and Aehr [booked a $6 million AI chip testing order on October 7 and a $22 million follow-on order in August](https://www.marketscreener.com/news/aehr-test-systems-shares-offer-buying-opportunity-after-titan-hp-selloff-oppenheimer-says-ce785dd2de8ef327) [4]. The consensus of six analysts is Buy with a $128 average target, roughly double the current price [4]. That is the bull case, and it is not thin.

But watch who is acting on which side of it. The analysts put names and targets on paper; the insiders took $62.5 million off the table at prices above today's [1]. The annual-meeting 8-K, the one mandatory public window into the company that week, added nothing [2]. The record shows one trade with conviction, and it was not the buy side.

## November 2 is the reading that matters

Aehr reports fiscal first-quarter results on November 2 [4]. That is where the AI order momentum either appears in revenue or does not. Until it does, a bounce off $63 is retail flow, not insider conviction [4].

## Takeaway

The stock is down 32.3% in a month on no company news, and the Form 4 record shows $62.5 million of insider selling with no buying; November 2 results are the first real test of the AI order story.
