# AES sits three cents under the $15 buyout; holding for the dividend pays five times the spread

> European, New York and Chilean approvals landed on 15, October 19 and 22, leaving AES three cents under the consortium's $15 cash offer. The October 30 dividend record date and November 3 earnings now sit inside the closing window, and the dividend is worth about five times the remaining spread.

[AES Corporation](https://theinference.org/markets/companies/aes), the Virginia-based power generator, cleared three regulatory gates for its $33.4 billion take-private inside a single week: [unconditional European Commission approval on October 15](https://www.gurufocus.com/news/9130624/the-aes-corporation-aes-secures-key-eu-and-new-york-regulatory-approvals-for-takeprivate-merger), a New York Public Service Commission no-review ruling on October 19, and [unconditional clearance from Chile's FNE antitrust regulator on October 22](https://energiafutura.cl/en/news/chile-antitrust-regulator-fne-clears-takeover-of-aes-owner-of-aes-andes-by-blackrock-gip-and-eqt) [1][2]. At $14.97 on October 23, the stock trades roughly three cents, or 0.2 percent, under the consortium's $15 cash offer [3]. What is left of this deal is a short calendar, not an investment thesis.

## Sellers get $14.97 today; holders wait for $15 plus a dividend

The buyers, a consortium led by Global Infrastructure Partners ([BlackRock](https://theinference.org/markets/companies/blackrock)'s infrastructure arm) and the EQT Infrastructure VI fund, with CalPERS and the Qatar Investment Authority as co-investors, pay $15 per share in cash, valuing the equity at $10.7 billion and the company at about $33.4 billion with debt [1]. Closing is expected between late 2026 and early 2027 [1]. Selling now collects $14.97 immediately and forgoes everything between now and payment; holding ties up capital for months against a three-cent gap [1].

## The dividend pays about five times the remaining spread

The calendar tilts that trade. AES pays a quarterly dividend of $0.17595 per share, [record date October 30](https://www.ad-hoc-news.de/boerse/news/nebenwerte/aes-sets-october-30-ex-dividend-date-for-aes-corp-stock/70377206), payment on November 13, about 1.2 percent on the current price [4]. That is roughly five times the 0.2 percent spread left to the offer, and it goes only to shareholders of record on October 30 [4]. Anyone who sold before this week's approvals collected $14.97 or less and gave up both the distribution and the closing payment [4].

## The tail risk is FERC, and it has named opponents

One material approval remains open. The sale is pending before the Federal Energy Regulatory Commission, which must judge whether the deal serves the public interest [6].

On September 28 a bipartisan group of lawmakers including Senator Elizabeth Warren [wrote to FERC Chairman Laura Swett asking it to reject the transaction](https://www.usnews.com/news/politics/articles/2026-09-29/exclusive-us-lawmakers-including-sen-warren-push-energy-regulators-to-reject-acquisition-of-power-company-aes), arguing private-equity return targets of 15 to 20 percent could pressure utility rates [6]. AES says no deal costs will reach ratepayers at its Indiana and Ohio utilities [6]. FERC's action, and the November 3 earnings print, both fall inside the closing window [5].

## Why $33.4 billion for a money-losing utility

GuruFocus rates AES unprofitable and cash-flow-negative [3]. The buyers are paying anyway because of AI's electricity demand. Chile's antitrust review shows the overlap directly: AES Andes runs 4,079 MW of Chilean capacity, including 756 MW of batteries, alongside GIP's renewables and Odata data centers and EQT's Zelestra and EdgeConneX, in a market the energy ministry projects will grow data-center demand from about 325 MW today to 1,200 MW by 2030 [1]. The offer prices that future; the spread, for the next few weeks, prices only the wait.

For shareholders, the decision is concrete: collect the October 30 dividend and the final cents by holding, or exit now at a 0.2 percent discount. FERC's ruling decides the tail.

## Takeaway

Three regulators cleared AES's $33.4 billion take-private in one week, leaving the stock three cents under the $15 offer. The October 30 dividend is worth about five times the remaining spread, and FERC is the one approval left.
