# Alphabet now guarantees $98.5 billion of other parties' AI bills, and shareholders stand behind it

> Alphabet's quarterly filing, submitted on October 29 hours after its earnings call and while the stock fell 12% in its worst session ever, lists about $98.5 billion of contingent guarantees beneath more than $1 trillion of purchase commitments and leases. Those are promises to pay if others stop paying, and they sit with the company's shareholders.

[Alphabet](https://theinference.org/markets/companies/alphabet)'s shareholders are now the ones standing behind its AI buildout. The [quarterly report filed on Thursday morning, October 29](https://www.sec.gov/Archives/edgar/data/1652044/000165204426000084/goog-20260930.htm), hours after the earnings call and while the stock fell 12% through its worst session since going public in 2004, erasing about $500 billion in market value [2], is where that backing is written down. It lists about $98.5 billion of contingent commitments, up roughly $23 billion in a single quarter [1][3]. Those sit beneath $924.4 billion of purchase commitments and $130.5 billion of leases that have not yet commenced [3].

## Almost half the contingent ledger is executed data-center backstops

None of the $98.5 billion is capital spending [3][4]. It is Alphabet promising to cover other parties' payments if they stop. The largest item is $48.0 billion of executed backstops with third-party data-center providers, covering their lease payments and energy costs; that figure stood at $16.9 billion at the end of 2025 [3][4].

Another $27.7 billion of backstops is promised but not yet in place [3]. The rest guarantees partners' purchases of long-lead power equipment on terms running to January 2049, and up to $6.6 billion covers TPU systems, Google's custom AI chips, which customers can return at a preset discount that the company says gives them no economic reason to do so [3][1].

*Chart: **Executed data-center backstops are most of the contingent ledger** Bar chart of Alphabet's contingent commitments as of September 30, 2026: executed data-center backstops $48.0 billion, promised future backstops $27.7 billion, power-equipment guarantees $16.2 billion and TPU buy-back exposure $6.6 billion.*

*Maximum potential future payments under contingent commitments, in billions of dollars, as of September 30, 2026, per Alphabet's Q3 Form 10-Q. The four items sum to the disclosed total of about $98.5 billion, which rose roughly $23 billion during the quarter. [3]*

## Part of the demand is a venture Alphabet part-owns

[Google Cloud's backlog of signed, unfulfilled contracts](https://theinference.org/article/pichai-says-google-cloud-forgoes-revenue-so-deepmind-gets-compute-first-a-514-billion-backlog-waits) reached $560.8 billion, from $513.9 billion in June [1]. Of that, $16.8 billion is a multiyear agreement with Crux AI, a data-center venture Alphabet formed in May with [Blackstone](https://theinference.org/markets/companies/blackstone), the private-equity firm [1][3]. Alphabet holds a minority stake and has pledged up to $10 billion of data-center and energy backstops; Blackstone has committed up to $5 billion of capital [3][4].

Bloomberg [calculates the deal drove more than a third of the quarter's backlog growth](https://www.bloomberg.com/news/articles/2026-10-29/alphabet-s-ai-risk-extends-beyond-1-trillion-filing-shows) [1]. The venture appears on both sides of the same report: as a customer inside the backlog, and as a borrower supported by Alphabet's guarantees.

## The cash cushion carries sale restrictions on its biggest position

Of Alphabet's $265.1 billion in cash and marketable securities, $75.2 billion is [SpaceX](https://theinference.org/markets/companies/spacex) stock under short-term restrictions on selling [1][3], the position we examined in [September, when we asked how far SpaceX's $2 trillion valuation runs ahead of its AI contracts](https://theinference.org/article/spacexs-2-trillion-valuation-runs-ahead-of-its-ai-contracts). The private holdings, mostly a stake Bloomberg identifies as [Anthropic](https://theinference.org/markets/companies/anthropic), added about $3 billion of paper gains this quarter [1]. The spring quarter produced $77.4 billion [1]; [we covered that windfall, and the halt on buybacks, on October 28](https://theinference.org/article/alphabet-bought-back-zero-stock-for-two-quarters-200-billion-of-capex-and-anthropic-take-the-cash).

## Free cash flow is negative, and the quarter ran on new debt

[Free cash flow came in at minus $9 billion](https://www.cnbc.com/2026/10/28/alphabet-googl-earnings-q3-2026.html) [5]. Analysts had penciled in $55.1 billion of capital spending; the quarter cost $51.4 billion, and Chief Financial Officer [Anat Ashkenazi](https://theinference.org/markets/people/anat-ashkenazi) said building inventory of TPU chips will strain cash flow further [5][6]. The gap was bridged with $28.7 billion of senior debt and $12.4 billion of at-the-market share sales [7]. Buybacks, $39.8 billion in the first nine months of 2025, sat at zero [3]. [Microsoft](https://theinference.org/markets/companies/microsoft), reporting the same evening, spent $45.2 billion on capital projects and still produced $18.6 billion of free cash flow [7].

*Chart: **On similar capex, Microsoft made free cash flow and Alphabet burned it** Column chart comparing Alphabet and Microsoft for the September 2026 quarter: Alphabet spent $51.4 billion on capital projects and produced minus $9 billion of free cash flow, while Microsoft spent $45.2 billion and produced $18.6 billion.*

*Chart: **Free cash flow went negative just as the guarantees piled up** Line chart of Alphabet's quarterly free cash flow from Q4 2023 to Q3 2026, positive through Q1 2026 and negative in the two most recent quarters.*

*Quarterly free cash flow in billions of dollars as reported in Alphabet's SEC filings; Q2 and Q3 2026 are the first negative quarters in this span, alongside a $560.8 billion cloud backlog. [9][5]*

## The analyst split runs through search monetization

Bernstein senior analyst Mark Shmulik [kept his Market Perform rating and cut his target to $325 from $385](https://www.businessinsider.com/alphabet-q3-earnings-reaction-revenue-miss-googl-stock-2026-10), writing that Google is probably an AI winner, but not yet [8]. Analysts at Citizens, led by Andrew Boone, downgraded the stock to Market Perform, calling search monetization challenged and flagging significant execution risk in moving ads from AI Overviews, Google's chat-style answers, to agents [8].

[Bank of America](https://theinference.org/markets/companies/bank-of-america) reiterated its buy and trimmed its target to $380 from $430, arguing that ads now arriving in international AI Overviews could lift growth as soon as the first quarter [8].

## Whoever fixes AI monetization earns the commitments

The bull case has substance: cloud revenue doubled to $30.7 billion [2][5], the Gemini app passed a billion users [2], and Chief Executive [Sundar Pichai](https://theinference.org/markets/people/sundar-pichai) called query growth the fastest in five years [1].

What repriced this week was where the risk sits, now printed with dates: AI Mode, Google's conversational search, monetizes below the classic results page, paid-click growth slowed to 8% from 13% as those queries grew, and ads inside AI Mode are only now reaching international markets [1].

When an AI query pays like a search query is the one number no filing carries, and it is the last link in this chain. The builder who closes that gap earns the trillion dollars of commitments; until then, the guarantees sit with Alphabet's owners.

## Takeaway

The 10-Q filed October 29 lists $98.5 billion of contingent guarantees under Alphabet's AI buildout, with free cash flow at minus $9 billion, buybacks at zero and $41.1 billion of new debt and equity bridging the gap.
