# American Express cut 5% of its workforce on a $336 million charge to prepare for AI agents

> American Express is cutting 5% of its workforce on a $336 million charge "to prepare for AI," days after a $350 million regulatory penalty for the controls that failed. Its real bet is the layer that proves what a cardmember meant before an AI agent pays.

[American Express](https://theinference.org/markets/companies/american-express) cut about 5% of its global workforce on October 23, and its chief financial officer, Christophe Le Caillec, said the reason plainly: to make the company "leaner, more agile, and also to prepare for AI" [1]. The cut is the smaller half of the story.

The same [earnings call](https://finance.yahoo.com/markets/stocks/articles/american-express-company-q3-2026-165810777.html) restated the whole company around one question: when an AI agent pays for a cardmember, who proves what the human actually meant? Amex is building that proof in public, and the record quarter announced alongside it is what makes the bet affordable [1][2].

## Banks are blocking rogue agents; Amex is registering them

Banks have a rogue-agent problem this week. Axios, relayed by [Mother Jones](https://www.motherjones.com/politics/2026/10/banks-ai-axios-agents-rogue-financial-decisions-security/), found unapproved AI agents operating inside customer accounts, sometimes against their owners' instructions, and [JPMorgan Chase](https://theinference.org/markets/companies/jpmorgan-chase), [Citigroup](https://theinference.org/markets/companies/citigroup) and [Bank of America](https://theinference.org/markets/companies/bank-of-america) are pushing agents back toward read-only access because bankers cannot reliably tell a customer's agent from a rogue one [3]. [Meta](https://theinference.org/markets/companies/meta)'s Muse agent reaches banks through Plaid logins that break most banks' rules [3].

## A token carries what the customer actually said

The sector's answer is blocking. Amex's answer is registration. Its [Agentic Commerce Experiences kit, out since April](https://www.nasdaq.com/press-release/american-express-debuts-agentic-commerce-experiences-acetm-developer-kit-and), verifies agents and issues payment credentials scoped to what the cardmember approved [4]. On October 13 it [added a Proof of Intent Token](https://www.marketscreener.com/news/american-express-publishes-intent-intelligence-framework-for-trusted-agentic-commerce-ce785dddde80f226), which carries the customer's authenticated instructions through every step of a purchase, so authorization, fraud checks and disputes all test against what the human said [5]. Agents reach Amex systems only through approved API or Model Context Protocol channels, chief executive Stephen Squeri said: "we're not going to let assistants run rogue through our system" [1].

## The record quarter pays for the pivot; the penalty prices it

Third-quarter revenue was a record $20.06 billion, and full-year profit guidance rose on the same call as the charge [1][2]. On October 8 the Office of the Comptroller of the Currency and the Federal Reserve issued [consent orders](https://www.marketscreener.com/news/american-express-statement-regarding-the-frb-and-occa-s-consent-orders-ce785ddfd18ff320) over Amex's financial-crimes compliance; the OCC's civil money penalty was $350 million, for systemic breakdowns in monitoring suspicious activity [6][7]. The restructuring charge is $336 million [1].

The company rebuilding money's guardrails for agents is the same company whose own monitoring failed for years, and its promised protection for registered agent purchases is still future tense, terms to come [4]. [Barclays](https://theinference.org/markets/companies/barclays) confirmed a similar 5% trim the day before; [the cuts are a sector pattern](https://theinference.org/article/jana-pushes-fiserv-to-deepen-cuts-and-hand-palantir-the-toll), the intent layer is not [1].

*Chart: **Record revenue landed the same week as the AI restructuring charge** Line chart of American Express quarterly revenue rising from $15.3B in Q3 2024 to a record $20.1B in Q3 2026.*

*Quarterly revenue, USD billions. Q3 2026 from CNBC; earlier quarters from American Express SEC filings. [1][8]*

## The bottleneck is proving what you meant

The bottleneck in [agentic commerce](https://theinference.org/article/ai-agents-got-their-own-national-bank-they-show-up-in-3-of-transactions) is not whether agents can buy; it is proving what the human meant.

That hop, not model capability, decides when a cardmember can safely hand a card to software, and Amex is further into building it than the banks now blocking agents [3][5]. If the layer holds, it deserves to own the flow; its compliance record is the discount on that claim [6]. The lesson for everyone else is already sitting in the API: state what you want precisely, because your intent is becoming the control the whole system runs on. Learn that now, before the agent asks you to confirm.

## Takeaway

The layoff is the small print: Amex is spending a record quarter on owning the intent layer of agentic commerce, and its fresh AML penalty is the discount on that claim.
