# Applied Digital's president and CEO bought $6.7 million of stock as JPMorgan's bond cut sent shares down 11%

> President Jason Zhang spent $5.7 million and CEO Wes Cummins $1.0 million on open-market shares on October 16. The purchases show where management thinks the equity is cheap; the coupon on the next bond deal decides whether the debt market agrees.

Two of the men who run [Applied Digital](https://theinference.org/markets/companies/applied-digital) bought its stock on the open market on October 16, inside the week JPMorgan cut the company's bonds [1][2]. President Jason Zhang paid about $5.7 million for 300,000 shares [1]. Chief executive and chairman [Wes Cummins](https://theinference.org/markets/people/wes-cummins) paid about $1.0 million for 55,803 [2]. [Both Form 4s, the SEC's insider-transaction filings](https://www.sec.gov/Archives/edgar/data/1144879/000190044526000006/0001900445-26-000006-index.htm), landed on October 19, and neither carries a 10b5-1 trading-plan flag, so both purchases were discretionary [1][2].

Read them as the men closest to the leases pricing their own equity in a week when the business did not change but the cost of funding it did [3]. The cash cannot settle the coupon lenders will demand on the next raise, and the discount now in the stock rests on that number [3].

## Why a bond downgrade knocked the stock down 11%

Applied Digital, based in Dallas, builds AI datacenter campuses, leases them to investment-grade hyperscalers, and borrows against rent that has not arrived yet [4][3]. [Its proxy](https://www.sec.gov/Archives/edgar/data/1144879/000149315226044325/formdef14a.htm) counts roughly $36 billion of contracted revenue, and the next three campuses, Polaris Forge 3 and Delta Forge 1 and 2, sit under 15-year take-or-pay leases with one tier-one hyperscaler [4][3].

[JPMorgan](https://theinference.org/markets/companies/jpmorgan-chase)'s analysts [cut the company's project-finance bonds to Neutral from Overweight](https://www.foreignpolicyjournal.com/2026/10/17/applied-digital-nasdaq-apld-stock-slides-4-as-jpmorgan-bond-downgrade-deepens-debt-funded-ai-builder-selloff/) during the week, citing the supply of new debt coming as it prepares to borrow again [3]. [The stock closed Friday at $18.05, down more than 11%](https://247wallst.com/investing/2026/10/15/data-center-stocks-tumble-as-financing-costs-draw-scrutiny-cipher-digital-tumbles-9-applied-digital-falls-6/) [5]. Cummins bought at $18.04, one cent below that close [2]. Zhang averaged $18.86 across the day's fills [1].

## The bigger bet came from the man who signs the leases

Zhang, a 34-year-old co-founder promoted to president in January, is paid on performance shares whose hurdles split between contracted revenue and ready-for-service delivery, the economics the market spent the week doubting [4]. OpenInsider, which compiles the SEC's insider filings, [counts no other purchase in the record back to late 2024](http://www.openinsider.com/apld) and puts Zhang's buy at a 12% addition to his stake [6].

Cummins' $1.0 million stands against about 23.5 million shares held directly and through family and investment vehicles [2][6]. His last comparable transaction was a January sale at $36.42 [6]. October's only other entry is director Richard Nottenburg, the compensation-committee chair, selling at $21.84 [6][4].

## What settles it is the next bond deal

The combined $6.7 million buys no concrete [1][2]. The last building was funded with [$1.59 billion of 7% senior secured notes](https://theinference.org/article/ai-debt-now-has-two-prices-15-for-coreweave-6-25-for-iron-mountain) [3]. The August quarter [burned about $2 billion of free cash flow](https://markets.financialcontent.com/stocks/article/stockstory-2026-10-7-applied-digital-nasdaqapld-beats-expectations-in-strong-q3-cy2026) [7]. Debt stood at $6.4 billion [3].

*Chart: **Debt has tripled in a year as the free cash flow burn widened** Column chart of Applied Digital's total debt and free cash flow by quarter from Q4 2025 to Q3 2026, with debt rising from $2.6 billion to $6.5 billion and free cash flow falling from negative $0.6 billion to negative $2.0 billion.*

The filings establish where the two executives see value [1][2]. The coupon on the Polaris Forge 3 and Delta Forge debt will show whether lenders agree [3]. Shareholders gather for the annual meeting on November 4 [4].

The executives have put their own cash behind the equity [1][2]. What the stock does next turns on what lenders charge for the debt, and no Form 4 tells you that [3].

## Takeaway

President Jason Zhang and CEO Wes Cummins bought $6.7 million of Applied Digital stock the week JPMorgan cut its bonds; whether they were early or late turns on the coupon of the next debt deal.
