# Arm's officers sold $62 million of stock as a judge weighs five years of Qualcomm royalties

> An October 20 lobbying filing puts Arm's Washington work on the same ground as its Delaware royalty fight: export controls, the Chip Security Act, chip design IP. Officers reported about $62 million of sales in six months with no purchases; the filings show some ran on schedules set months in advance, and some carry no such note.

## A lobbying filing on the Qualcomm battlefield

[Arm](https://theinference.org/markets/companies/arm) Holdings, the Cambridge chip designer behind the processors in most phones, [disclosed $130,000 of third-quarter lobbying on October 20](https://www.quiverquant.com/news/Lobbying+Update%3A+%24130%2C000+of+ARM+HOLDINGS+PLC+lobbying+was+just+disclosed) [1]. The filing lists export controls, the Chip Security Act (H.R.3447/S.1705) and "legislation focused on semiconductor design intellectual property" [1]. That is the ground of Arm's [Delaware fight with Qualcomm](https://theinference.org/article/qualcomm-asks-a-jury-to-let-it-stop-paying-arm-royalties-for-five-years), the phone-chip maker that licenses Arm's designs and pays royalties on them [2].

On October 13, [after a five-day trial, a jury found Arm breached its obligation to supply Qualcomm with software patches and tools](https://www.msn.com/en-us/money/general/delaware-jury-awards-qualcomm-2-in-damages-finds-arm-breached-license-agreement/ar-AA2easeB), and intentionally interfered with [Qualcomm](https://theinference.org/markets/companies/qualcomm)'s relations with [Meta](https://theinference.org/markets/companies/meta) Platforms [2]. Damages were $2 [2]. US District Judge Maryellen Noreika must still decide whether the breach lets Qualcomm stop paying royalties for five years, potentially worth billions, under a clause Arm argues is unenforceable [2] [3].

## The royalty line behind the $300 billion pitch

Royalties brought Arm $715 million of its $1.29 billion in fiscal first-quarter revenue, up 22% on the year [3]. The AGI CPU, Arm's first server-grade silicon, launched on March 24 with Meta as lead partner, and chief executive Rene Haas said on July 29 that demand "now exceeds $2 billion" [3].

*Chart: **Arm's revenue has climbed from $844 million to $1.29 billion in eight quarters** Line chart of Arm quarterly revenue, calendar Q3 2024 to Q2 2026, rising from $844 million to $1.29 billion*

*Arm's revenue by calendar quarter, billions of US dollars, from its SEC filings. Fiscal Q1 2026, ended June 30, 2026, is the latest reported quarter. [12]*

At the Open Compute Project Global Summit, an industry conference, Arm pitched a CPU market rising from $52 billion this year to $300 billion by 2030 and showed partner racks holding up to 336 CPUs [4]. Those rack benchmarks are modeled rather than measured [5].

## What the Form 4s say, and what they leave out

Quiver Quantitative's six-month table, built from [the Form 4 disclosures that every insider trade requires](https://www.sec.gov/Archives/edgar/data/1973239/000197323926000130/wk-form4_1789071754.xml), counts 29 sales and no purchases [1]. Chief legal officer [Spencer Collins](https://theinference.org/markets/people/spencer-collins) leads it at an estimated $19.8 million, and six officers combine for about $62.4 million [1].

*Chart: **Six Arm officers sold an estimated $62.4 million of stock in six months; the filings behind the total are mixed** Bar chart of estimated insider sale proceeds by Arm officer, six months to October 2026*

*Estimated proceeds of reported insider sales, April to October 2026, millions of US dollars; Form 4 data compiled by Quiver Quantitative. [1]*

Chief financial officer [Jason Child](https://theinference.org/markets/people/jason-child)'s two most recent sales, [10,400 shares at $255.33 on August 27 and 10,400 at $300 on September 21, each state they ran under a Rule 10b5-1 plan](https://www.sec.gov/Archives/edgar/data/1973239/000197323926000136/wk-form4_1790197563.xml), a schedule of automatic sales set months in advance, adopted on May 22 [6] [7]. The September 21 sale landed the day the stock jumped almost 15% [3]. Chief commercial officer [William Abbey](https://theinference.org/markets/people/william-abbey)'s June 1 sales, 2,644 shares at $383.73 and 3,922 at $415.52 near the stock's top, carry no plan footnote [8].

Chief accounting officer Laura Bartels's August 17 entry is marked code F, shares withheld to cover tax when units vested, which the form reports as a sale [9]. A Form 4 lists the sale; it says nothing about why.

## The institutions stood at June 30; the officers sold up to the trial

Second-quarter 13F filings, the quarterly snapshots of holdings that institutions file with the Securities and Exchange Commission, show 542 holders adding ARM shares and 357 trimming them [1]. [Invesco](https://theinference.org/markets/companies/invesco) added 9.86 million shares, about $3.5 billion, while [Morgan Stanley](https://theinference.org/markets/companies/morgan-stanley) halved its stake [1].

Those positions were fixed on June 30, before [the trial opened on October 5](https://theinference.org/article/qualcomm-v-arm-the-jury-returns-tuesday-but-the-judge-holds-the-1-5-billion-royalty-call) [3] and the verdict eight days later [2]. The latest dated officer sale, Child's on September 21, came two weeks before the trial opened [7]. The median of 15 recent analyst targets is $300, against the $255 close on October 13 [1] [3].

## What November 4 decides

Arm reports fiscal Q2 on November 4, guiding to $1.38 billion in revenue plus or minus $50 million, with royalty growth, by Child's estimate, closer to the high teens than the roughly 20% Arm had expected [3]. Noreika's ruling on the five-year clause remains open [2] [3].

The board has priced its own ambition. Shareholders approved on September 9 a 425,000-unit award for Haas that pays 25 percent if Arm's market value reaches $1 trillion by March 2029, 25 percent more at $1.5 trillion by 2030, and the remaining half only at $2 trillion by March 2031 [10] [11].

## Takeaway

Six Arm officers sold about $62 million of stock with no purchases in six months, some on pre-set 10b5-1 plans and some without a plan footnote, while Judge Noreika still holds the five-year Qualcomm royalty decision that could decide billions of Arm's future royalties.
