# Axiom leaves Flex with the growth, the CEO and a $4.4 billion debt clock

> The October 29 and 30 filings name the post-spin chiefs and show the EPC Power bill sitting on loans due October 13, 2027, that are expected to move to Axiom with the spin-off; a $2 billion preferred placement led by General Catalyst is the only scheduled relief. Fourteen of fifteen analysts still say buy.

## The split picks its chiefs

[Flex](https://theinference.org/markets/companies/flex) told investors on October 29 who runs each half [1]. [A proxy supplement](https://www.bullished.co/flex-names-its-post-spin-ceo-and-cfo-touts-54-growth-at-axiom-unit-01c18eba/) names Michael Hartung chief executive of the remaining Flex and Amy Schwetz its chief financial officer [1].

[Revathi Advaithi](https://theinference.org/markets/people/revathi-advaithi), Flex's chief executive, is the expected chief executive of Axiom, the new name for [the Cloud and Power Infrastructure segment set to leave in the first quarter of 2027](https://theinference.org/article/flex-s-ai-power-segment-grows-75-85-and-spins-off-as-axiom-with-vicor-s-itc-case-still-open) [2]. Her half is the growth engine: Axiom's revenue rose 54% year over year to $2.5 billion last quarter at a 10.7% adjusted operating margin, while the businesses staying with Flex grew 16% [1][3].

[The preferred-stock deal signed October 2](https://pulse2.com/axiom-secures-2-billion-convertible-preferred-investment-at-37-5-billion-enterprise-value/) puts a first price tag on the spinco: $2 billion from General Catalyst and Koch Equity Development, company-claimed at an initial enterprise value of $37.5 billion [2].

## One-year money rides with the spin

[The 10-Q filed October 30](https://www.stocktitan.net/sec-filings/FLEX/10-q-flex-ltd-quarterly-earnings-report-e258b2af5e46.html) shows how Axiom's newest asset was bought [4]. Flex closed its roughly $4.4 billion cash purchase of EPC Power on October 14, funding it the same day with a $3.3 billion term loan and a $1.1 billion bridge loan, both maturing October 13, 2027, and both expected to transfer to Axiom with the spin-off [4].

The $2.0 billion preferred placement would cut those loans if it funds before separation; until it does, Flex's finance chief [Kevin Krumm](https://theinference.org/markets/people/kevin-krumm) expects elevated interest expense [4][5].

The preferred pays a 10% annual cash dividend before the spin, stepping to 6% in cash or 7% paid in kind afterward [2]. The transfer terms are the new detail since [the loan package was reported on October 14](https://theinference.org/article/flex-funded-its-4-4-billion-epc-power-purchase-with-loans-due-october-13-2027-ahead-of-the-axiom-spin-off) [2].

Term loan of $3.3 billion and bridge loan of $1.1 billion drawn October 14, 2026, both maturing October 13, 2027, and both expected to transfer to Axiom at the spin-off; the $2.0 billion convertible preferred, agreed October 2, 2026, with General Catalyst and Koch Equity Development, is not yet funded and would reduce the loans if it funds before separation (hatched). ## The customer is also on the cap table

[Amazon](https://theinference.org/markets/companies/amazon), a customer of the cloud business Axiom courts, holds a warrant for up to 3,859,851 Flex shares at $51.29, with 0.1 million vested as of September 25 [4]; [the stock trades near $88.26](https://uk.finance.yahoo.com/quote/FLEX40681-USD/) [6].

One customer already took 14% of second-quarter net sales, most of it in the segment that leaves [4]. Asked on [the October 28 call](https://www.bullished.co/flex-ceo-on-axiom-customer-concentration-avoid-hyperscalers-and-youre-going-to-be-losing-b26d691d/) how holders should feel about two customers possibly reaching 60% to 70% of Axiom sales, Advaithi gave no percentages: "If you're not concentrated towards hyperscalers, you're going to be losing market share in this space" [3].

## What the bulls pay for, what the filings price

Fourteen of fifteen covering analysts rate Flex a buy, and the consensus target of $155.91 implies about 68% upside from the October 28 close [7]; [BofA](https://theinference.org/markets/companies/bank-of-america) Securities lifted its target to $162 on October 30 [8].

Second-quarter net sales were $8.491 billion, up 25%, with net income of $263 million against $199 million a year earlier [4]. Flex [raised its fiscal 2027 revenue outlook by about $950 million](https://www.bullished.co/flex-raises-full-year-revenue-outlook-by-about-950-million-half-from-epc-power-b8d081e0/) to $34.9 billion to $35.9 billion, roughly half the raise from EPC Power, and guides adjusted earnings of $4.84 to $5.16 a share [5].

*Revenue by fiscal quarter, US$ billions. Growth was 4 to 8% year over year through fiscal 2025, then accelerated to 20.6% and 24.8% in the last two quarters; the September 2026 quarter includes about six weeks of EPC Power, which closed October 14. The filings answer with six-month operating cash flow of $777 million, down from $852 million a year earlier, while purchases of property and equipment rose to $477 million from $283 million [4].

## The clock that prices the new stock

Innovation Day on November 10 puts both leadership teams on stage before the shareholder vote, a Singapore High Court review and the SEC's ruling on Axiom's Form 10 [1][4]. The tell is the preferred placement: funded before the spin closes, Axiom lists owing about $2.4 billion inside a year; unfunded, it lists owing $4.4 billion [1][4].

## Takeaway

Flex's October 29 and 30 filings name the post-spin chiefs and put $4.4 billion of loans due October 13, 2027 on track to move to Axiom with the spin-off; the $2 billion General Catalyst preferred placement is the only scheduled relief, and 14 of 15 analysts still say buy.
