# Bank of America doubles Marvell's credit line to $3 billion as AI shorts count $6 billion of paper profits

> An 8-K filed October 23 shows a Bank of America-led syndicate committing five years of undrawn credit to Marvell at 0.875–1.5% over SOFR, double the old line and expandable to $5 billion, with a covenant drafted for a $500 million-plus deal. The AI financing-freeze short case now has to explain that page.

## The bank desk lends where the short desk panics

On October 22, with AI infrastructure credit in free fall, [Marvell Technology](https://theinference.org/markets/companies/marvell), the custom AI-chip designer, signed [a new revolving credit agreement](https://www.sec.gov/Archives/edgar/data/1835632/000119312526430424/0001193125-26-430424-index.htm) with a syndicate run by [Bank of America](https://theinference.org/markets/companies/bank-of-america): $3 billion committed, five years, nothing drawn [1]. The 8-K reached the SEC the next morning, the same day ORTEX pegged October [paper profits for shorts in AI data-center stocks at about $6 billion](https://247wallst.com/investing/2026/10/23/short-sellers-just-made-6-billion-betting-against-ai-data-center-stocks/), with [CoreWeave](https://theinference.org/markets/companies/coreweave), the GPU-rental bellwether, down roughly 36% and [Nebius](https://theinference.org/markets/companies/nebius) down 33% since September 30 [2].

Marvell did not escape the rout either; its own shares fell 17.2% across five sessions into October 16 [3].

## The fine print expects a deal

The new line replaces a $1.5 billion revolver dated June 30, 2025, and doubles it, with an accordion to add $2 billion more and an option to extend a year [1]. The covenant is the tell: leverage capped at 4.00 to 1.00, stepping up to 4.50 for the quarter Marvell closes an acquisition of at least $500 million, and the three quarters after [1]. Nobody drafts that step-up for decoration, and the whole option costs 0.075–0.20% a year on unused capacity [1].

*Chart: **Marvell doubled its committed bank line to $3 billion, with a path to $5 billion** Bar chart of Marvell's committed revolving credit capacity: $1.5 billion under the June 2025 facility, $3 billion under the October 2026 facility, $5 billion including the accordion.*

*Committed revolving credit capacity under signed agreements; the accordion is an option exercisable subject to conditions, not committed money. Source: Marvell 8-K, October 23, 2026. [1]*

## The spread is the credit market's ranking

Marvell pays 0.875–1.5% over term SOFR, the floating-rate benchmark, depending on its debt ratings [1]. Nebius signed a $3.5 billion [Citi](https://theinference.org/markets/companies/citigroup) facility the same week at SOFR plus 2.75%, capped at 3.50%, maturing in 364 days [2]. The bond market charges CoreWeave roughly 15% to borrow and Marvell at most 1.5 points over the base rate; that gap is the market's ranking of who gets paid in this buildout [2]. Marvell backs its side of the trade with $3.9 billion of cash against $5.0 billion of debt [7].

*Chart: **Banks charge Marvell at most 1.5 points over SOFR; Nebius starts at 2.75** Column chart comparing margin over SOFR on two facilities signed the same week: Marvell's five-year revolver at 0.875 to 1.5 percentage points, Nebius's 364-day facility at 2.75 to 3.50.*

*Margin over Term SOFR, percentage points, on facilities signed the same week of October 2026; Marvell's band is set by debt rating, Nebius's floor rises to a 3.50% cap. Sources: Marvell 8-K, October 23, 2026; 24/7 Wall St., October 23, 2026. [1][2]*

## The freeze camp still has real ammunition

Demand has not vanished: [Anthropic](https://theinference.org/markets/companies/anthropic), the frontier AI lab, [reported $16.8 billion of third-quarter revenue](https://www.cnbc.com/2026/10/15/whats-behind-the-sell-off-in-ai-neocloud-stocks-like-coreweave-and-nebius-.html), up 45% from the second quarter, though growth has halved from 140% earlier in the year [4]. And new bank money did not save Nebius; the stock fell 7.2% the day the Citi facility landed [2].

An undrawn revolver is an option, not cash, and in a stress its lenders can terminate commitments and accelerate ahead of bondholders [1]. Marvell also trades at 77.4 times trailing earnings on the fiscal 2028 target of about $20 billion [The Inference covered it on October 6](https://theinference.org/article/marvell-lifts-2028-to-20-billion-while-broadcom-lends-anthropic-up-to-42-billion-for-the-same-demand), a number that needs trailing revenue of $9.45 billion to double, and a Google warrant that could add roughly 59 million shares on top [3][5][6].

*Chart: **Marvell's revenue must more than double to reach its fiscal 2028 target of $20 billion** Column chart of Marvell's annual revenue from fiscal 2020 to fiscal 2025, rising from $3.0 billion to $8.2 billion, against a fiscal 2028 target of about $20 billion shown as an estimate.*

*Annual revenue, fiscal years ending late January or early February; fiscal 2028 is the target Marvell raised in October 2026, not a reported figure. Sources: Marvell SEC filings; Reuters, October 6, 2026; Trefis via Yahoo Finance, October 19, 2026. [8][5][3]*

## The first test lands on November 30

Marvell's fiscal quarter closes at the end of October and its report is expected on or around November 30, against guidance of $3.15 billion, plus or minus 5% [3]. From there, two filings decide what the capacity is for: a draw on this revolver, or an acquisition big enough to trip the 4.50x step-up [1]. Until one lands, the financing-freeze shorts have momentum across AI hardware, everywhere except the one page where a bank syndicate just signed five years against them [1].

## Takeaway

A Bank of America syndicate doubling Marvell's revolver to $3 billion, at a fraction of the rate neoclouds pay, is the credit market voting against the AI financing-freeze short case; the covenant's acquisition step-up says what the capacity is for.
