# Brussels says KKR misled it to clear the $24.7 billion Telecom Italia network deal; KKR denies

> The European Commission's preliminary view is that KKR at least negligently supplied incorrect or misleading information to clear its €22 billion purchase of Telecom Italia's fixed network in 2024. If the view holds, EU rules allow a fine of up to 1% of worldwide turnover or even revocation of the clearance; KKR denies the allegations and the clearance stands for now.

On October 19 the European Commission sent KKR, the private equity firm, [a Statement of Objections](https://www.datacenterdynamics.com/en/news/virgin-media-o2/): its preliminary view is that [KKR](https://theinference.org/markets/companies/kkr-and-co), at least negligently, supplied incorrect or misleading information to win approval of its €22 billion ($24.7 billion) purchase of Telecom Italia's fixed network in 2024 [1]. That approval was won on a promise about wholesale terms, and Brussels now says the promise was wrong. The case prices what a private equity firm's assurances to a regulator are worth, and KKR's shareholders are the ones holding the exposure.

## The clearance rested on one assurance

During the 2024 review the Commission said it had serious doubts, after operators warned that the network's new owner could restrict rivals' access to its ducts and fibre [2]. KKR's answer was specific: the long-term agreements giving rivals wholesale access to the network would remain in force, and FiberCop, the company now running Italy's last-mile copper and fibre grid, could not change their terms unilaterally [2][3].

[The deal was cleared unconditionally on May 30, 2024](https://www.msn.com/en-us/money/economy/kkr-faces-potential-eu-fine-over-information-provided-during-italian-broadband-acquisition-review/ar-AA2fzDIo), on the strength of those submissions [3]. Rivals then complained that FiberCop raised their access prices on its own after closing, in some cases significantly, and the Commission opened a formal investigation on July 24, 2025 [1][3].

## An upheld finding can reopen a closed deal

EU merger rules allow a fine of up to 1% of aggregate annual worldwide turnover for negligently supplied incorrect information, and they allow Brussels to revoke a clearance that rested on it [3][4]. There is no statutory deadline; KKR answers in writing and can request a closed hearing in the coming months [3][5]. KKR says it [stands by the accuracy of what it provided in 2024](https://www.msn.com/en-us/money/companies/kkr-charged-with-misleading-eu-regulators-over-telecom-italia-network-deal/ar-AA2fz8YM) and will vigorously challenge the allegations, and the clearance remains valid until a final decision [1][5].

## Italy's regulator freed FiberCop's tariffs first

The price rises have an Italian mechanism behind them. In March 2026 the Italian watchdog AGCOM [classified FiberCop as a wholesale-only operator](https://www.reuters.com/business/italys-tim-files-complaint-against-kkr-backed-grid-operator-over-tariffs-sources-2026-06-24/) and dropped cost-oriented price controls across most of the country, giving it freedom to set tariffs [6]. Telecom Italia (TIM), the listed incumbent, sold the network in a restructuring meant to cut its debt by €14 billion [6].

It now pays about €2 billion a year for capacity on the grid it once owned, and it has sued FiberCop in Milan over tariffs that a source says add dozens of millions of euros a year to its costs [6]. KKR's defense now writes itself: prices moved under an Italian regulatory ruling rather than any unilateral rewrite, and the written reply has to show that satisfies Brussels.

| Date | What happened |
| --- | --- |
| May 30, 2024 | The Commission clears KKR's €22 billion purchase of Telecom Italia's fixed network unconditionally, on the strength of KKR's wholesale access assurances |

| March 2026 | AGCOM classifies FiberCop as a wholesale-only operator and drops cost-oriented price controls across most of Italy |
| June 24, 2026 | Telecom Italia files a complaint against KKR-backed FiberCop over network tariffs |
| October 19, 2026 | The Commission sends KKR a Statement of Objections over incorrect or misleading information supplied in the 2024 review; KKR denies the allegations |
| November 9, 2026 | KKR's earnings call, where investors expect the question to land |

## The stock now has to price a regulator's trust

KKR [closed at $89 on October 20](https://www.marketscreener.com/news/kkr-faces-eu-probe-over-information-provided-in-2024-netco-acquisition-review-ce785cdbdb80f021), down 30% this year, against a consensus analyst target near $122, and the question lands on its November 9 earnings call [7]. The firm managed nearly $640 billion of assets in 2024, and its engine is [buying regulated infrastructure](https://theinference.org/article/blackrock-s-33-billion-utility-buyout-got-two-answers-ohio-drew-a-line-indiana-kept-billing), the category Europe needs for its network and computing buildout [7].

A formal finding that it misled a regulator would raise the price of every European clearance it needs after this one. The fine is capped; that cost is not. Wholesale terms also feed what Italian households pay for broadband [2], so the case reaches Italian bills as well as KKR's valuation.

## Takeaway

If the EU's preliminary finding stands, KKR faces a fine of up to 1% of worldwide turnover and even revocation of its 2024 clearance for Telecom Italia's network, and a costlier path through every future European review.
