# Bumble sells to Ithaca for $1.3 billion at $6.05 a share, about a tenth of its 2021 listing value

> The dating app agreed on Tuesday to a $1.3 billion take-private by two Silicon Valley operators, at roughly double the pre-talks price but a fraction of its 2021 listing value. The buyer is betting private capital can ship the AI product public investors refused to fund.

[Bumble](https://theinference.org/markets/companies/bumble) agreed on Tuesday to a [$1.3 billion all-cash sale](https://techcrunch.com/2026/10/13/bumble-agrees-to-a-1-3b-acquisition-deal-as-online-dating-faces-a-reset/) to Ithaca Holdings, the investment firm of Sequoia partner Ravi Gupta and former [Meta](https://theinference.org/markets/companies/meta) revenue chief John Hegeman [1][2]. Holders of each Class A share receive $6.05, roughly double the unaffected price before takeover reports surfaced on Monday [3]. That still leaves the buyer paying about a tenth of the valuation [Bumble](https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&CIK=0001830043) carried at its 2021 listing [1]. The point is simple: public investors stopped funding Bumble's AI-dating pivot, and two operators are betting private capital that it works off-stage.

## A price set by a shrinking base

The discount reflects the fundamentals. [June-quarter revenue fell 15% year over year](https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&CIK=0001830043) [1], and the paying base has shrunk to about 3.2 million users [1]. Before the deal reports, the stock had lost more than 90% from its listing peak [2].

*Chart: **Bumble revenue has fallen year over year for eight straight quarters** Line chart of Bumble quarterly revenue declining from 275.5 million dollars in Q3 2023 to 210.5 million dollars in Q2 2026.*

*Quarterly revenue in US$ millions, Q3 2023 through Q2 2026, from Bumble's SEC filings; the deal was announced October 13, 2026. [4]*

## The thesis public investors refused to pay for

Founder Whitney Wolfe Herd, back as chief executive since 2025, [told investors Bumble is building a "revolutionary" AI product](https://www.businessinsider.com/bumble-going-private-ithaca-holdings-new-ceos-whitney-wolfe-herd-2026-10) to move past the swipe [2]. Raymond James analyst Andrew Marok had "real doubts" about the product's delays, per an August note [2]. Trace the chain and it breaks at one link: the AI capability exists, the dating product built on it does not, and payers left while the build ran late [1]. That missing link is what Ithaca is buying, with a stated mission of creating "lasting value in a world transformed by AI" [2] and no public-market deadline to answer to [1].

## Who wins, and who carries the risk

Public shareholders get a cash exit at a price the market had stopped offering [3], though part of the pop was paid by the leak itself: [shares jumped almost 50% on Monday when the talks surfaced](https://www.bbc.co.uk/news/articles/cm9qzwjgnjxlo) [5]. Blackstone, the private equity firm that sponsored the listing, was already on track to sell its whole position by mid-2027, and the deal hands it a premium window [2]. Wolfe Herd recused herself from the vote on her own sale and stays involved beside her buyers [1]. The risk now sits with Ithaca's capital, on the same thesis that failed in public markets. The difference is who holds it: Gupta came up through Instacart's C-suite, Hegeman ran Meta's revenue, and they will be the first men to run Bumble since it listed [2].

## The trade from here

No shareholder vote is needed: [Blackstone and Wolfe Herd affiliates have already approved by written consent](https://www.msn.com/en-us/news/other/bumble-agrees-to-13-billion-all-cash-acquisition-by-ithaca-holdings-at-605-per-share/ar-AA2e9tKA) [6]. No closing date was disclosed, and Bumble will skip its Q3 earnings call, filing its 10-Q by November 9 instead [6]. By Tuesday the stock traded within pennies of the offer [7]. What remains for holders is the spread to the offer against closing risk, and that spread is the whole case.

## The test is now shipping

Read as a marker, the deal moves the AI-dating thesis from public promise to private capital. AI will change how people meet; nobody has yet turned that capability into a product single people pay for, and the delay is why a shrinking Bumble sold so cheap. Ithaca bought the right to attempt that build away from the quarterly reckoning. The test is shipping, and the burden of proof is theirs.

## Takeaway

Public holders get $6.05 a share, about double the leaked price and a tenth of the 2021 listing value; the AI-dating build now has to ship on Ithaca's private capital.
