# Ciena Promised 30% Growth Through 2029. Four Executives Sold $2.6 Million of Stock Mid-Slide.

> Ciena set a fiscal 2029 roadmap of 30% annual growth and near-doubled margins on September 16. Four weeks later its optics peers lost a quarter of their value on buyer funding fears, four Ciena officers sold $2.6 million of stock mid-slide, and one filing carries a plan date that trails the trades it covers.

[Ciena](https://theinference.org/markets/companies/ciena) chief executive Gary Smith [sold 2,952 shares for about $1.0 million on October 15](https://www.sec.gov/Archives/edgar/data/936395/000103255326000045/0001032553-26-000045-index.htm), and three top deputies sold the same day: Chief Strategy Officer David Rothenstein, $870,000; Chief Product and Technology Officer [Brodie Gage](https://theinference.org/markets/people/brodie-gage), $413,000; Chief R&D Officer [Dino DiPerna](https://theinference.org/markets/people/dino-diperna), $309,000. All four Form 4 filings hit EDGAR on October 19 [1][2][3][4]. They landed the same evening a recap of Ciena's three-year targets was still circulating: roughly 30% annual revenue growth through fiscal 2029, a 50% gross margin, free cash flow near 20% of revenue [5].

## The promise on the table

CFO Marc Graff [set those targets at Ciena's investor forum at its Ottawa research campus on September 16](https://www.streetinsider.com/Business+Wire/Ciena+Announces+Fiscal+Year+2029+Financial+Targets/27069614.html): revenue compounding about 30% a year from fiscal 2026 through 2029, adjusted gross margin near 50%, adjusted operating margin of 32% to 35%, and reporting reorganized into four segments from fiscal 2027 [6]. On the $6.42 billion fiscal 2026 revenue guide, that path ends near $14 billion [7]. The quarter behind the promise was the company's best: $1.67 billion of revenue, up 37% year over year, and [an $8.5 billion backlog that Smith projected would clear $10 billion by fiscal year end](https://247wallst.com/investing/2026/09/16/ciena-climbs-4-as-10b-backlog-outlook-outweighs-month-long-slide-arista-and-cisco-edge-higher/) [7][8].

*Chart: **Ciena's revenue swung from decline to 37% growth in three years** Line chart of Ciena quarterly revenue by fiscal period-end month from October 2023 through August 2026, rising from $1.13 billion to $1.67 billion, with year-over-year growth swinging from negative 19.6% to 37%.*

*Quarterly revenue in US dollars, Ciena fiscal quarters shown by period-end month, from Ciena's SEC filings, retrieved October 20, 2026. The quarter ended August 1, 2026, is fiscal Q3 2026, up 37% year over year. [11]*

*Chart: **The margin promise asks operating margin to nearly double by fiscal 2029** Bars chart comparing Ciena's fiscal Q3 2026 GAAP margins with its fiscal 2029 adjusted targets: operating margin from 18% GAAP to a 32 to 35 percent adjusted target, gross margin from 45.4% GAAP to about 50% adjusted.*

*Percent of revenue. Fiscal Q3 2026 (ended August 1) GAAP margins from Ciena's SEC filings, retrieved October 20, 2026. Fiscal 2029 adjusted targets are guidance from Ciena's September 16, 2026, announcement; the operating-margin bar plots the midpoint of the stated 32 to 35 percent range, the gross-margin bar the stated approximately 50 percent. Adjusted and GAAP measures are not directly comparable. [11][6]*

## The complication is the buyers' money

On October 12 in Singapore, [Broadcom](https://theinference.org/markets/companies/broadcom) CEO [Hock Tan](https://theinference.org/markets/people/hock-tan) [told the DBS conference that access to capital, not chip shortages, may become the bigger constraint on AI expansion](https://247wallst.com/investing/2026/10/14/applied-optoelectronics-dives-9-as-ai-funding-fears-hit-optical-stocks-coherent-slides-7-lumentum-drops-7/); [Intel](https://theinference.org/markets/companies/intel) CEO Lip-Bu Tan pointed to rising borrowing costs and uncertain returns on AI spending [9]. [A trader tally on October 17](https://x.com/tengyanAI/status/2111475800994422880) put the five-session damage at roughly 31% for Applied Optoelectronics, 26% for Ciena and 25% for [Coherent](https://theinference.org/markets/companies/coherent), after a hot CPI print of 3.7% [10]. A backlog is an order book; the buyer's funding decides when it turns into revenue.

*Chart: **Five sessions cut the AI optics names by about a quarter** Bars chart of five-session share-price declines through October 17, 2026: Applied Optoelectronics about 31%, Ciena about 26%, Coherent about 25%.*

*Share-price change over the five trading sessions through October 17, 2026, from a trader tally posted on X, after a hot CPI print of 3.7%. Figures as posted, roughly rounded. [10]*

*Chart: **Four Ciena officers sold $2.6 million of stock on October 15** Bars chart of October 15, 2026, insider sales by Ciena officers: Gary Smith $1.03 million, David Rothenstein $870,000, Brodie Gage $413,000, Dino DiPerna $309,000.*

*Dollar value of October 15, 2026, sales of Ciena common stock by four officers, share counts times the weighted average prices in their Form 4 filings on EDGAR, filed October 19, 2026. [1][2][3][4]*

## What the filings actually say

The sales went through at weighted prices of $344 to $348, about 22% below [the October 6 close of $443.65](https://financefeeds.com/ciena-cien-stock-forecast/), a level reached after a 29% run in seven sessions [left Ciena near 99 times trailing earnings](https://theinference.org/article/ciena-jumped-13-8-on-no-news-then-an-unpriced-openreach-win-the-stock-is-at-100-times-earnings) [7]. The stock sat at $348.80 [when the recap ran on October 19](https://embers.news/article/ciena-targets-30-revenue-cagr-through-fiscal-2029-156231), so these were not top-tick sales [5]. The per-share figures on the filings are weighted averages across each officer's October 15 sales, not single prints (Smith's lot ranged from $333.59 to $357.51); the chart's dollar totals are share counts times those averages, which is how the four bars add to about $2.6 million [1][2][3][4]. Three transactions ran under 10b5-1 plans, preset schedules adopted before the sellers knew of material news, dated 2025 and months before the targets: Smith's October 4, Rothenstein's October 10, Gage's July 1 as modified December 23 [1][2][3]. [DiPerna's footnote dates his plan to October 16, 2026, one day after the sales it covers](https://www.sec.gov/Archives/edgar/data/936395/000199846026000016/0001998460-26-000016-index.htm); since a plan predating the trades is what makes a 10b5-1 defense work, that as-filed date is worth a second look [4]. Trailing twelve months of insider sales already ran about $97.7 million before this cluster [7].

## The defense, stated fairly

The plans are procedural and mostly clean: most predate the targets by months, and the filings note the reported shares include unvested RSUs and PSUs, routine compensation mechanics [1][2][3]. Wall Street has not blinked: [Evercore](https://theinference.org/markets/companies/evercore) ISI upgraded Ciena to Outperform at $550 on September 21, within a Street range of $347 to $660 [7]. But a trading plan cannot fund the customers. If cloud and carrier budgets tighten, the 30% path slips and the margin promise follows.

## The tell: December's backlog test

Ciena reports fiscal Q4 in December with its first fiscal 2027 outlook [8]. Two numbers decide it: whether year-end backlog clears the promised $10 billion, and whether the fiscal 2027 guide holds 30% [8]. Guidance already prices the climb: Q4 calls for a 20% adjusted operating margin, below the record 22.5%, against a 2029 target of 32% to 35% [7]. The tell is not the order count. It is the money behind it.

## Takeaway

Four Ciena officers sold $2.6 million of stock on October 15 at $344 to $348, about 22% below the October 6 peak; three sales ran under 10b5-1 plans adopted in 2025, while one filing dates its plan a day after the sales it covers. The plans cannot fund the buyers: December's backlog and fiscal 2027 guide decide whether the 30% path holds.
