# Decagon hires a bank, and the takeout math starts near $13 billion

> The AI customer-support agent company marked at $4.5 billion has hired a bank and held early talks with ServiceNow. This year's two comparable AI takeouts cleared at just under three and more than six times the sellers' last marks.

[Decagon](https://theinference.org/markets/companies/decagon), the San Francisco company whose AI agents handle customer support for Delta, Snapchat and Ticketmaster, has hired an investment bank to evaluate acquisition interest and has held early discussions with [ServiceNow](https://theinference.org/markets/companies/servicenow) and other buyers, [according to a October 13 report](https://www.businessinsider.com/ai-agent-company-decagon-hired-investment-bank-acquisition-interest-2026-10) [1]. If no deal materializes, the company could instead raise a new round [1].

## The founders have sold before, and the market now pays up

Chief executive Jesse Zhang and chief technology officer Ashwin Sreenivas founded Decagon in 2023; Zhang's previous startup, Lowkey, went to Niantic in 2021, and Sreenivas sold Helia to [Scale AI](https://theinference.org/markets/companies/scale-ai) in 2020 [2]. A $250 million Series D in January, led by Coatue and Index Ventures, tripled Decagon's valuation to $4.5 billion [2], and it has raised more than $400 million in total from investors including Andreessen Horowitz, Bain Capital Ventures and Accel [1]. Rival [Sierra](https://theinference.org/markets/companies/sierra), run by Bret Taylor, was valued at $15.8 billion earlier this year [1].

Buyers have stopped paying private marks, though. [Nvidia](https://theinference.org/markets/companies/nvidia) [agreed in August to pay $12.9 billion for Hugging Face](https://techcrunch.com/2026/08/26/nvidia-closes-in-on-hugging-face-acquisition/), last valued at $4.5 billion in 2023 [3]. Stripe [agreed to pay more than $8 billion for OpenRouter](https://www.forbes.com/sites/janakirammsv/2026/08/19/stripe-bets-over-8-billion-on-openrouters-ai-model-traffic/), valued near $1.3 billion as recently as May [4]. Those deals cleared at just under three times and more than six times the sellers' last marks; the same multiples on Decagon imply roughly $13 billion to $28 billion. That is arithmetic from the two precedents, not a quote: no price for Decagon is on the record.

*Chart: **AI assets are clearing at $8 billion and up; Decagon is still marked at $4.5 billion** Bar chart comparing the $15.8 billion Sierra valuation, the $12.9 billion Nvidia-Hugging Face deal, the $8 billion Stripe-OpenRouter deal, the $7.75 billion ServiceNow-Armis deal and Decagon's $4.5 billion last mark*

*Agreed acquisition prices and latest reported private valuations, billions of US dollars. OpenRouter is reported at more than $8 billion; Sierra and Decagon are private marks, not deals. [1][3][4][5]*

## The named payer has been punished for exactly this

ServiceNow [closed its $7.75 billion Armis security acquisition](https://www.techtimes.com/articles/325759/20260827/servicenow-ai-revenue-crosses-1b-non-seat-deals-hit-50-new-business.htm) on April 20 [5], after a stock slide in which February's software selloff wiped about $285 billion from software valuations in two days and left ServiceNow down more than half from its high by April [5]. Amortization from Armis and the Veza identity deal then cut second-quarter GAAP operating income to $162 million from $358 million a year earlier, a 55 percent drop, on revenue of $3.99 billion [5][7]. [A October 2 downgrade to Sell](https://seekingalpha.com/article/4951559-servicenow-no-progress-on-margins-and-fully-valued-rating-downgrade) argued the growth is acquisition-led rather than organic [6].

*Chart: **ServiceNow's GAAP operating margin collapsed the quarter the Armis deal closed** Line chart of ServiceNow's GAAP operating margin across ten quarters, falling from 13.3 percent to 4.1 percent in the quarter the Armis deal closed*

*ServiceNow's GAAP operating margin collapsed the quarter the Armis deal closed [5][7]*

## The case that the buyer can afford it

The same quarter carried the recovery: AI contract value crossed $1 billion, up more than 40 percent from the first quarter, and half of net-new business no longer depends on human seats [5]. Forty-four of 49 analysts rated the shares Buy in August [5], and they traded near $140 on October 13 [6]. Early talks also die; Hugging Face's agreement was unsigned and close to collapse when first reported, and it held anyway [3].

## The number that decides the trade

ServiceNow [reports third-quarter results around October 28](https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&CIK=0001373715) against a subscription-growth guide near 20.5 percent, down from 24.5 percent [5]. Until then the Decagon tell is the multiple: at Hugging Face's 2.9 times, the bill is about $13 billion; at OpenRouter's six, it nears $28 billion [3][4].

## Takeaway

This year's two comparable AI takeouts cleared at just under 3x and more than 6x the sellers' last private marks; applying those multiples to Decagon's $4.5 billion mark implies a $13 billion to $28 billion bill, and the named buyer just saw deal amortization cut its operating income 55 percent.
