# Disney's Character.AI bill: $180 million for the people, $20 million for the tech

> Chapter 11 filings put the payroll for 66 Character.AI engineers at $180 million over three years, against a $20 million license for the technology. The split is the clearest price yet on where value sits in consumer AI.

Disney's price for Character.AI is public now, and almost all of it is payroll. The [Chapter 11 filings](https://finance.yahoo.com/technology/ai/articles/character-ai-initiates-voluntary-chapter-035000862.html) disclose $20 million for a perpetual, non-exclusive license to parts of the bankrupt chatbot company's intellectual property [2]. The rest of the bill is people: [$180 million of expected pay and retention for 66 engineers over three years](https://www.businessinsider.com/disney-pays-60-million-characterai-employees-tech-layoffs-karandeep-anand-2026-10) [1]. In consumer AI the artifacts are cheap and the team that shipped them is expensive, and this week Disney wrote that fact into a court record.

*Values in millions of US dollars. Character.AI's last venture round, led by Andreessen Horowitz, valued the company at $1 billion; Disney's Chapter 11 bid prices a three-year pay-and-retention package for 66 engineers at $180 million and a perpetual, non-exclusive technology license at $20 million. ## Character.AI kept its users and lost the money

The company filed for Chapter 11 in Delaware on October 12 to run a court-supervised sale, with [Disney's opening bid setting the floor for rivals](https://theinference.org/article/disney-s-20-million-character-ai-bid-faces-40-state-attorneys-general-over-children-s-chat-histories) [2]. Users were never the problem: [active users spend an average of two hours a day talking to its characters](https://www.msn.com/en-us/money/general/us-states-seek-children-s-data-protections-in-character-ai-bankruptcy/ar-AA2efklf) [3].

The company told the court it was losing $8–9 million a month to legal bills, computing costs and the high price of AI talent, and that it feared its engineers would walk away by late summer [3]. Disney stepped in and hired most of the staff in September, and most of the offered engineers have already resigned, with ten waiting on US visa updates [1]. The startup was killed partly by the same talent prices Disney is now paying.

## Disney is buying the craft of making characters answer back

Karandeep Anand ran Character.AI until mid-September, when Disney hired him as its first companywide chief technology officer [1]. [His first memo to staff](https://www.businessinsider.com/disney-tech-chief-first-memo-strategy-ceo-josh-damaro-2026-10) called media "at an inflection point" and said Disney was "uniquely positioned to win" [4]. The match is the strategy: companion AI is proven craft at holding attention, and Disney owns the characters the world already loves, the ones it sent a cease-and-desist to protect from Character.AI's unauthorized Star Wars and Marvel chatbots last fall [1]. It has now hired the shop that built the bots it banned.

## Cuts at home, hires from outside

The hires came two weeks after Disney laid off several hundred of its own workers, the third round of cuts under chief executive Josh D'Amaro, whose stock is down by more than a third over five years while the broad market climbed [1][4]. Media-tech generalists out, consumer-AI specialists in, and whether those specialists can rebuild the craft inside Disney's streaming and parks is the part no filing can prove.

## Disney is not buying the users or the data

The license and the people are the purchase; the users and the lawsuits stay behind. Character.AI's lawyer told the court that no buyer has offered for the user data or the operating chatbot business, and that Disney is not interested in that data; if no bidder keeps the platform alive, it will be wound down [3][2].

## Forty states demand child protections in the sale

Behind the platform sit more than 20 million monthly users [5]. Two million of those accounts belong to children by their own declaration, and on October 14 forty state attorneys general led by New York's Letitia James [asked the court to make any buyer protect them](https://ag.ny.gov/press-release/2026/attorney-general-james-urges-court-protect-children-and-consumers-characterai), warning their conversations could otherwise be "sold off to the highest bidder" [5]. Character.AI has reached preliminary settlements with five of the families who sued over children's deaths [3]. The license does carry "certain claims" [2], so some litigation follows the deal home, and Disney shareholders carry it.

## The price says AI value sits with the builders

Two years ago [Meta](https://theinference.org/markets/companies/meta) and [xAI](https://theinference.org/markets/companies/xai) competed to partner with Character.AI [6], which was [valued at $1 billion when Andreessen Horowitz led its funding round](https://finance.yahoo.com/technology/ai/articles/character-ai-files-bankruptcy-disney-211604619.html) [7]. This week a bankruptcy court priced the company instead, and the engineers carried the value out: the technology fetched a license fee, the people fetched a payroll. The durable asset in consumer AI is the team that turned a model into a daily habit, and the court just put a number on it. The auction on November 20 will show whether anyone values the leftovers differently [1].

## Takeaway

Disney's Character.AI bid pays 66 engineers $180 million over three years against a $20 million technology license: a court record that prices the team, not the tech, as consumer AI's durable asset.
