# DoubleVerify suspends guidance until its $13.60 sale closes, ending ad verification's only public price

> Holders approved the $13.60-a-share cash sale of DoubleVerify to the parent company of Nielsen, the television-ratings firm, by 118.2 million votes to 7.6 million on October 29; at closing the shares are delisted and the company stops filing accounts. Those accounts are the only published record of what ad verification costs.

## The vote passed, and the disclosures stop

[DoubleVerify](https://theinference.org/markets/companies/doubleverify), the company that certifies whether digital ads reached real people, [reported third-quarter revenue of $205.6 million](https://www.sec.gov/Archives/edgar/data/1819928/000110465926120666/dv-20260930x10q.htm) on October 30, up 9% from a year earlier, and in the same release suspended its earnings calls and withdrew all guidance until its sale closes [1]. Net income rose 56% to $15.9 million [1].

Holders cleared the deal the day before: [118,218,914 shares voted for](https://ppc.land/doubleverify-halts-earnings-calls-until-its-13-60-nielsen-sale-closes/) the $13.60-a-share cash sale to the parent company of Nielsen, the television-ratings firm, against 7,592,263, about 94% of votes cast [3] [7].

The quarterly report filed with the results states what follows: at closing, expected by the first quarter of 2027, the stock is delisted from the New York Stock Exchange and the company "will cease to be a reporting company" [2]. The 14 demand letters and two stockholder suits that preceded the vote were [covered here on October 23](https://theinference.org/article/nielsen-s-2-15-billion-doubleverify-deal-is-6-cents-from-done-14-demand-letters-two-suits); new since then is the shutdown in writing [2].

## More ads counted, less charged per ad

The filings going private carry the only published price for ad verification, and the quarter's growth came from volume, not price: media transactions measured rose 11% while the fee per thousand impressions fell 2%, and over nine months the fee fell 4% [2]. AI buying is only beginning to reach that price, with 29% of 2,020 surveyed marketers using AI to optimize bids in 2025 and 98% of those reporting performance gains [5].

## What leaves with the listing

Cheaper rivals already sell differently: FouAnalytics prices unlimited verification at a flat $2 million a year [3], and Integral Ad Science, until 2025 the other listed verifier, was taken private by the buyout firm Novacap for $1.9 billion [3]. Customers stayed with DoubleVerify regardless: it kept more than 95% of existing advertiser customers' revenue in the quarter, its measure of gross revenue retention [2].

[Nielsen's announcement says the combination preserves the independent verification standards](https://www.morningstar.com/news/business-wire/20260806603799/nielsen-to-acquire-doubleverify-creating-a-leading-independent-media-intelligence-platform) the industry depends on [4], but no assurance can preserve the public record; once this closes, no listed company reports verification pricing or retention at all.

## Buybacks below the bid, options above it

The company's own buybacks priced the stock a quarter below the bid: 9.8 million shares repurchased for $100.2 million in the first nine months, roughly $10.20 each on the filing's own figures, then none in the third quarter because the merger bars repurchases without the buyer's written consent, leaving $200 million of the February authorization unused [2]. Option holders fare worse: 8.1 million options sit at an average exercise price of $17.14, above the $13.60 cash [2]. [Nine-month free cash flow of $105.0 million](https://markets.businessinsider.com/news/stocks/doubleverify-reports-third-quarter-2026-financial-results-1036694389) ran below last year's $110.5 million [1].

## The four-cent gap and the outside dates

The stock closed at $13.56 on Friday, October 30, four cents under the cash on offer [6]. The agreement can be terminated if the deal has not closed by May 6, 2027, a date that extends automatically by three months to August 6, 2027, if regulatory approvals are still outstanding, with a $144.0 million fee payable by the buyer in specified cases [2]. Nielsen keeps the measurement business and stops publishing its prices; watch the closing by the first quarter of 2027, and whether any listed rival starts publishing verification prices again [2].

## Takeaway

DoubleVerify's holders approved the $13.60-a-share cash sale to Nielsen's parent, and the last listed ad verifier stops filing the accounts that are the industry's only published price list.
