# DTE sold the only segment that grew, and its 9% growth rate rests on a closing date the deal rules out

> DTE Energy sold DTE Vantage for $2.97 billion to J.P. Morgan Asset Management investors and promised 9%-plus earnings growth. Its own footnote says the growth baseline assumes a 2026 close; the deal terms say 2027.

[DTE Energy](https://theinference.org/markets/companies/dte-energy) [agreed on November 1 to sell its non-utility Vantage business](https://finance.yahoo.com/energy/articles/dte-energy-announces-strategic-sale-115500752.html), the segment that just posted its biggest earnings jump, to institutional investors advised by J.P [1]. Morgan Asset Management's Global Infrastructure group for $2,970,672,573 [1]. Four days later, on the third-quarter earnings call, CEO Joi Harris pitched the result: a "higher growth premium utility" promising more than 9% annual operating EPS growth after 2027 [3].

One detail sits in a footnote. That growth baseline assumes the sale closes by year-end 2026, while [the purchase agreement targets the first half or mid-year of 2027](https://www.marketscreener.com/news/jp-morgan-asset-management-entered-into-a-purchase-and-sale-agreement-to-acquire-dte-energy-resource-ce785fdcd08cfe24) [1][2].

## The plan the sale funds

The $3 billion goes into a five-year utility plan raised to $44.2 billion for 2027-2031, up nearly 30% from $34.5 billion: $39 billion at DTE Electric and $5.2 billion at DTE Gas, including $23 billion for cleaner generation [2][3]. The buildout is anchored by 2.4 gigawatts of signed data-center load, a 1.4 GW [Oracle](https://theinference.org/markets/companies/oracle) deal ramping from 2027 and [a 1 GW Google campus fully energized by late 2028](https://theinference.org/article/dte-energy-s-1-gigawatt-google-deal-set-michigan-s-data-center-template-more-deals-by-year-end), with 5 to 6 GW more in the pipeline [2][4].

## The segment DTE just sold was the only one growing

Third-quarter numbers show what left the building. Vantage's operating earnings rose $69 million year over year to $110 million, on renewable natural gas and investment tax credits [2][5]. DTE Electric fell $73 million to $468 million on tax timing, a higher rate base and storm costs [2][5]. DTE also deferred $500 million of 2026 equity sold under forward contracts into 2027, and its debt and equity funding plans remain unfinalized [2].

## The counterweight

The data-center contracts carry minimum monthly charges, termination fees and collateral requirements meant to shield existing customers, and management says the new load will spread fixed costs and delay the next rate case until 2029 [3][4]. Those affordability benefits are projections, not realized savings, and the additional pipeline is unexecuted load [2].

Watch the EEI Financial Conference on November 8-10: the first test of whether investors pay a premium multiple for a 9% growth rate computed on a closing date the contract itself rules out [6]. The stock moved 2.4% on the beat, to $137.53 [6]. If the sale slips past 2026, the baseline moves, and so should the multiple [6].

## Takeaway

DTE sold the only segment that grew and set a 9% growth baseline on a 2026 closing date its own deal terms rule out; the multiple rests on a close that has not happened.
