# Exa Sold $247.5 Million in Equity, Then Made 211 Million Records Free

## A form on EDGAR, not a press release

The paperwork landed on September 28 [1][2]. Exa Labs Inc., a Delaware company formerly named Metaphor Systems, [told the SEC it had sold $247,488,419 of equity with nothing left to sell](https://www.sec.gov/Archives/edgar/data/2024864/000202486426000003/primary_doc.xml), to 38 investors, first sale dated May 15, Chief Executive William Bryk signing on September 25 [1][2].

The Form D names no buyer, states no valuation and declines to give a revenue range [1][2]. It is [Exa](https://exa.ai/docs/changelog.md)'s [third such notice since March 2025](https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&company=exa+labs&type=D&dateb=&owner=include&count=40) [3]. The round was already public in May: [a $250 million Series C at a reported $2.2 billion valuation](https://theinference.org/article/the-247-5-million-behind-exa-s-bet-that-research-sells-by-the-run), led by Andreessen Horowitz [4][5].

## The money showed up as free data

The week's sequence suggests the capital turned into giveaways. Felicis [published its Series C thesis on October 5](https://www.felicis.com/blog/exa-series-c-search-in-the-age-of-agents) [6], and Citi Ventures disclosed its own stake [7]; between them the two investors name Cursor, [Cognition](https://theinference.org/markets/companies/cognition), [HubSpot](https://theinference.org/markets/companies/hubspot), OpenRouter, Monday.com, Vercel, [Lovable](https://theinference.org/markets/companies/lovable) and [Clay](https://theinference.org/markets/companies/clay) as customers [6][7].

On October 6, Exa Places put 211 million business records, names through ratings, on every API endpoint at no extra charge [8]; [the aggregator's headline cast the launch as a run at Perplexity's local search](https://hermes-ai.net/news/exa-places-adds-211-million-locations-to-beat-perplexity-on-local-search/) [9]. Free is a price, and somebody's $247,488,419 is paying it.

The pattern predates the week. [A March 3 update](https://exa.ai/docs/changelog.md) simplified and lowered pricing and made contents for the first ten results free [10], while the index stacked vertical after vertical [10]. Platform developers grew from 400,000 in May to more than 500,000 by October [4][6].

## The shelf keeps the substitutes warm

The default is being bought on someone else's shelf. On October 2, [Cloudflare](https://theinference.org/markets/companies/cloudflare)'s Birthday Week [shipped a Web Search API through AI Gateway](https://blog.cloudflare.com/tag/birthday-week/) "in partnership with Ceramic.ai, Exa, and Linkup," three interchangeable providers behind one integration [11].

The incumbents are moving too. Google unveiled its biggest Search redesign in 25 years the day before Exa announced the round in May; AI Mode passed 1 billion monthly users, and Search plus advertising revenue hit $60.4 billion in the first quarter, up 19 percent [5].

## What the filing cannot price

Nothing in the Form D vouches for the mark: no valuation, no buyer names, no revenue range, and [the SEC has not verified the contents](https://superpowerdaily.com/posts/exa-labs-files-notice-showing-247-5-million-equity-offering-fully-sold) [2]. What settles it is conversion, whether free Places usage turns into paid volume at scale, and the next notice out of Delaware. Free data is how a private round buys a habit before anyone can price it.
