# Fluence's AI power bet faces a securities-fraud suit after three guidance breaks and a 73% fall

> A securities-fraud class action alleges Fluence's fiscal 2026 guidance rested on contract factories that were never ready, and the company's own disclosures back the timeline: three guidance breaks in eight months took the stock down about 73%.

[Fluence Energy](https://theinference.org/markets/companies/fluence-energy), the Siemens-and-AES-backed grid-battery supplier selling into the AI power buildout, is now the subject of a federal securities-fraud suit that says its fiscal 2026 guidance was never deliverable [1][2][3]. The complaint, [Hatweek v. Fluence Energy, filed September 28, 2026](https://www.theglobeandmail.com/investing/markets/stocks/FLNC/pressreleases/8369350/fluence-energy-inc-flnc-securities-fraud-class-action-lawsuit-filed-november-27-2026-lead-plaintiff-deadline-kessler-topaz-meltzer-check-llp/), in the Southern District of New York, covers investors who bought between November 24, 2025, and September 16, 2026 [1][2][3]. [Lead-plaintiff motions are due November 27 to 30](https://www.globenewswire.com/news-release/2026/10/23/3387566/9788/en/bronstein-gewirtz-grossman-llc-urges-fluence-energy-inc-investors-to-act-class-action-filed-alleging-investor-harm.html) [1][2][3].

The stock that carried the AI-storage bull case [closed at €4.965 in Frankfurt on October 23](https://uk.finance.yahoo.com/quote/98W.DE/latest-news/), roughly a quarter of where it sat before February [4].

## Demand was never the problem. Delivery was

The class-period story management told was demand acceleration: "accelerating data center growth, utility demand and rising industrial loads," with backlog "securing" or "covering" fiscal 2026 revenue [1][6]. The complaint's story is different: the revenue depended on new contract-manufacturing facilities that were not completed, not operational, or incapable of producing at the volumes the guidance assumed, and the corrective measures were not working [1][3]. [Hagens Berman's notice](https://www.aol.com/articles/fluence-energy-nasdaq-flnc-facing-160400000.html) adds the detail that stings: the Houston facility's automated welding failed, so workers welded by hand [6].

## The receipts, three breaks in eight months

On February 4, 2026, Fluence [reported a 4.9% GAAP gross margin](https://www.prnewswire.com/news-releases/what-should-fluence-energy-inc-investors-know-after-34-63-stock-drop-the-law-offices-of-frank-r-cruz-outlines-securities-fraud-class-action-lead-plaintiff-deadline-302916785.html), down 6.5 points year over year, and a net loss of $62.6 million against $57.0 million a year earlier [1]. The stock fell 34.63% the next day, to $18.95 [1].

On August 5, third-quarter revenue of $649.8 million came in "weaker than expected," adjusted gross margin hit 5.9% against 15.4% a year earlier, and $400 million of deliveries slid into fiscal 2027 [1][2]. The stock closed at $13.21 [1][2]. Then, on September 16, [a mid-quarter update cut the full-year revenue guide by about $600 million to $2.4 billion](https://www.nasdaq.com/press-release/fluence-energy-announces-revised-guidance-fiscal-year-2026-management-host-conference) and swung the adjusted EBITDA guide from a $10 million loss to a $200 million loss, blamed on "delays in the ramp up of our contract manufacturing facility in Houston [1][5][6]." Shares closed at $7.66 the next day, and roughly $3 billion of market value is gone since February, per Hagens Berman [1][5][6].

## The counterpoint, and what to watch

The bull case survives on paper: Fluence's own September release says demand "remained strong both domestically and internationally" and that the contract manufacturer's corrective actions "have already yielded an increase in daily production levels" [5]. If the factories ramp, the backlog converts and the lawsuits are noise. But delivery failed three times in eight months, and an order book does not fix a factory.

CFO [Ahmed Pasha](https://theinference.org/markets/people/ahmed-pasha) has promised fiscal 2027 plans "to generate neutral to positive operating cash flow... without external capital" when fiscal 2026 results land [5]. That report, and whether the $2.4 billion guide holds, is the reading that decides which story was true [5].

## Takeaway

A securities-fraud class action says Fluence's fiscal 2026 guidance rested on contract factories that were never ready; three guidance breaks in eight months and a Frankfurt close of €4.965 back the timeline, and the fiscal 2026 report and $2.4 billion guide are what settle it.
