# Four law firms probe ServiceTitan's Max pivot as insiders logged 93 sales and zero buys; Q3 ends October 31

> Four securities-fraud investigations now circle ServiceTitan's Max pivot after a 30% share collapse. The quarter ending October 31 tests whether the $2–3 million subscription-revenue headwind Max's deferred billing left behind begins to reverse.

## The charge: a June promise against a September invoice

Four plaintiffs' firms are investigating whether [ServiceTitan](https://theinference.org/markets/companies/servicetitan) misled investors about Max, its AI platform, and a planned push into new trades: Pomerantz opened on September 24, Hagens Berman followed on October 1, Glancy Prongay & Rotter is asking the same questions, and Bleichmar Fonti & Auld joined on October 6 [3][4][5][6]. All four chase the same trade: shares that fell $24.46, 29.98%, to $57.12 on September 9, erasing more than $2 billion of market value [3][4]. These are investigations, not findings.

## The evidence admitted

[The September 8 report](https://markets.businessinsider.com/news/stocks/servicetitan-announces-fiscal-second-quarter-financial-results-1036530089) beat its quarter and cut the next one [1][2]. Revenue was $292.8 million, up 21% and above estimates, but every headline metric decelerated: revenue growth to 21% from 25%, platform revenue to 22% from 26%, gross transaction volume to 17% from 19% [1][2].

Fiscal Q3 revenue was guided to $285 million to $287 million, under the street, and non-GAAP operating income to $29 million to $30 million against the $44.4 million just printed, a 33.6% sequential decline [1][2][5]. ServiceTitan said it had "[elected to tighten our focus on existing commercial trades](https://www.prnewswire.com/news-releases/ttan-stock-notice-servicetitan-stock-plummeted-30-after-growth-issues-disclosed--securities-fraud-investigation-underway-302898900.html)" rather than expand into new trades, to fund "increased investments in and attention on Max" [5].

*Chart: **Guidance hands back about a third of the operating income the quarter just printed** Column chart of ServiceTitan's fiscal Q2 2027 actual revenue and non-GAAP operating income next to the fiscal Q3 guidance midpoints: revenue roughly flat while guided operating income falls by about a third.*

*ServiceTitan's fiscal Q2 2027 actuals (quarter ended July 31, 2026) beside its fiscal Q3 guidance: revenue of $285 to $287 million and non-GAAP operating income of $29 to $30 million, midpoints shown with the guided ranges. The 33.6% sequential decline compares the guide midpoint with the $44.4 million just printed. Sources: the company's September 8 release; Benzinga; Bleichmar Fonti & Auld. [1][2][5]*

## June's automation story became September's waived fees

[Hagens Berman's exhibit](https://www.prnewswire.com/news-releases/servicetitan-nasdaq-ttan-scrutinized-over-surprise-revenue-timing-and-other-issues-driving-stock-down-30----hbss-302896303.html) is a quote pair: on June 4, management was "automating customer onboarding"; by September 8, Max upsells "typically do not bill for the first quarter of a contract," and onboarding fees were waived [3][4]. The shift would cost $2 million to $3 million of subscription revenue, about $2 million more of professional services, $4 million to $5 million in all this fiscal year [3][4][7]. The chief revenue officer changed the same week [2][4].

*Chart: **Every headline growth metric ServiceTitan reports decelerated year over year** Column chart comparing year-over-year growth in ServiceTitan's revenue, platform revenue and gross transaction volume between the quarters ended July 2025 and July 2026, each metric slower in the later quarter.*

*Year-over-year growth in ServiceTitan's three headline metrics, quarter ended July 31, 2026, versus the prior-year quarter, as reported in the fiscal Q2 2027 release. GTV is gross transaction volume, dollars invoiced by customers through the platform. [1]*

## The company's exhibits

Four weeks later, on October 6, [Max opened to every residential in-home contractor](https://finance.yahoo.com/technology/ai/articles/servicetitan-unveils-max-ai-platform-090201568.html), with pilots for commercial and roofing, plus the Atlas app and the Homh consumer platform [8]. The pitch: 30 agents and a coordination layer that Chief Executive Ara Mahdessian calls a "self-running, self-improving" business, built with 50 contractors and more than 700 locations expected by fiscal year-end [1][8][9]. [The Inference covered the launch last week](https://theinference.org/article/broccoli-ai-clones-receptionists-voices-with-khosla-s-25-million-as-servicetitan-unveils-30-agents).

[Stifel reiterated Buy after the event](https://www.investing.com/news/analyst-ratings/stifel-reiterates-buy-rating-on-servicetitan-stock-after-event-93CH-4936698), and KeyBanc and Canaccord published Buys within days [1][10]. Shares closed October 9 at $72.59, above the $57.12 of September 9 but still about 11% under their pre-drop level [1][3].

## The tape nobody entered

Quiver Quantitative's [count of Form 4 filings](https://www.quiverquant.com/news/ServiceTitan+Expands+AI-Powered+Max+to+All+Residential+Contractors,+Launches+Atlas+Mobile+App+and+Homh+at+Pantheon+2026) shows 93 open-market insider sales in six months and zero purchases [8]. Mahdessian sold 146,176 shares for about $12.05 million; President Vahe Kuzoyan 137,475 for $12.04 million; CFO David Sherry about $3.66 million [8]. The tally does not say whether any sale was pre-scheduled under a trading plan, and neither the law firms' notices nor the Buy ratings mention the record.

*Chart: **Zero insider purchases in six months; the founders did most of the selling** Bar chart of estimated insider sale proceeds at ServiceTitan over six months, led by CEO Ara Mahdessian and President Vahe Kuzoyan at about 12 million dollars each, then Griffith, Sherry, O'Connor and Deeter.*

*Estimated proceeds of open-market sales reported on Form 4 filings, six months to October 9, 2026, per Quiver Quantitative's tally (93 sales across all insiders, zero purchases). Share counts as filed; dollar values are estimates; the tally does not state whether sales were pre-scheduled. [8]*

## The verdict watch

Fiscal Q3 ends October 31, the first quarter in which early Max upsells would begin billing under the ramp management described [1][4]. The subscription line against that 700-location target decides whether the growth story was deferred or impaired. ServiceTitan promised software that runs the business; the first job is to run an invoice.

## Takeaway

Four securities probes and 93 insider sales against zero buys now hang on ServiceTitan's quarter ending October 31: if Max's deferred billing reverses the $2–3 million subscription headwind, the growth story was deferred, not impaired.
