# Gen Digital jumped 17% in five sessions after its CEO denied a GoDaddy deal; $31.65 decides the trade

> Gen Digital beat its quarter and raised its year on October 28, but the line that repriced the stock was CEO Vincent Pilette's denial of a transformative acquisition, which lifted the GoDaddy-debt scare that had cut the shares 34%. The stock now re-enters the exact ceiling that broke it, with the street's mean target sitting almost at that level.

[Gen Digital](https://theinference.org/markets/companies/gen-digital) beat and raised on October 28, but the sentence that moved the stock was [Vincent Pilette](https://theinference.org/markets/people/vincent-pilette)'s denial of a transformative acquisition. Four sessions later the shares sit 9% under the $31.65 ceiling that last time broke the stock.

## Monday tests the ceiling that broke the stock last time

Gen Digital (NASDAQ: GEN), the Tempe, Arizona company behind Norton, Avast, LifeLock and MoneyLion, closed Friday at $29.13, [up about 17% in five sessions](https://www.ainvest.com/news/gen-digital-40-rebound-testing-31-65-ceiling-triggered-34-crash-close-confirms-breakout-2610/) [1], after a 15.07% Thursday jump from $24.35 to $28.02 on volume 15% above its 90-day average [2]. The price now sits about 9% below $31.65, the September 3 high from which the stock fell roughly 34% in three weeks [1][2]. Monday's session is the first look at that line since the crash.

The 14-day RSI reads 71, overbought, and options flow ran heavily toward calls, a put/call ratio near 0.11 [1]. Both say the re-rating has been paid for in sentiment already. The question is whether the level that broke the stock once holds twice.

*Chart: **Gen Digital lost 34% from $31.65, then won back 20% in the week after earnings** Line chart of GEN closing prices at five dates from September 3 to October 31, 2026, showing the fall from $31.65 to $23.07 and the recovery to $29.13.*

*GEN closing price in US dollars at five dated points: September 3 high of $31.65 (Weiss Ratings), post-leak close of $23.07 (24/7 Wall St.), October 28 close of $24.35 and October 29 close of $28.02 (Weiss Ratings), and October 31 close of $29.13 (Ainvest). [2][3][1]*

## A takeover leak, not a miss, cost holders 12% in one day

On September 26 the Financial Times reported Gen had made a [preliminary takeover approach for GoDaddy](https://finance.yahoo.com/markets/stocks/articles/godaddy-jumps-takeover-report-while-143921056.html), a near-peer deal with Gen's $13.8 billion market cap barely above [GoDaddy](https://theinference.org/markets/companies/godaddy)'s $12.8 billion [3]. Gen fell 12.05% to $23.07 in that single session while GoDaddy rose 4.64% [3].

The market read the arithmetic. Gen's CFO had just finished paying debt down to 2.95 times net leverage, below the company's own 3 times target [3], on a stack that still totals about $8.1 billion [6]. Absorbing a peer of that size would unwind the paydown, and shareholders priced it instantly. By October 28 the stock sat at $24.35, 23% under the high [2].

## The beat was clean, the denial was the news

The quarter itself was solid: [revenue of $1.369 billion, up 12% against the $1.34 billion estimate](https://www.aol.com/articles/gen-delivers-another-double-digit-200500000.html); adjusted EPS of $0.74 against $0.72 expected, up 19%; GAAP net income more than doubled to $287 million [2][4]. Bookings rose 10% to $1.347 billion, a sixth straight double-digit quarter, and paid customers hit a record 83 million [4]. Quarterly revenue has climbed from $986 million in the quarter ended December 2024 to $1.369 billion [8].

Guidance rose too: [fiscal 2027 adjusted EPS to $2.93 to $2.98 from $2.87 to $2.97](https://www.marketscreener.com/news/gen-gen-digital-expects-full-year-fiscal-2027-adjusted-eps-range-2-93-2-98-vs-factset-est-of--ce785cd3d88efe2d) [5][4]. But the new midpoint is about 1.2% higher, and its low end merely equals the $2.93 the street already carried [6][5]. Then Pilette told the call: "[we are not working on a transformative acquisition today](https://finance.yahoo.com/markets/stocks/articles/gen-digital-gains-13-beat-162134785.html)" [6]. The stock gapped 11% the next morning and kept going [1]. The Inference covered [the GoDaddy approach](https://theinference.org/article/gen-digital-bid-for-godaddy-buying-81-million-domains-in-the-age-of-ai-agents) on October 8 (/article/gen-digital-bid-for-godaddy-buying-81-million-domains-in-the-age-of-ai-agents); what is new is the denial, the raise and the round trip [1]. The market did not reprice the quarter; it repriced the balance sheet.

## Growth is moving into the half that earns half the margin

Cyber Safety, the Norton and Avast subscription base, grew 5% to $858 million at a record 62% margin [6]. Trust-Based Solutions, identity protection plus MoneyLion's lending and marketplace business, grew 26% to $511 million at a 30% margin [6]. The blend pushed non-GAAP operating margin down to 50.1% from 51.1% [4].

MoneyLion's Instacash advances chase the same everyday customers as [Chime](https://theinference.org/markets/companies/chime) and Dave, both of which report on November 4, the first outside read on whether the demand behind Gen's fastest-growing line holds up [6].

## Two prices decide the trade

A decisive close above $31.65 on real volume confirms the recovery; a close back below $26.50 to $26.90, the unclosed post-earnings gap plus the 50-day average, marks the rally a failed bounce [1]. Wall Street's 11 analysts carry an Outperform consensus and a [mean target of $31.98](https://www.marketscreener.com/news/jefferies-adjusts-price-target-on-gen-digital-to-29-from-27-ce785cd3d088f62d), within a dollar of the ceiling [7]; RBC's fresh $27 target sits below Friday's close, the one house already selling the re-rating, while [Jefferies](https://theinference.org/markets/companies/jefferies) ($29), [Morgan Stanley](https://theinference.org/markets/companies/morgan-stanley) ($34) and [Evercore](https://theinference.org/markets/companies/evercore) ISI ($39) lean the other way [7].

*Chart: **The street's mean target of $31.98 sits a dollar under the $31.65 ceiling** Bars chart ranking analyst price targets for GEN: RBC $27, Jefferies $29, mean $31.98, Morgan Stanley $34, Evercore ISI $39, with reference lines at the Friday close and the September high.*

*Price targets in US dollars updated after the October 28 earnings report (MarketScreener/MT Newswires, October 29, 2026), with reference lines at the October 31 close of $29.13 (Ainvest) and the September 3 high of $31.65 (Weiss Ratings). [7][1][2]*

At roughly 9 to 10 times forward earnings against an 11x five-year average, a company growing EPS 19% is not expensive [6]. But the tape says the sentiment has already been paid [1]. Watch the close above or below $31.65, then Chime and Dave on November 4 [1].

## Takeaway

The beat was real, but the repricing came from Pilette's denial of a GoDaddy deal; a decisive close above $31.65 confirms the recovery, a drop below $26.50 marks it a failed bounce.
