# Generac signed its $8 billion Amazon deal 21 days after the generator order; DOE rules land December 24

> Canaccord's target hit $375 as banks repriced Generac as an AI power supplier. The engines come from Weichai-owned Baudouin, the order expressly covers backup generators, and DOE's implementing rules land December 24, 2026.

[Generac's](https://theinference.org/markets/companies/generac) [Amazon](https://theinference.org/markets/companies/amazon) [contract, signed September 16, commits $2.4 billion of backup generator deliveries across 2027 and 2028](https://seekingalpha.com/news/4643557-generac-surges-on-2_4b-amazon-data-center-deal) and opens a path to as much as $8 billion in payments, with Amazon holding [a warrant over 1.69 million Generac shares at $200.9266](https://theinference.org/article/amazon-pays-its-suppliers-and-collects-in-their-shares) that vests as the payments arrive [1]. The engines come from Baudouin, a wholly owned subsidiary of China's Weichai Power [4].

Wall Street repriced the story on those numbers. KeyBanc upgraded to Overweight with a $280 target after meetings with CEO Aaron Jagdfeld, citing management's confidence in the Baudouin/Weichai engine supply; Piper Sandler opened coverage at $303; Cantor sits at $333; Canaccord lifted its target to $375 from $275, calling the agreement landmark [2][3].

## The order came first

Twenty-one days before the signature, on August 26, [Executive Order 14421 declared a national emergency over foreign-produced bulk-power system equipment](https://www.whitehouse.gov/presidential-actions/2026/08/declaring-a-national-emergency-to-secure-the-united-states-bulk-power-system/) [5]. The covered list names large, small and backup generators, together with critical components, maintenance services and remote-access capabilities [5]. Prohibitions cover transactions initiated after August 26 "notwithstanding any contract entered into" earlier, and reach transactions involving property in which a foreign national has an interest, "including through an interest in a contract for the provision of the equipment" [5]. A Covered Foreign Entity includes persons owned by, controlled by, or subject to the jurisdiction or direction of a government under US arms embargo or sanctions, a definition [McGuireWoods' client alert](https://www.jdsupra.com/legalnews/executive-order-expands-scrutiny-of-6826900/) says likely captures China [6].

## December 24 decides the scope

Two gates stand before any prohibition: DOE must determine a transaction poses an undue risk, and its implementing rules, due by December 24, 2026, decide which countries, companies and equipment are covered [5][6].

## What the banks flagged, and did not size

Piper Sandler's Dimple Gosai named Generac's reliance on a Chinese-owned engine supplier and potential regulatory changes among her risks, and marked 2029, when committed orders run off and rivals' new capacity lands, as the thesis test [3]. Her $303 target and Canaccord's $375 predate the December rules. The cost cushion is thin too: second-quarter gross margin of 44.5% included roughly six points of tariff refunds, and [2026 guidance excluding them sits at the low end of 38.5% to 39.5%](https://www.msn.com/en-us/money/economy/can-generac-turn-c-i-business-momentum-into-a-durable-revenue-engine/ar-AA2dH42n) [7].

## Why the order is not a ban

The order is not a ban. Prohibition requires a DOE risk determination, local distribution facilities are excluded, and the order does not broadly regulate equipment inside a data center, though interconnection and backup generation may fall in scope [5][6]. DOE can also license transactions and pre-qualify vendors [5]. McGuireWoods further flags that the order never defines when a transaction is "initiated", leaving purchase orders and deliveries under a September agreement in ambiguity [6]. Where Baudouin manufactures its engines, which decides "foreign-produced" status, is not established in this record.

The lead-time math still cuts Generac's way: about 40 to 45 weeks against 70 to 80 or more at Caterpillar, Cummins and Rolls-Royce, per Piper Sandler's work [3]. That advantage rests on an engine supply the December rules have not yet ruled on.

## The money starts in 2028, the rules in 74 days

Generac expects about $1.6 billion of Amazon revenue in 2028 inside $3 billion to $3.2 billion of total data center sales, against a data center backlog near $4 billion [3]. Weichai's side of the shipments is worth $478 million to $1.075 billion across 2027 and 2028 [on China Merchants Securities' estimate](https://www.ad-hoc-news.de/boerse/news/nebenwerte/weichai-power-stock-gains-on-generac-amazon-deal-and-bullish-analyst-calls/70125411); the stock closed at HKD 30.86 on September 17, up 4.4%, with Citi and JPMorgan targets at HKD 50 and 55 [4]. The contract beat the order by 21 days. The rules land 74 days from now.

## Takeaway

Generac's $2.4 billion Amazon contract and the bank targets built on it rest on engines from a Chinese-owned subsidiary that Executive Order 14421 puts in scope; DOE's implementing rules, due December 24, 2026, decide whether the deal clears.
