# Germany says its SAP-Mistral AI pact bound no one; SAP shares are up 57% into October 21 earnings

> Germany's digital ministry said on October 14 that the November letter of intent with SAP and Mistral created no procurement and no funding. What Berlin pays SAP for is a €250 million cloud award, and the 57% run in the shares rests on booked cloud numbers, not on the letter.

[SAP](https://theinference.org/markets/companies/sap) shares have climbed 57% since July to about €201, and options price [a 7.5% swing by the third-quarter report on October 21](https://www.ad-hoc-news.de/boerse/news/unternehmensnachrichten/sap-pushes-payments-ai-agents-and-a-belgian-acquisition-into-market-as-q3-test-looms/70343870) [1] [3]. A week before that report, Germany's digital ministry said there was nothing to cancel in the country's planned AI partnership with SAP and [Mistral AI](https://theinference.org/markets/companies/mistral-ai), the French model maker [5]. No binding framework agreement was ever concluded, [the ministry said on October 14](https://www.heise.de/en/news/Digital-Ministry-clarifies-No-withdrawal-from-AI-project-with-SAP-and-Mistral-11487259.html) [5].

[The letter of intent signed last November](https://web.matrixnews.in/news/ukaam2uaktyai/germany-says-no-binding-ai-partnership-with-sap-and-mistral-was-ended) by Germany, France, SAP and Mistral bound the parties only to negotiate seriously: no project, no procurement, no funding [2]. The pitched program, SAP enterprise software and [AI agents](https://theinference.org/article/sap-s-ai-pivot-now-has-a-price-list-8-000-roles-and-a-dead-job-security-pact) for European public services, had a binding framework due by mid-2026 and rollout through 2030 [1]. Nothing was canceled, because nothing was ever contracted.

## The money that is booked

What Berlin actually pays SAP for is plainer and older-shaped. In May 2026 the ministry [awarded 70% of a €250 million public-administration AI cloud project](https://www.erp-leaders.com/news/sap-was-in-germany-s-plan-for-government-ai-berlin-has-now-dropped-the/) to a consortium of SAP and T-Systems, Deutsche Telekom's IT services arm, as netzpolitik.org reported [1]. A day earlier, SAP and Deutsche Telekom [had won the Germany Stack contract](https://www.ad-hoc-news.de/wissenschaft/sap-und-mistral-ai-europaeische-ki-cloud-mit-datenkontrolle/69451422), a sovereign AI platform for federal, state and local government [6].

The partnership then grew on the companies' side alone. SAP and Mistral expanded their own cooperation on May 30, putting Mistral's models into SAP's technology platform with an initial focus on German public administration [6], and showed the work at the VivaTech fair in Paris in June [2]. After Die Welt reported a withdrawal, a ministry spokesman told Politico there is "no procurement" planned with Mistral and the companies work "independently"; SAP says the sovereign-AI work continues [1].

## A 57% run built on booked numbers

Analyst firms have raised their targets into the report. TD Cowen lifted its target 22% to $250 from $205 on October 16 and kept its Buy rating; [Barclays](https://theinference.org/markets/companies/barclays) went to $243 from $242, keeping Overweight [4] [8]. Both targets are in dollars, while SAP's Frankfurt shares trade in euros, at €200.75 on October 15 [8].

The booked numbers are the backbone. [Second-quarter cloud revenue was €6.281 billion, up from €5.130 billion a year earlier](https://www.theglobeandmail.com/investing/markets/stocks/SAP-N/pressreleases/3520956/sap-se-posts-double-digit-cloud-growth-and-updates-2026-profit-outlook-after-q2-results/), and current cloud backlog, contracted revenue not yet recognized, stood at €22.929 billion, up 27% [4] [7]. Software support, the older stream, fell to €2.439 billion from €2.642 billion [4].

## What October 21 tests

The fair reading cuts both ways. A non-binding letter never carried revenue, so no booked number was lost, and SAP is investing €20 billion in sovereign cloud infrastructure regardless [6]. The risk sat with investors who paid the July-to-October run believing a government-scale program was attached; no source quantifies how much of the 57% that was.

The number to watch is backlog growth. If it holds near the 27% second-quarter rate with no federal buyer for that program, the market was paying for the cloud migration all along.

## Takeaway

Berlin's November letter of intent bound no one and created no funding; SAP's 57% run rests on €22.9 billion of booked cloud backlog, and October 21 tests whether it keeps growing without a federal buyer.
