# Getty Images files Chapter 11; Koch Equity Development takes it private as shareholders get zero

> Getty's prepackaged Chapter 11 wipes out public shareholders and hands the company to the Getty family and Koch Equity Development by year-end. Shutterstock reports its first quarter since the merger died on November 5.

Getty Images [filed a prepackaged Chapter 11 in Delaware today](https://seekingalpha.com/news/4655001-getty-images-files-for-chapter-11-bankruptcy-in-delaware), October 21, 2026, and its own risk factors say public shareholders get nothing: holders of Class A common stock will not receive or retain any property under the plan [6][8]. The stock, about 97% below its July close, hands the company to the Getty family and Charles Koch's investment arm by year-end [8]. [Shutterstock](https://theinference.org/markets/companies/shutterstock) shareholders, who backed [a $3.7 billion merger with Getty announced in January 2025](https://www.cnbc.com/2026/10/21/getty-images-files-for-bankruptcy-advances-restructuring-plan.html) as their defense against generative AI, are left standing alone in the same disrupted business [4][7].

## The merger died over one business unit

The UK Competition and Markets Authority conditioned approval on Shutterstock selling its editorial business. Getty's board called that unacceptable and [walked away in June](https://artlyst.com/getty-images-files-for-chapter-11-after-shutterstock-merger-collapses/), after burning more than $100 million in professional fees and financing costs; its filings show $108 million in cash spent on the deal [1][5]. Add $17 million for the Stability AI litigation and the arithmetic turns ugly fast [5].

## The money on the table

Getty carries a $2.1 billion debt load and [missed interest payments due September 1](https://finance.yahoo.com/markets/stocks/articles/why-getty-images-filed-chapter-104421730.html) on its unsecured notes, entering a 30-day grace period before the deal [6]. The plan retires $270 million of unsecured notes, extends maturities, and lands up to $533 million of new equity plus $143 million of restructuring financing from Getty family affiliates and Koch Equity Development, which take 100% of the reorganized company [2][6]. Suppliers are paid in full [6].

*Getty Images prepackaged Chapter 11 restructuring amounts in millions of US dollars, announced October 12, 2026: $2.1 billion debt load, up to $533 million new equity committed, $270 million unsecured notes retired, $143 million restructuring financing. ## The damage underneath

[Annual subscribers fell to 241,000](https://stocktwits.com/news-articles/markets/equity/after-failed-shutterstock-merger-and-nyse-delisting-getty-plans-chapter-11-bankruptcy/cZxBE7YRBoR) as of June 2026 from 321,000 a year earlier, a quarter of the base gone in one year [1]. Second-quarter revenue slipped 2.5% to $229.1 million while the net loss widened to $85.8 million from $34.4 million [1]. That is the company Koch is buying: wounded, subscriber-bleeding, but private and debt-light once the plan lands [2].

## What it means for Shutterstock

Shutterstock now owns the commercial-licensing field alone, with no divestiture obligation since the CMA condition died with the deal. But the scale against generative AI that the merger promised never arrived, and its shares trade at $4.16 under a SELL consensus [3]. A debt-light private rival that cuts prices is the real risk. November 5, when [Shutterstock reports third-quarter results](https://www.streetinsider.com/PRNewswire/Shutterstock+To+Report+Third+Quarter+2026+Earnings+Results+on+November+5%2C+2026/27175260.html), is the first print that prices any of it [3]. Deep dive below to follow the tape.

## Takeaway

Getty's prepackaged Chapter 11 wipes out public shareholders and hands the company to the Getty family and Koch Equity Development by year-end; Shutterstock, alone against generative AI, reports on November 5.
