# GitLab sold the AI factory story while insiders sold $103.8 million of the stock

> GitLab launched its governed software factory on October 6 with Anthropic models and a claimed 200% surge in agentic users. Three days later its general counsel filed to sell $2.67 million of stock, on top of $103.8 million of insider sales in 90 days, most of it one co-founder's $101 million block.

## A sell notice landed three days after the launch

On Friday October 9, [a Form 144 reached EDGAR](https://www.stocktitan.net/sec-filings/GTLB/144-gitlab-inc-sec-filing-c9c0acff7383.html): [GitLab](https://theinference.org/markets/companies/gitlab) officer Robin Schulman, the general counsel and corporate secretary named in earlier insider filings, proposed selling 49,936 shares worth $2,674,572.16 through [Morgan Stanley](https://theinference.org/markets/companies/morgan-stanley) Smith Barney, with that same day as the approximate sale date [1][2]. The shares came from restricted and performance units vested since March 2025, under a plan adopted on October 1, 2025 [1]. She had already sold 12,448 shares for $687,013.83 on September 2, an average of $55.19 [1].

## The launch week investors paid a 52-week high for

The notice landed the week GitLab [unveiled the governed software factory](https://sdtimes.com/software-development/gitlab-announces-new-capabilities-for-the-governed-software-factory/): [Anthropic](https://theinference.org/markets/companies/anthropic)'s Claude Mythos 5 and 5.1 will power its security flows, a dependency firewall now gates what agents pull into builds, and Artifact Central entered beta [3][4]. The company says active users of agentic development grew 200% year over year in three months, secure repositories 100%, CI/CD pipelines 40% [3]. The stock opened Friday at $55.09, near its $55.55 high and almost triple the $18.73 low; the average analyst target is $51.75 [5].

## $101 million of the insider total is one founder's block

[Insiders sold 2,176,840 shares worth $103,798,494 in the past 90 days](http://openinsider.com/search?q=gtlb) [5]. The headline is mostly one trade: co-founder and chairman Sytse Sijbrandij [sold 2,116,200 shares at $47.77 on September 24](https://theinference.org/article/gitlab-shipped-a-spending-meter-for-its-ai-agents-and-the-founder-s-trust-sold-101m), about $101.1 million, leaving him 12.8 million shares [2][6]. CTO Sivaprasad Padisetty sold 51,915 at $45.78 on September 28 for $2.38 million; CAO Simon Mundy sold 8,725 at $38.00 on August 7 for $331,550 [5][2]. Atreides Management opened a $103.0 million position in the June quarter [5]. Adoption is a metric. A founder's $101 million block is a price.

*Chart: **One founder's block is $101 million of GitLab's $103.8 million insider total** Bar chart of five GitLab insider sales from August to October 2026, with the co-founder's $101 million block dwarfing the four officer sales of $0.33 to $2.67 million*

*SEC Form 4 reported sales and one Form 144 notice, GitLab insiders, August to October 2026, US$ millions. The October 9 bar is a proposed sale under a plan adopted October 1, 2025, not a confirmed execution. [2][1][5]*

## Record revenue, widest loss in twelve quarters

The July quarter brought [record revenue of $286.25 million, up 21.3%](https://www.msn.com/en-us/money/economy/gitlab-gtlb-down-4-7-since-last-earnings-report-can-it-rebound/ar-AA2dmDA3), and adjusted EPS of $0.24 against an $0.18 estimate [5][7]. Operating cash flow swung to a $3.09 million outflow from positive $49.37 million a year earlier, and adjusted free cash flow fell to $9.75 million [7]. Under GAAP the operating loss was $56.9 million, the widest in twelve quarters, including $23.3 million of restructuring charges [8][9]. October-quarter guidance of $281 to $283 million implies growth slowing to 15-16% [7].

*Chart: **Record revenue, and the widest operating loss in twelve quarters** Line chart of GitLab quarterly GAAP revenue rising from about $150 million to a record $286 million while the operating loss stays negative and reaches its widest point, negative $56.9 million, in the July 2026 quarter*

*GitLab GAAP revenue and operating income by quarter, US$ millions, twelve fiscal quarters ended July 2026, from SEC filings. Calendar labels; GitLab's fiscal year ends January 31. [8]*

## The CEO was buying, and so was the company

Every officer sale above ran under pre-arranged Rule 10b5-1 plans adopted before the launch; the filings show plan dates, not motives [1][5]. CEO Bill Staples bought 2,677 shares at $46.62 on September 30, $124,802, his fourth open-market purchase in nine months [2]. GitLab itself repurchased about 3.5 million shares in the quarter, with $245 million left authorized [9]. The Street is split regardless: seven Buy, seventeen Hold, four Sell, and one research rank puts the stock at Strong Sell [5][7].

## The readings that price both camps

A Form 144 is a notice, not a fill. Schulman's next Form 4 shows whether the 49,936 shares printed, and at what price [1]. The October-quarter report is the other reading: 19 to 20 cents of adjusted earnings on $281 to $283 million, against a consensus that already sits below the market [7][5].

## Takeaway

The launch-week story was 200% growth in agentic users and record revenue of $286.25 million; the filings show $103.8 million of insider sales in 90 days, $101.1 million of it one founder's block, alongside the widest GAAP loss in twelve quarters and growth guided to slow.
