# Guidewire borrows $1 billion to buy the AI that prices $75 billion of premiums

> Guidewire signs a $1.7 billion cash deal, up to $2.1 billion with the earnout, for the AI pricing engine behind Aviva and Allianz. The 8-K filed the same morning shows the funding: a $1.0 billion term loan running to 2029.

On October 27, 2026, [Guidewire Software](https://theinference.org/markets/companies/guidewire-software), whose platform runs policy and claims operations at more than 570 property-and-casualty insurers, [signed a definitive agreement](https://www.prnewswire.com/news-releases/guidewire-signs-definitive-agreement-to-acquire-hyperexponential-302920513.html) to acquire hyperexponential, the London startup whose AI-native pricing and underwriting engine already touches more than $75 billion in annual commercial premium for carriers including Aviva, Allianz, Sompo and Beazley [1][8]. The price: $1.7 billion in cash, plus up to $400 million contingent on recurring revenue targets, up to $2.1 billion all in [1][2][8].

*Chart: **The deal is $2.1 billion at most, funded by a $1.0 billion loan against $0.37 billion of cash** Bars showing the $1.7 billion base purchase price, the $0.4 billion earnout ceiling, the $1.0 billion new term loan, Guidewire's roughly $0.37 billion of cash on hand at July 31, and roughly $0.70 billion of existing term debt before the deal.*

*USD billions; purchase price and earnout from the acquisition agreement and 8-K, loan and cash and existing debt from the 8-K and SEC filings. Sources 1, 2, 5. [1][2][5]*

## The other half of the receipt is a loan

[The 8-K filed the same morning](https://www.sec.gov/Archives/edgar/data/1528396/000119312526432656/0001193125-26-432656-index.htm) shows what the press release does not: $1.0 billion of the purchase is new debt [2]. A senior secured incremental term loan A from [Bank of America](https://theinference.org/markets/companies/bank-of-america) and [Citibank](https://theinference.org/markets/companies/citigroup), priced at SOFR plus 1.00% to 2.00% on a leverage grid, maturing December 2, 2029, amortizing 5% annually from the fifth quarter after closing [2].

The rest comes from cash on hand; Guidewire held roughly $373 million as of July 31, down about 47% year over year, while carrying roughly $703 million of existing term debt [2][5]. Draw the new facility and that debt roughly triples. Guidewire is moving from self-funded growth to leveraged growth through 2029 [2]. No conditions to closing; the deal closes in fiscal Q2 2027 [2].

## Guidewire funded, board-seated and partnered with hx before buying it

hx sits inside Guidewire's orbit already: a PartnerConnect Technology Alliance partner [1], priced by [hx's Series B at $73 million](https://www.businesswire.com/news/home/20240111953381/en/hyperexponential-Raises-$73m-Series-B-to-Expand-Its-Mission-Critical-Insurance-Pricing-Platform) from Battery Ventures and [a16z](https://theinference.org/markets/companies/a16z) in January 2024, with premium on the platform doubling from $37 billion then to more than $75 billion now [3][4]. Pricing decisions stay with carriers that already buy Guidewire, and hx sits inside Guidewire's own 570-customer ecosystem, so the buyer of the tool inherits the installed base rather than renting access to it [1][3][4].

## The earnout is the tell

650 basis points added to fiscal 2027 ARR growth on an inorganic basis, at least 150 basis points of durable organic growth from fiscal 2028, and the $400 million contingent piece paid only if recurring revenue actually arrives [1][2]. Guidewire closed fiscal 2026 with ARR of $1.24 billion, up about 19%, and [guided fiscal 2027 to $1.45 to $1.46 billion](https://finance.yahoo.com/markets/stocks/articles/guidewire-software-maintain-robust-arr-135800786.html) [7].

Now that guidance must absorb both the loan and the promise [2].

Watch the December earnings call, where fiscal 2027 guidance gets updated to carry both [2].

## Takeaway

Guidewire is paying $1.7 billion in cash, up to $2.1 billion with the earnout, for hyperexponential, the AI pricing engine behind $75 billion of premiums, and borrowing $1.0 billion to 2029 to fund it; the $400 million earnout tied to recurring revenue is the number to watch.
