# Marvell Struck Its Lumentum Deal at $1,132 a Share; by Late Morning It Pays About $819

> Lumentum signed a fixed 4.5-for-1 all-stock merger with chip designer Marvell on November 1, then printed a 136% revenue quarter before the open. The ratio pays in Marvell stock, Marvell has slid about 28% from the implied October 28 strike reference, and Lumentum now trades roughly 11% below what the signed terms are worth.

Michael Hurlston, [Lumentum](https://theinference.org/markets/companies/lumentum)'s president and chief executive, signed his company into [Marvell Technology](https://theinference.org/markets/companies/marvell), a Santa Clara chip designer that builds custom AI silicon for [Amazon](https://theinference.org/markets/companies/amazon) and [Microsoft](https://theinference.org/markets/companies/microsoft), on November 1: [a fixed 4.500 Marvell shares per Lumentum share, an implied enterprise value of $115 billion](https://www.sec.gov/Archives/edgar/data/1633978/000119312526442758/0001193125-26-442758-index.htm), about $1,132 per Lumentum share at October 28 prices [1][5].

Hours later came the last quarter Lumentum may report alone. [Revenue was $1,262.6 million, up 136.5% year on year](https://www.sec.gov/Archives/edgar/data/1633978/000162828026068655/0001628280-26-068655-index.htm), on a 42.3% non-GAAP operating margin (a company-adjusted measure excluding items such as stock compensation and the debt charge below) [2][6]. A second major co-packaged optics win, the design that puts lasers beside the switching silicon, came with purchase commitments above $5 billion [2][6]. December-quarter guidance of $1.575–1.625 billion sits above the $1.48 billion analyst consensus [2][6].

*Chart: **From $534 million to $1.26 billion in four quarters, and $1.6 billion guided next** Line chart of Lumentum quarterly revenue rising from $425 million to $1,263 million, with $1,600 million guided for the December quarter*

## A fixed ratio pays in Marvell stock

The consideration is Marvell paper, so the blowout cannot raise what a holder receives; it can only improve the odds of closing [1]. The $1,132 was struck off October 28 closes, the last day before deal speculation, implying Lumentum at $913.64 and, at $1,132 divided by 4.5, Marvell near $251.56 [1].

Marvell closed Friday at $196.40 and traded at $181.96 late morning, down 7.35% and about 28% below that implied level [3]. Four and a half Marvell shares now fetch about $819; Lumentum sits at $731, down 13.05%, roughly 11% below the ratio and 20% below its pre-rumor close, after touching $1,143 on October 9 [4].

*Chart: **Struck at $1,132 per Lumentum share, the ratio's value has fallen to $819 while Lumentum sits at $731** Column chart comparing the value of 4.5 Marvell shares against Lumentum's share price on October 28, October 30 and late morning on November 2*

*Ratio value is 4.5 times the Marvell share price. The October 28 readings are implied by the stated $1,132 strike and 23.9% premium; the Marvell level that day is $1,132 divided by 4.5, near $251.56; October 30 figures are closes; November 2 figures are late-morning quotes. [1][3][4]*

## The $7.2 billion June loss, explained

Monday's release carries a $7.2 billion GAAP net loss in its June-quarter comparative column, and operations are not the cause: a $7.76 billion loss on extinguishing debt, an accounting charge excluded from non-GAAP results, booked as diluted shares rose from 78.3 million to 101.7 million in a year [2]. The June quarter's operations still earned $279.3 million of GAAP operating income, a 27.8% margin [2].

## The gap prices the wait to 2028

Bloomberg counts this [the largest technology deal on record by equity value, $102.5 billion](https://www.bloomberg.com/news/articles/2026-11-02/marvell-reaches-115-billion-deal-for-lumentum-holdings), excluding the [SpaceX](https://theinference.org/markets/companies/spacex)-[xAI](https://theinference.org/markets/companies/xai) merger [5][6]. Marvell promises more than $1 billion of annual run-rate cost synergies on a $550 billion combined addressable market [1].

The re-rating runs next door: [Northland upgraded Coherent, a rival optics maker, to Outperform](https://finance.yahoo.com/markets/stocks/articles/cohr-stock-draws-upgrade-marvell-155006320.html) on scarce photonics, and JPMorgan kept its Overweight, a buy, while trimming its [Coherent](https://theinference.org/markets/companies/coherent) target to $385 from $465 [7].

[Nvidia](https://theinference.org/markets/companies/nvidia), which put $2 billion into Lumentum in March, waits with everyone else [5]. Marvell has pitched this future before, selling a [$625 billion 2030](https://theinference.org/article/marvell-sells-a-625-billion-2030-before-its-own-optics-have-a-shipping-date) in September before its own optics had a shipping date [5].

## What the paperwork will not settle

The agreement prices its own doubts: $5.8 billion payable if Marvell walks, $2.9 billion if Lumentum does, $3.2 billion if regulators block a closing not expected before the first half of 2028 [1]. The gap between $731 and the ratio's worth looks like the market's charge for a wait that runs into 2028, not doubt about the demand [1].

*Chart: **Walking away costs Marvell twice what it costs Lumentum** Bar chart of the three break fees in the Marvell-Lumentum merger agreement: $5.8 billion if Marvell walks away, $2.9 billion if Lumentum walks away, $3.2 billion if regulators block the close*

*Break-up fees in the merger agreement signed November 1, 2026, in USD billions, as stated in Lumentum's 8-K. [1]*

Next come the S-4 registration statement, the merger document both shareholder bases vote on, and the Hart-Scott-Rodino antitrust filing that starts the regulatory clock [1]. The S-4 will show how the 4.500 was negotiated and whether the bankers blessed it; the antitrust clock tests the 2028 date [1]. Neither moves the 4.500: a Lumentum share is paid whatever Marvell trades at on closing day [1].

## Takeaway

Marvell's fixed 4.500 ratio struck at $1,132 per Lumentum share was worth about $819 by late Monday, and Lumentum's roughly 11% discount is the market's fee for a closing the deal papers do not promise before the first half of 2028.
