# MercadoLibre's $1 billion bond is guaranteed by the units that issue its credit cards

> More than 100 institutions bought ten-year notes rated the last rung of investment grade. Shareholders hold a stock a quarter below its high, analysts are $400 apart, and Brazil's October 25 runoff sets the rate path ten days before the November 4 report.

On September 9, 2026, [MercadoLibre](https://theinference.org/markets/companies/mercadolibre) signed [an underwriting agreement](https://www.marketscreener.com/news/mercado-libre-inc-successfully-issues-usd-1-000-million-of-2036-senior-unsecured-notes-ce785bdede81f12c) to sell $1 billion of 5.850% senior notes maturing in 2036, [priced at 97.864% of face value](https://brznews.com/article/nasdaq-mercadolibre-issues-1-billion-in-notes-to-fuel-latin-expansion) [1]. More than 100 institutions bought the ten-year paper [1]. Shareholders are marking the same company differently: the stock traded at $1,850.99 on October 15, about a quarter below its 52-week high of $2,428 [2][3].

The borrower is no startup: founded in Buenos Aires in 1999, headquartered in Montevideo, a Nasdaq-100 constituent selling in 18 countries [4]. The notes carry the last rung of investment grade, BBB- from S&P and Fitch and Baa3 from [Moody's](https://theinference.org/markets/companies/moody-s) [5]. IFR, a bond-markets news service, had reported a target of up to $1.5 billion; the deal landed at $1 billion [5].

## The guarantors are the lenders

The notes are guaranteed by the subsidiaries in Brazil, Mexico, Chile and Colombia that produced 65.2% of consolidated revenue in the first half of 2026 [1]. Those subsidiaries are also where the lending happens. Mercado Pago, the fintech arm, [grew its Brazilian credit-card book 104% year over year to $6.6 billion](https://brznews.com/article/nasdaq-mercadolibre-sacrifices-operating-margins-to-power-brazil-credit-card-gro), with 4.6% of balances 15 to 90 days past due at June 30 [3]. The deal lifts pro forma consolidated debt from $10.63 billion to about $11.63 billion and nets $972.1 million [1].

The notes cost MercadoLibre [$58.5 million a year in coupons](https://www.insidermonkey.com/blog/mercadolibre-meli-priced-1-billion-of-5-85-notes-can-growth-cover-the-funding-cost-1835915/), payable in dollars [6]. The revenue that pays them is collected largely in reais, from the same Brazilian consumers [6][3].

## Growth bought with margin

Second-quarter revenue crossed $10 billion, up 49.8% year over year to $10.17 billion, while operating income fell 17% to $683 million and operating margin dropped to 6.7% from 12.2% a year earlier [3][7][8]. Net income fell 11% to $466 million [9]. A year after cutting its free-shipping threshold in Brazil, items sold there rose 56% [3]. [Amazon](https://theinference.org/markets/companies/amazon) is expanding in the same market [1], and Shopee now delivers in Brazil within four hours [5].

*Chart: **Operating margin has more than halved from its 2024 peak** Line chart of MercadoLibre's quarterly operating margin from Q1 2024 to Q2 2026, holding near or above 10 percent through 2025, then dropping to 6.9 and 6.7 percent in 2026.*

## Management's exhibit: profit arrives later

The company's defense, led by chief executive Ariel Szarfsztejn, is that [card cohorts break even within 12 to 18 months](https://theinference.org/article/mercadolibre-s-new-bond-prices-the-cost-of-its-75-credit-boom) and build "ecosystemic" users who spend more on the marketplace over time [3]. The quarter did beat earnings expectations, with $9.19 of diluted earnings per share against an $8.65 consensus [9]. And 107 hedge funds held the stock at the end of the second quarter, up from 82 three months earlier [6].

## Citi cuts to $2,100 as Susquehanna goes to $2,500

On October 13, [Citi](https://theinference.org/markets/companies/citigroup)'s Joao Pedro Soares [cut his target to $2,100 from $2,150 and kept a Neutral rating](https://www.ad-hoc-news.de/boerse/news/corporate-news/citi-cut-target-to-usd-2-100-mercadolibre-stock-fell-1-13-percent/70326834), citing broadly unchanged Brazil commerce trends ahead of the third-quarter report [9][2]. Cantor Fitzgerald trimmed to $2,200 the day before [2]. Susquehanna's James Friedman [moved the other way on October 6, to $2,500 with a Positive rating](https://www.benzinga.com/quote/MELI/price-targets) [2]. That is a $400 spread on the same set of quarterly numbers.

*Chart: **Latest analyst targets are $400 apart** Bar chart of three analyst price targets for MercadoLibre as of October 15, 2026, from Susquehanna's $2,500 to Citi's $2,100, with the 52-week high of $2,428 marked.*

## The runoff sits ten days before the earnings report

[Brazil votes in a presidential runoff on October 25](https://grist.org/international/brazil-election-runoff-amazon-deforestation-lula-bolsonaro/), ten days before MercadoLibre's third-quarter report on November 4 [8][10]. Senator Flávio Bolsonaro, campaigning on a deregulatory agenda, finished 2.2 million votes ahead of President Lula in the first round [10]. What the vote does to Brazilian rates is in no filing; what is on the record is Brazil's stock exchange hitting record highs on his rally in early October [5].

Both sides of the trade rest on the same borrower: the Brazilian cardholder whose repayments service a 5.85% dollar coupon, and whose spending is supposed to rebuild the margin. The first reading lands on November 4, when the company reports the margin line and the delinquency rate on $6.6 billion of cards.

## Takeaway

MercadoLibre sold $1 billion of 5.850% 2036 notes guaranteed by the same Brazilian and Mexican lending units that are compressing its margin; the November 4 report is the first test of whether the card bet rebuilds profit before the coupon compounds.
