# Meta's AI buildout now costs 6.5% a year: $12.5 billion banked tonight, $24.9 billion more to come

> Meta banked $12.5 billion of 6.50% mandatory convertible preferred tonight and locked about $24.9 billion more in forwards, days after its capital spending passed its operating cash flow and AI credit repriced. The AI buildout's bill now has a stated coupon.

[Meta](https://theinference.org/markets/companies/meta) closed the two-part raise tonight that puts a visible price on the AI buildout. [An 8-K filed October 29](https://www.sec.gov/Archives/edgar/data/1326801/000119312526438017/0001193125-26-438017-index.htm) confirms $12.5 billion of mandatory convertible preferred stock in the bank, paying 6.50% [1]. The second piece is a set of forward sale agreements over 40 million Class A shares at an initial forward price of $622.91875, worth about $24.9 billion that Meta collects whenever it chooses, through November 19, 2027 [1].

Six and a half percent is the rent on the gap between what Meta earns and what it builds.

## The buildout outran the cash that pays for it

Third-quarter capital spending passed operating cash flow for the first time in this buildout, and free cash flow turned negative, which had not happened since 2012 [2][3]. Meta forecasts $135 billion to $145 billion of capital spending this year, and its own filing says debt on that scale would damage its credit rating [4].

The debt market had already repriced the risk: [Meta's default swaps, the cost of insuring against a default, hit a record on October 23](https://www.msn.com/en-us/money/markets/ai-debt-fears-ease-ahead-of-oracle-alphabet-and-amazon-updates-heres-what-to-watch/ar-AA2gbOQL), and investors braced for a jumbo bond deal after earnings [3][5]. The equity raise replaced that bond, and AI credit spreads eased the moment no bond appeared [5].

## The dilution is scheduled, not optional

The preferred pays its coupon quarterly from February 15, 2027, and converts into Class A stock by August 15, 2029, whether holders want it or not [1]. Buyers collect the fixed coupon, take stock-like losses below the $625 common price, and forgo gains until the stock clears a threshold 17.5% higher [3].

While any preferred is outstanding, Meta cannot pay common dividends or buy back stock without clearing the preferred's dividends first [1]. Demand was there: the common piece was [upsized to $25 billion after drawing about five times the shares on offer](https://www.prnewswire.com/news-releases/meta-announces-pricing-of-offering-of-depositary-shares-representing-series-a-mandatory-convertible-preferred-stock-and-offering-of-class-a-common-stock-in-connection-with-forward-sale-agreements-302920247.html) [6][3]. [Nvidia](https://theinference.org/markets/companies/nvidia) committed $3 billion and [AMD](https://theinference.org/markets/companies/amd) added $1 billion, suppliers financing their own customer, as [we reported this week](https://theinference.org/article/nvidia-bought-3-billion-of-meta-s-25-billion-stock-sale-as-meta-expands-its-nvidia-orders) [3].

## The same filing leaves the Class C door open

The 8-K also discloses that once Meta's amended charter takes effect on January 19, 2027, the company can settle those forwards entirely in the new nonvoting Class C shares, with the forward price cut to match any discount at which Class C trades [1].

A Steamfitters Local 449 pension fund and two Class A holders [sued in Delaware on October 27 to block the class](https://thenextweb.com/news/meta-shareholders-sue-zuckerberg-class-c-shares), days after the same court blocked a similar plan at [Cloudflare](https://theinference.org/markets/companies/cloudflare), as [we reported](https://theinference.org/article/meta-investors-sue-to-block-a-share-class-that-frees-23-8-billion-for-zuckerberg-to-sell) [7]. Their complaint quotes Moelis, the special committee's banker, on the alternative: Meta could have sold roughly $700 billion of ordinary voting stock over several years with chief executive [Mark Zuckerberg](https://theinference.org/markets/people/mark-zuckerberg)'s majority intact [7].

Meta's filing says he [told the committee he would not support any significant equity financing that reduced his voting control](https://www.msn.com/en-ca/news/other/explainer-why-is-meta-creating-a-new-class-of-non-voting-shares-amid-its-ai-growth/ar-AA2fV5iB) [4]. The class decides who controls Meta, not whether Meta can raise money.

## The limiting link is now the cost of money

The buildout still deserves funding. It is the middle hop between model capability and services people use, and five-times-covered demand says investors agree. What changed this week is the limiting link: chips and demand are in place, and the cost of capital now sets the pace, with S&P expecting the big AI builders to run negative free operating cash flow through 2027 [5].

If the best-funded builder in the sector pays 6.50% for money that becomes shares, weaker hands in AI infrastructure are paying more [3][1]. The test is timing: Meta's new AI businesses are expected to begin contributing revenue in 2027, ahead of the mandatory conversion in 2029 [3][1]. If that revenue lands, 6.50% was cheap [3][1]. If it slips, the coupon is only the first installment of the bill.

## Takeaway

Meta closed $12.5 billion of 6.50% mandatory convertible preferred plus about $24.9 billion of forward sales days after Q3 capex passed its operating cash flow; the cost of capital, not chips or demand, now sets the pace of the AI buildout.
