# Motorola beat estimates, then marked up what it owes its drone sellers to $214 million

> Record backlog, raised guidance, and an earnout to the sellers of drone-radio maker Silvus that has grown five-fold since the deal closed, paid in stock and excluded from the adjusted numbers analysts score.

## The drone sellers keep beating their deal targets

[Motorola Solutions](https://theinference.org/markets/companies/motorola-solutions), the Chicago maker of mission-critical radios, video security and command-center software for public-safety agencies, bought Silvus Technologies, a maker of drone-networking radios, on August 6, 2025, for $4.4 billion in cash [1]. The sellers, Silvus Technologies Group LLC, can earn up to $600 million more, payable in Motorola stock if Silvus hits financial targets: up to $150 million for the year through July 3, 2027, and up to $450 million for the year through July 1, 2028 [1].

Motorola booked that promise at $38 million at close, and re-marks it up each quarter because Silvus keeps beating the targets [1]. [The quarterly report filed November 4](https://www.sec.gov/Archives/edgar/data/68505/000006850526000044/msi-20261003.htm) values the liability at $214 million as of October 3, up from $127 million at the second quarter, after an $87 million charge [1][5]. The same filing carries a $39 million Silvus order from a German unmanned-systems provider [2].

## Record orders in radios, video and command center

The quarter underneath was a record. Sales rose 12% to $3.376 billion, organic growth was 5%, and [backlog hit $16.6 billion, up 14%, on record orders across the three product lines](https://markets.ft.com/data/announce/detail?dockey=600-202611041610BIZWIRE_USPRX____20261104_BW754040-1) [2]. [Adjusted earnings of $4.69 a share beat the $4.41 analysts expected](https://wtop.com/national/2026/11/motorola-q3-earnings-snapshot/) [3]. Guidance rose again: about $13.05 billion of revenue and $17.94 to $17.99 in adjusted earnings for the year [2].

## Why reported earnings fell in a record quarter

GAAP earnings per share fell 8% to $3.06 from $3.33 a year ago, and reported operating margin fell to 23.0% from 25.6%, because the earnout markup sits in the reported line [2]. The adjusted number, which excludes it, rose 16% to $4.69 from $4.06 [2]. The payout is stock, and those shares stay out of the diluted share count until the targets are met [1].

## AI memory costs and drone debt drained cash even as orders hit records

[Free cash flow fell 19.6% to $589 million](https://trendandticker.com/markets/telecom-media/motorola-solutions-msi-q3-raises-2026-guide-backlog-16-6-billion) [2][4]. Inventory rose to $1.51 billion from $983 million at year-end, drawing $503 million of cash, costs the company ties to memory prices pushed up by AI demand [1][2]. The counter-drone maker D-Fend cost $1.3 billion, funded mostly with $950 million of new senior notes, and net debt rose to about $9.34 billion from $8.0 billion at year-end [2][4].

*Chart: **Free cash flow fell year over year in Q3 despite record orders** Line chart of Motorola Solutions quarterly free cash flow from Q3 2024 to Q3 2026, peaking at $1.14 billion in Q4 2025 and falling to $589 million in Q3 2026, down from $732 million a year earlier.*

## Two camps, one filing

Buyers of the backlog hold record orders, raised guidance and a $2 billion increase to the buyback authorization [2][7]. Sellers hold falling GAAP earnings, falling cash flow and rising debt. [The shares slipped slightly on the news](https://247wallst.com/cards/motorola-solutions-q3-2026-earnings-msi-01m6m883xx41wxs3m5h16mw6q3) [7].

The charge exists because the drone business is winning orders, and on the day Motorola filed, [a broad selloff knocked military drone stocks](https://news.alphastreet.com/kratos-defense-security-solutions-plunges-11-6-in-broad-selloff/), with [Kratos Defense](https://theinference.org/markets/companies/kratos-defense) down 11.6% and [AeroVironment](https://theinference.org/markets/companies/aerovironment) down 9.3% [6]. Investors who pay an adjusted multiple are agreeing to pay, in diluted shares over time, for a drone business [whose listed rivals fell hard the same week](https://theinference.org/article/the-vote-repriced-the-war-drone-and-missile-stocks-fell-double-digits-and-kratos-reports-tomorrow).

## One number changes every quarter until July 2027

The first earnout measurement period ends July 3, 2027 [1]. [Motorola has marked $214 million of the $600 million cap so far](https://www.bullished.co/motorolas-silvus-earnout-liability-hits-214-million-dragging-reported-operating-margin-to-23c9f626/) [1][5], so each quarterly 10-Q between now and then shows whether the liability climbs toward the $386 million still unearned [1][5]. The backlog moves once a quarter; the earnout bill re-marks every filing until the targets are settled [1].

## Takeaway

Motorola raised guidance on record orders, but the Silvus earnout, paid in stock and excluded from its adjusted numbers, has grown five-fold to $214 million and is re-marked every quarter until July 2027.
