# NextEra and Dominion conceded 114 of 117 Virginia merger conditions; the 3 refusals are financial

> The concessions they took are public-facing and shareholder-funded; the three they refused are the ones that would keep NextEra's hands off the utility's balance sheet. The evidentiary hearing opens November 17, with a January 15, 2027, approval deadline.

[NextEra](https://theinference.org/markets/companies/nextera-energy) and Dominion accepted 114 of the 117 conditions Virginia regulators attached to their [$67 billion merger](https://theinference.org/article/nextera-s-67-billion-dominion-buy-gets-a-virginia-ruling-january-11-on-who-pays-ai-s-power-bill), and the three they refused tell you what the deal is really about [1]. The refusals are the conditions that would wall [Dominion Energy](https://theinference.org/markets/companies/dominion-energy) Virginia's cash off from its new parent, and the companies said so themselves: their alternatives exist to avoid "restricting parent company capital or operational efficiencies" [1].

The timing sharpened the stakes: [the rebuttal testimony was filed at 7 a.m. on November 3](https://www.streetinsider.com/Corporate+News/NextEra+Energy+and+Dominion+Energy+file+updated+merger+terms+with+Virginia+regulators/27277092.html), the day before Virginia's election, in which the cost of powering the state's data centers is a live political issue [2].

*Of the 117 conditions Virginia's Commission Staff and the AG's Consumer Counsel proposed, NextEra and Dominion accepted 101 as written and 13 with modifications or enhancements; the remaining 3 (117 minus 114) drew the companies' 'targeted alternatives'. The accepted conditions are the public-facing package: four years of shareholder-funded residential bill credits, $100 million for the EnergyShare assistance program, $100 million for workforce training, 1,000 new jobs, a five-year headcount guarantee, a new Richmond office tower and up to $5 billion of spending with Virginia suppliers [1]. Dominion Energy Virginia, the regulated utility serving 3.6 million homes and businesses across Virginia, North Carolina and South Carolina, keeps its local leadership and its accountability to the State Corporation Commission [1].

## The refusals trace straight back to the staff's rejection case

The pattern was set before this filing. On October 19, five SCC staff investigators [recommended rejecting the merger outright](https://virginiabusiness.com/spanberger-demands-6-year-rate-freeze-dominion-nextera-merger/), saying the companies had not shown that adequate service at just and reasonable rates would survive it, and that the deal would expose Dominion Energy Virginia to the risks of NextEra's unregulated businesses [3]. Governor Abigail Spanberger [demanded a six-year residential rate freeze](https://www.utilitydive.com/news/virginia-governor-seeks-6-year-rate-freeze-if-dominion-nextera-merger-is-ap/833478/) and tripled monthly bill credits [4]. The companies' answer, filed this morning, was to concede nearly everything except the financial separation the staff report turned on [1].

## What the filing changes for the stock

For investors, the odds moved today, in the companies' favor. Virginia law gives the three SCC commissioners until January 15, 2027, to decide, and silence counts as approval [3]. [The evidentiary hearing opens November 17](https://www.utilitydive.com/news/local-hearing-dominion-nextera-merger-rates-data-centers/832739/) [5]. Accepting 114 of 117 conditions makes denial a harder case for opponents to make than it was two weeks ago, ahead of a deal targeted to close in the second half of 2027 [2]. Dominion traded at $67.72 on the filing morning [2].

## Watch the three refused conditions, not the credits

No source names them yet, which is itself the signal: the companies describe "targeted alternatives" [1], and the hearing will force those alternatives into the open. If the commission accepts alternatives that preserve NextEra's access to the utility's capital while the data-center buildout strains Virginia's grid, ratepayers carry the financing risk of the fastest load growth in the country and NextEra carries the upside.

That is the trade this filing was written to close, and the commission has less than eleven weeks to say yes or no.

## Takeaway

NextEra and Dominion conceded every Virginia merger condition except the three that would wall Dominion Energy Virginia's cash off from NextEra, and the January 15 approval deadline makes silence count as yes.
