# NextEra's $67 billion Dominion merger is being sold at two prices, and January decides

> Chief executive John Ketchum pitched the same Dominion Energy takeover in two capitals on the same day, with two years of bill credits for South Carolina and four for Virginia. Two state commissions, and a sealed Florida memo, now decide the world's largest regulated utility.

[NextEra Energy](https://theinference.org/markets/companies/nextera-energy) (NYSE: NEE) chief executive John Ketchum spent October 15 selling the same $67 billion takeover of [Dominion Energy](https://theinference.org/markets/companies/dominion-energy) (NYSE: D) to two capitals, at two different prices. South Carolina lawmakers received [their first formal briefing](https://www.wistv.com/2026/10/15/sc-lawmakers-briefed-67-billion-nextera-dominion-merger/) and a promise of two years of bill credits; in Richmond the same day, critics demanded the release of a company document NextEra is fighting to keep sealed. [1][2]

The merger would create the world's largest regulated electric utility, serving about 10 million accounts across four states. Its fate now rests with state regulators, and with what they are allowed to read. [1][9]

## The pitch is scale, and the demand is AI

The management case runs through the balance sheet. A company spending $10 to $15 billion a year borrows and buys more cheaply, and the savings reach customers, Dominion Energy Virginia president Ed Baine argued in Richmond [2]. The load behind that capital is concrete. [Dominion's](https://theinference.org/markets/companies/dominion-energy) territory holds Data Center Alley, the world's largest cluster of data centers [3], and Virginia regulators just [approved $1 billion in fuel-cost recovery after testimony](https://www.wtvr.com/news/local-news/regulators-approved-dominion-energys-plan-to-recover-1b-in-fuel-costs) that rapid growth in large-load customers helped drive the shortfall [4]. Both companies' capital programs show the build already running. [5][6]

## Two prices, and the timing is the risk

South Carolina households are offered about $10 a month in credits [1]. [Virginia's package](https://theinference.org/article/nextera-s-67-billion-dominion-bid-pays-virginia-households-with-data-centers-credits), expanded in September, runs the same credit to four years [7], and Ketchum told lawmakers in Columbia, South Carolina's capital, he is "open to discussions" on matching it [1]. Put the two $10 beside each other and the timing is the risk: the South Carolina credit ends after two years, while a Virginia household is already paying $10.23 a month toward $1 billion of fuel costs, on a seven-year schedule [1][4]. Ratepayers keep the bill after the credits lapse; shareholders hold the binary January, approval at these terms or no merger. [2][9]

## The sealed memo is the disclosure fight

The Virginia flashpoint is the Robo Memo, named for former NextEra chief executive James Robo, to whom a consultant sent it in 2021 [3][8]. More than 150 pages and partly redacted, [it alleges political misconduct at Florida Power and Light](https://finance.yahoo.com/energy/articles/florida-ghost-candidate-scandal-haunts-160001779.html), NextEra's Florida utility [2]. A hearing examiner, the officer who runs the evidence phase for the commission, [has ordered it into the case file for eyes-only review](https://www.wtvr.com/news/local-news/nextera-dominion-merger-critics-demand-robo-memo-answers-oct-15-2026), no notes allowed [2][8]. NextEra says an independent investigation found no wrongdoing by current or former employees [8].

## Shareholders have voted; three commissions have not

The deal still needs [approval from regulators in Virginia](https://theinference.org/article/virginia-puts-nextera-s-67-billion-dominion-takeover-on-trial), South Carolina and North Carolina [9]. South Carolina's Public Service Commission draws the State House's attention because the legislature elects its members [1]. Shareholders of both companies approved in September, after NextEra announced the takeover in May [9][10]; Senator Elizabeth Warren and other Democrats in Congress [have asked federal regulators to block the deal if it increases market concentration](https://www.cbsnews.com/news/nextera-dominion-merger-utility-prices/) [10]. Baine's promise that no merger costs reach customers, with regulators approving every rate change, is what each commission will test [2].

The demand behind this merger is observable: in the capital programs, in the fuel bills, in the data centers drawing the power. The last mile is political, and it is dated: South Carolina's formal hearing on December 8, both commissions' orders in January, and the close the companies expect in the second half of 2027. [7][9]

## Takeaway

NextEra offered South Carolina two years of $10 bill credits and Virginia four for the same $67 billion Dominion takeover, and the sealed Robo Memo now shadows the January orders that decide it.
