# Nidec may sue its own executives as 9% holder Oasis Management pushes a sale before an October 28 filing

> Nidec has received the report on whether its own executives are liable for its accounting fraud and says it may sue them for damages. What its AI-cooling franchise is worth has stopped being a technology question: a delisting decision due October 28, and a 9% activist pressing for a sale, will set the price.

Nidec can now sue its own leadership. The Kyoto motor maker said on October 15 that it had [received the report of a committee set up in March](https://www.businesswire.com/news/home/20261015562388/en) to decide whether current and former directors, auditors and vice presidents bear legal liability for the group's improper accounting, and that it will weigh claims for damages against them [2][7]. The next morning UBS cut the stock to Neutral and [the shares fell more than 9%](https://gmteight.com/flash/detail/1548121) [1]. The underlying business is an AI-infrastructure franchise in working order; the discount on it is a trust discount, and a filing due October 28 decides how it resolves.

## The engineering is ready; the accounts are not

Nidec, the world's largest maker of precision motors, spent this week's OCP Global Summit [showing a 3.2-megawatt in-row coolant distribution unit](https://refindustry.com/news/nidec-unveils-3-2-mw-in-row-cdu-prototype-with-800-vdc-compatibility/) for high-density AI clusters, built for 800-volt DC data-center power, with mass production planned for the first half of 2027 [5]. Its new chief executive, Michio Kaida, is shifting resources out of appliances and cars into energy infrastructure, AI products and semiconductors [8]. But for the year ended March 2026 the company wrote down more than ¥600 billion after accounting fraud at subsidiaries in Italy, Switzerland and China, erasing practically all of the profit it had earned over the past decade, and PwC Japan has [refused to vouch for its financial statements](https://www.msn.com/en-us/money/other/nidec-aims-for-october-audit-sign-off-as-new-ceo-vows-to-restore-trust/ar-AA2dkmcm) [8][11][6].

## October 28 is the gate

The Tokyo Stock Exchange put Nidec on special alert a year ago. The company must now file a securities report carrying an auditor's opinion by October 28; [a missed deadline starts a delisting review](https://www.bloomberg.com/news/articles/2026-10-13/nidec-shares-hit-decade-low-as-delisting-risk-mounts), and the exchange may grant only until March [11][8]. Suing executives is accountability, but a damages fight also extends the very overhang the listing needs lifted.

## The 9 percent shareholder wants the sale run first

Oasis Management has [raised its stake to 9.0%](https://www.tradingview.com/news/reuters.com,2026:newsml_P8N44O021:0-oasis-raises-stake-in-nidec-to-9-0-from-7-97-filing-shows/), passing founder Shigenobu Nagamori's 8.3% to become the largest holder [4][10]. Seth Fischer wants the board to [hire advisers and solicit preliminary bids now](https://www.japantimes.co.jp/business/2026/10/15/oasis-nidec-largest-shareholder/), before the exchange rules, because a delisting would strand minority shareholders [10][11]. Analysts expect buyers to do the opposite and wait for that ruling, so they can bid at a discount [11].

The AI buildout will pay whoever ends up holding these assets with clean books. Nidec shows where the bottleneck in AI infrastructure can sit: the cooling unit ships in 2027, but the audit opinion is due October 28.

## Takeaway

Nidec's trust discount now meets a deadline: the October 28 filing decides whether the AI-cooling franchise stays listed or is sold, and Oasis at 9% wants bids solicited before the exchange rules.
