# Nidec's own committee puts founder Nagamori on the hook; ¥28.7 billion suit, earnings Oct. 26

> An outside committee has found founder Shigenobu Nagamori and other current and former executives legally liable for years of improper accounting; the redacted report is public and earnings land October 26. The question for AI-infrastructure buyers is whether the damage stops at the EV motor unit or reaches the data-center cooling line.

## The founder is now the liability

[Nidec](https://theinference.org/markets/companies/nidec), the Kyoto company that grew into the world's largest motor maker [3], closed Monday in Tokyo at ¥1,760, [its weakest level since 2016](https://finance.yahoo.com/markets/stocks/articles/nidec-shares-hit-decade-low-060331386.html) [1]. The trigger came from inside the house: a committee of outside lawyers and certified public accountants, formed in March, concluded that founder Shigenobu Nagamori and executives who served under him violated laws and regulations in performing their duties [2]. A company worth almost ¥9 trillion less than six years ago is worth about ¥2.1 trillion now [4].

## The rot dates to 2017, and the pitch missed it

The Financial Times reported on October 19 that Nagamori [shut down a call for an accounting probe back in 2017](https://www.ft.com/content/a663f0c9-dfcd-4c21-8301-89caadedba08) [5]. The improper accounting, delaying write-downs to keep earnings looking strong, ended in an impairment that wiped out a decade of accumulated profit, [a PwC refusal to sign the annual results](https://theinference.org/article/nidec-asks-its-banks-for-600-billion-while-its-auditor-still-won-t-sign), and a Tokyo Stock Exchange special alert that can precede delisting [4]. The electric-vehicle motor write-down alone sank Nidec to a $3.6 billion loss [3]. October's stock screeners were still marketing "Japanese founder-led" names to retail investors as an alignment feature [4].

## Who pays, and when

A [shareholder derivative suit](https://ua.news/en/world/nidec-rozgliadaie-stiagnennia-zbitkiv-iz-zasnovnika-the-japan-times) against Nagamori and one other person already seeks ¥28.7 billion [6]. Nidec's own claim is next: on October 16 [it said it will deliberate legal actions, including a damages claim](https://finance.yahoo.com/markets/stocks/articles/nidec-announces-receipt-investigation-report-042300809.html), against Nagamori; the executives who led Nidec after he stepped down as president in 2018, Hiroyuki Yoshimoto, Jun Seki, Hiroshi Kobe and Mitsuya Kishida; and incumbent executive Kazuya Murakami [2][7]. Kishida quit as chief executive in late September [4]. The redacted report went public today, October 20 [8]. The outside check the founder never allowed is now running the company: the auditor held, the board moved against its own founder, and the next reading is the October 26 earnings print [9].

*Chart: **A decade low: Nidec has lost 40% from its 52-week high** Bars comparing Nidec's 52-week high of ¥2,941 with its October 16 close of ¥1,800 and its October 19 close of ¥1,760, the weakest since 2016*

*Nidec (TSE: 6594) closing prices in yen. 52-week high and October 16 close as quoted on October 16; October 19 close from Tokyo trading on October 19. [9][1]*

## The cooling line is the tell

Oasis Management, the Hong Kong activist holding 9% as Nidec's largest single shareholder, is [weighing an extraordinary general meeting](https://asia.nikkei.com/business/companies/oasis-may-seek-extraordinary-general-meeting-to-revamp-nidec-board) and wants foreign directors [3]; it has also [pressed a review of privatization options](https://theinference.org/article/nidec-may-sue-its-own-executives-as-9-holder-oasis-management-pushes-a-sale-before-an-october-28-filing) [10]. Nidec sits inside the AI build-out, selling the fans that cool data centers and the coolant distribution units that handle growing thermal loads, and it unveiled a 3.2MW in-row cooling prototype on October 14 [8]. The headline loss so far is an EV motor write-down [3]. If the report and the October 26 numbers keep the damage there, a 9% activist plus a damages claim frames a reset. If the accounting reaches the cooling and precision-motor lines, the minus 4.06 price-to-earnings ratio is already the warning [9]. A supplier to the AI build-out priced on a negative multiple is either a reset or a warning, and this week's two documents decide which.

## Takeaway

Nidec's own outside committee has put founder Shigenobu Nagamori on the hook for improper accounting dating to 2017, with a ¥28.7 billion derivative suit pending, a company damages claim under deliberation and activist Oasis Management weighing a board overhaul. Whether the AI-cooling franchise is implicated will be settled by the October 26 earnings and the redacted report now public.
