# Nvidia confirmed up to $2 billion of xAI equity on top of a $17 billion SpaceX stake it already holds

> Nvidia confirmed up to $2 billion of equity in xAI's $20 billion round on October 8, on top of a roughly $17 billion SpaceX stake and the Wall Street machinery financing the chip purchases. The collateral underneath is GPUs that lose about 30 percent of their value a year.

## The check Huang wishes were bigger

[Jensen Huang](https://theinference.org/markets/people/jensen-huang) [confirmed on CNBC on October 8](https://www.pwcio.com/lopt-p/twoc/krl.html) that [Nvidia](https://theinference.org/markets/companies/nvidia) will take up to $2 billion of equity in [xAI](https://theinference.org/markets/companies/xai)'s newest $20 billion round [1]. His only regret, he said, was "not investing more money": "Almost everything related to [Musk](https://theinference.org/markets/people/elon-musk), you want to be involved" [1]. xAI is the AI business [SpaceX](https://theinference.org/markets/companies/spacex) absorbed in February [5].

## The collateral is chips, not equity

Per Bloomberg, the round is roughly $7.5 billion of equity plus $12.5 billion of debt: a special-purpose vehicle buys the Nvidia hardware, xAI leases it for five years, and lenders take the GPUs, not xAI's assets, as collateral [1]. xAI burns about $1 billion a month [1]. SpaceX separately is [negotiating $40 billion of chip debt](https://coinpedia.org/crypto-live-news/nvidia-stock-price-today-spacex-seeks-40-billion-in-debt-to-buy-nvidia-ai-chips/), $30 billion of it in investment-grade bonds, with Apollo leading and Pimco in talks; nothing closes before 2027 [2][3].

## One counterparty, four roles

Nvidia already [holds 122.8 million SpaceX shares](https://finance.yahoo.com/markets/stocks/articles/nvda-discloses-21b-stake-spacex-234954047.html), about $17 billion at mid-August prices, from its $10 billion January bet on xAI [5]. Musk [has pledged SpaceX data centers exclusively to Nvidia silicon](https://theinference.org/article/musk-bound-spacex-to-one-chip-supplier-the-bill-is-40-billion-of-debt) [4]. In August, Nvidia [signed memorandums](https://www.cnbc.com/2026/08/10/nvidia-wall-street-asset-managers-500-billion-ai-push.html) with Apollo, Blackstone, BlackRock, Brookfield, [Goldman Sachs](https://theinference.org/markets/companies/goldman-sachs) and KKR to mobilize more than $500 billion of lending so customers can buy its chips [3][8].

It sells the silicon, arranges the credit and owns the buyer; supplier, lessor, lender and shareholder are now the same counterparty [6]. Huang rejects the circular-financing label [6].

*Chart: **Debt, not equity, funds Musk's Nvidia bill** Bar chart ranking four reported financing legs around Musk-company Nvidia chip purchases: SpaceX bonds $30B, xAI SPV debt $12.5B, SpaceX bank loans $10B, Nvidia equity in xAI $2B, the smallest leg.*

*Reported and proposed amounts as of October 8, 2026; none has closed. xAI round per Bloomberg; SpaceX package per the Financial Times and Reuters, in early talks. [1][2][3]*

## Depreciation against a thirty-year bond

Nvidia books the chip revenue on delivery; the debt paying for it runs five years under the xAI lease and out to thirty in SpaceX's June tranches [1][6]. AI hardware loses roughly 30 percent of replacement value a year; a $1 chip from 2026 is worth about $0.34 by 2029 [6]. [June's $25 billion SpaceX bond sale](https://www.msn.com/en-us/money/general/spacex-bond-deal-30-year-maturities-nvidia-chip-collateral-worth-fraction-by-mid-decade/ar-AA2dM3k5) saw every tranche trade below issue price within days [6].

*Chart: **A dollar of 2026 chips is worth about 34 cents by 2029** Line chart of the replacement value of one dollar of 2026 AI hardware: about $1.00 in 2026, 70 cents in 2027, 49 cents in 2028 and about 34 cents in 2029, at a reported loss of roughly 30 percent of value a year.*

The cash meant to service that debt is thinner. SpaceX's second quarter ran $18.4 billion of capex, $15.8 billion of it AI compute, against $7.8 billion of revenue [4][6]. The AI division meant to pay for it lost $1.26 billion on $2.56 billion of sales [7]. Nvidia's own July-quarter revenue was $96.2 billion, up 106 percent [10].

*Nvidia revenue by fiscal quarter, in US$ billions, from its SEC filings, retrieved 8 October 2026; the July 2026 quarter came in at $96.2 billion, up 106 percent from a year earlier. Fiscal quarters end in April, July, October and January. [11]*

## The bull case has numbers too

Huang's words carry it: chips are "an investable asset class," productive and "long-lived" [8]. Hyperscalers run $2.5 trillion of business and $500 billion of capex, against $30 to $40 billion of internet-company value in 2000 [1]. SpaceX holds about $100 billion of cash and $75 billion of contracted AI revenue [6], and June's bonds drew nearly $90 billion of orders [9]. Larry Fink called the machinery "the next future for financial engineering," kin to mortgage-backed securities [8].

## What to watch

Nothing closes before 2027, so price discovery arrives in the credit market first: watch the spread on new SpaceX paper against June's [2][6]. Oppenheimer projects more than $400 billion of SpaceX net debt by 2031 [6]. "The equity market owns the upside, bondholders don't," Shorecliff's Grant Nachman said after the June sale [6]. Nvidia holds the upside at both ends, chips sold and shares owned.

## Takeaway

Nvidia confirmed up to $2 billion of equity in xAI's $20 billion round on top of a roughly $17 billion SpaceX stake, while $40 billion of chip debt is still in talks; the collateral is hardware losing about 30 percent of its value a year, and nothing closes before 2027.
