# Olympus banked $341 million at $18. Accelevation now trades 31% lower

> Accelevation's Nasdaq debut was mostly a private-equity exit: Olympus affiliates took $341.1 million of the $540 million while the company kept $170.55 million. The stock closed Monday at $12.49, about 31% under its $18 offer, and the underwriters' 30-day option over Olympus shares lapses October 29.

[Accelevation](https://theinference.org/markets/companies/accelevation), which designs, makes and installs the power, cooling and structural systems inside data centers, closed at $12.49 on Monday, October 19, down 4%, after touching a low since listing of $12.15 [5][3][2]. That is about 31% under [the $18 offer priced on September 29](https://www.sec.gov/Archives/edgar/data/2141406/000162828026064097/accelevationllc-424b4.htm), below a marketed range whose top implied a market value of about $5.4 billion; Monday's close put the company at $1.5 billion [1][7][2].

Turnover was 0.45%, about $6.8 million: the float barely trades, and the price still falls [2]. [The Inference reported on October 16](https://theinference.org/article/accelevation-paid-its-sponsor-299-million-pre-ipo-then-drew-400-million-of-bank-debt-stock-below-18) that Accelevation paid its sponsor $299 million before listing and drew $400 million of bank debt; the tape has weakened since.

## Sellers took twice what the company kept

The $540 million deal was mostly an exit [1][3]. Of 30 million shares priced at $18, 20 million came from stockholders affiliated with [Olympus Partners](https://theinference.org/markets/companies/olympus-partners), the buyout firm that took control on January 2, 2025; they netted $341.1 million and the company kept $170.55 million to repay debt, with $28.35 million going to underwriters [1].

[Olympus still controls about 85% of the votes](https://theinference.org/article/olympus-sells-513-million-of-accelevation-s-ipo-and-keeps-85-of-the-votes), 83% if the option is exercised in full [1]. The offering used an Up-C structure, a listed company sitting above an operating partnership whose pre-IPO owners keep exchangeable units and voting stock [1]. It also carries a Tax Receivable Agreement, and Accelevation itself expects those payments to pre-IPO owners to be "substantial" and able to "materially affect" liquidity [1].

## The AI-infrastructure window shut days after the listing

The listing cleared a door that closed behind it. [Nvidia](https://theinference.org/markets/companies/nvidia)-backed Firmus Grid [withdrew its planned US$5.5 billion Sydney float](https://www.straitstimes.com/business/nvidia-backed-firmus-drops-australian-ipo-plans-move-sends-ai-funding-warning) on October 9 after demand failed to support the A$11 offer price; investors cited rich valuations and heavy data-center spending, and UniSuper, one of Australia's biggest pension funds, stayed out [6]. On October 13, [CNBC](https://www.cnbc.com/2026/10/13/jim-cramer-accelevation-stock.html)'s Jim Cramer told viewers to wait until after the November 3 midterms before buying any data-center supplier, and to prefer established names such as [Vertiv](https://theinference.org/markets/companies/vertiv) and [Eaton](https://theinference.org/markets/companies/eaton) [5].

## The 30-day option over Olympus shares lapses October 29

Underwriters also hold a 30-day option, the greenshoe, to buy up to 4.5 million more Olympus-held shares at $18, about $81 million if exercised in full [1][3]. A greenshoe covers the over-allotment, the extra shares underwriters may have sold beyond the base deal; when a new stock trades below its offer, [they typically buy in the open market to cover it, which can hold the price near $18](https://www.ainvest.com/news/accv-bounced-7-18-ipo-price-reclaim-real-test-2610/) [4].

No filing since the offering shows whether they exercised the option or bought a single share to support ACCV, and no close has held near $18 since the $17.95 debut on September 30 [1][4][5].

*Chart: **No level has held, from an $18 offer to a $12.49 close** Column chart of ACCV share price: $18.00 offer, $17.95 first close, $14.77 week-one low, $12.49 close on October 19*

*ACCV in US dollars per share: offer price, debut close, week-one low and Monday October 19 close. [1][4][5][2]*

## The bulls have receipts, and one concentration problem

The business under the falling chart is real. Revenue grew 147% to $447.8 million in 2025 and another 176% to $437.5 million in the first half of 2026, which produced $18.8 million of net income; backlog was about $1.1 billion at June 30 [1][7].

Chief executive [Michael Rubiera](https://theinference.org/markets/people/michael-rubiera) has bought 203,200 shares for about $3.66 million, and October 16 brought [the first Built Together payouts](https://www.quiverquant.com/news/Accelevation+Holdings+Corp.+to+Begin+First+Employee+Ownership+Program+Payments+Following+IPO), cash, retirement contributions and restricted stock worth $100,000 to $250,000 per eligible employee over two years [8]. The catch: about 61% of last year's direct revenue came from two customers [7].

## Three dates decide it

October 29, when the greenshoe lapses [1][3]. November 3, the midterms, with [Anthropic](https://theinference.org/markets/companies/anthropic) targeting a mega-IPO as early as November, the next test of whether the AI-infrastructure window reopens [5][6]. Late March 2027, when the 180-day lock-up on Olympus's remaining stock ends [1]. The $12.15 low was set with the option still live; the first closes after October 29 will be the market's price for Accelevation with no part of the IPO underneath [1].

## Takeaway

Most of the $540 million IPO went out the door to Olympus affiliates, not into Accelevation: $341.1 million against the company's $170.55 million. With the greenshoe lapsing October 29 and Olympus's lock-up ending in late March, the first unsupported closes will price the company on its own.
