# Omnicom spent $3.2 billion on buybacks while its operations made $37.8 million

> A year after closing the IPG merger, Omnicom calls the integration substantially complete and points to 7.2% organic growth. That growth is measured against a rebuilt prior-year baseline, and the same filing shows the buyback dwarfing the cash the business produced.

## The buyback came out of the balance sheet

[Omnicom](https://theinference.org/markets/companies/omnicom-group) is closing out the biggest acquisition in advertising history [1][2]. [The 10-Q filed on October 22](https://www.stocktitan.net/sec-filings/OMC/10-q-omnicom-group-inc-quarterly-earnings-report-0f8ae5f31895.html) shows the bill: nine months of operations produced $37.8 million of cash, while share repurchases took $3.21 billion and dividends another $703 million [3]. The buyback alone ran about 85 times operating cash flow, and cash on the balance sheet fell from $6.88 billion at the start of the period to $3.80 billion at quarter-end [3].

On the earnings call, chief executive [John Wren](https://theinference.org/markets/people/john-wren) [called the integration of Interpublic Group "substantially completed"](https://finance.yahoo.com/media-advertising/articles/omnicom-ipg-deal-substantially-completed-142614833.html) and the $900 million cost-savings target on track [2]. Chief financial officer Philip Angelastro said in September that headcount would fall from about 120,000 to about 105,000 by December 31, targeting duplicated corporate functions and regional management [1][4]. The cuts sit under a $1.5 billion gross synergy target, and the December wave retired the DDB, FCB and MullenLowe agency brands [1][4]. Third-quarter severance and repositioning costs more than doubled, to $84.7 million from $38.6 million [3].

## The 7.2% rests on a rebuilt baseline

Third-quarter revenue was $6.42 billion against $4.04 billion a year earlier, a comparison in which IPG sits inside 2026 but not inside 2025 [3]. Omnicom's preferred measure, [7.2% organic growth for the quarter](https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&CIK=0000029989) and 5.8% for nine months, is struck against combined prior-year periods that include IPG before the November 26, 2025, closing [3]. Revenue from businesses held for sale, $412 million in the quarter, is stripped out of that calculation [1][7].

[Working capital absorbed $2.32 billion of the nine months](https://www.mediaweek.com.au/omnicom-job-cuts-near-end-ipg-integration), more than the period's $1.70 billion of net income, against cash used of $99.2 million a year earlier [3]. For all of 2025, operations produced roughly $2.9 billion, and the fourth quarter alone generated $3.04 billion [9].

*Chart: **Cash conversion collapsed after the IPG merger closed** Column chart comparing cash from operations: about $2.9B for full-year 2025, $3.04B in the fourth quarter of 2025, and $37.8M in the nine months to September 30, 2026.*

*Cash from operations by period, US$ billions, from Omnicom's SEC filings. The nine-month 2026 figure reflects the working-capital outflow from the IPG integration. [9][3]*

*Chart: **Buybacks ran about 85 times operating cash flow** Bar chart of Omnicom's nine-month 2026 cash: operating cash flow $37.8M, dividends paid $703.3M, share repurchases $3,210.3M.*

*Cash generated or deployed, nine months ended September 30, 2026, US$ millions, from Omnicom's Form 10-Q. [3]*

## The creative line is shrinking

Advertising, the creative discipline at the heart of the group, [fell by a mid-single-digit percentage organically in the third quarter](https://www.adweek.com/agencies/omnicoms-900m-cost-cutting-drive-continues-in-q3-as-revenues-stay-flat/), after a high-single-digit drop in the second [1]. Tyler Turnbull, a key figure at the agencies FCB and McCann, left this month to lead WPP's creative arm, and Troy Ruhanen, who led Omnicom Advertising, retired [2]. Wren told analysts that "Everybody is replaceable" and pointed to succession plans [2].

Publicis, the French rival, [took PepsiCo's global media account](https://www.exchange4media.com/advertising-news/publicis-wins-pepsicos-global-media-account-exits-coca-cola-pitch-157895.html), which Omnicom's OMD network had held for more than two decades, without a formal pitch [2][5]. [PepsiCo](https://theinference.org/markets/companies/pepsico) spent $5.4 billion on marketing in 2025 [5]. "You can't sugarcoat it," Angelastro said of the loss [4].

## Integrated media is carrying the group

Integrated media, 53% of revenue once businesses held for sale are stripped out, grew more than 10% and added [Novo Nordisk](https://theinference.org/markets/companies/novo-nordisk)'s American media buying plus [Coca-Cola's North American media from December 1](https://marketech-apac.com/coca-cola-retains-wpp-open-x-globally-appoints-omnicom-for-north-america-media/) [1][2][7]. Publicis had handled that Coca-Cola business since last year, and it separately withdrew from the global media pitch in September after winning PepsiCo [2][5][6]. Leverage stands at 2.3 times against a 3.5-times covenant [3]. Publicis itself [grew 5% organically in the quarter](https://www.adweek.com/agencies/publicis-says-three-horse-holdco-race-is-good-for-business-as-q3-growth-hits-5/) and books $465 million of revenue from this year's new business [8].

## The quarter that decides it

[The year-end deadline for the final cuts](https://www.mediapost.com/publications/article/417911/omnicom-set-to-cut-15000-jobs.html), Wren's "handful" of remaining dispositions and the December cash conversion all land in the same three months [1][2]. December's cash statement will show whether the $900 million of savings arrives as cash [2].

## Takeaway

Omnicom's first three quarters as the owner of IPG produced $37.8 million of operating cash while share repurchases took $3.21 billion, and the 7.2% organic growth claim rests on a rebased prior-year baseline. The December cash statement is the test of whether the $900 million of savings is real money.
