# One Stop Systems raised guidance twice and filed to sell up to $50 million of stock, 41% of its market value

> The edge-computing maker beat, raised guidance twice and opened a $50 million at-the-market program in the same week. At a $122.68 million market cap, that facility is now about 41% of the company, and retail sentiment has not noticed.

[One Stop Systems](https://theinference.org/markets/companies/one-stop-systems) reported the best quarter of its turnaround on October 28 and, in the same filing, opened the door to selling up to $50 million of new stock. Both facts are in the documents. The question a holder must answer is which one pays for the other.

## The quarter the bulls wanted

Third-quarter revenue hit $12.58 million, up 35.9% year over year and 14.4% above the $11.0 million consensus, and management raised its 2026 growth guidance a second time, to about 40%, or roughly $45 million of revenue, from 25% to 30% a quarter earlier [2]. The growth guide is a staircase: 20% to 25% early in the year, then 25% to 30%, then about 40% [2].

The business behind it is real: a tier-one enterprise qualification for its Gen5 expansion system, 14 multi-year programs against one three years ago, and management saying all 2026 guidance is already in backlog [2]. One caveat sits in the same record: growth is decelerating quarter by quarter, 55% in the first, 62% in the second, 35.9% in the third [2].

*Chart: **Growth came back in 2026, then slowed: 55%, 62%, then 35.9%** Column chart of One Stop Systems' year-over-year quarterly revenue growth across six quarters, from Q1 2025 to Q3 2026: steep declines through 2025, a rebound to 55% and 62.3% in the first half of 2026 and a slowdown to 35.9% in the third quarter.*

*Year-over-year revenue growth by calendar quarter. Q4 2024 and Q4 2025 are left out: reported revenue for those quarters was negative after a restatement or disposal, so growth there is not meaningful. Source: One Stop Systems, quarterly figures from SEC filings, retrieved 4 November 2026. [9]*

*Chart: **The growth guide rose twice, from 20-25% to about 40%** Range chart of One Stop Systems' full-year 2026 revenue growth guidance across three earnings reports, from a 20-25% range at the start of the year to a 25-30% range after the Q2 report and about 40% after the Q3 report.*

## The cash that explains the filing

Continuing operations used $12.4 million of cash over nine months, including a $6.25 million legal settlement and a $7.8 million inventory build, and cash and short-term investments fell to $18.9 million from $31.4 million at the end of Q2 [2]. [The CFO said fourth-quarter margins will dip and cash use will stay negative](https://www.bullished.co/one-stop-systems-stock-plunges-8-wiping-out-13-million-as-cfo-flags-margin-dip-after-1315917b/), with a $5.6 million collection slipping into October [3].

So the company [filed an at-the-market program](https://kalkine.com/news/announcements/one-stop-systems-opens-50m-atm-offering-via-piper-sandler) with Piper Sandler: up to $50 million of stock at a 3.0% commission, no obligation to sell any of it, proceeds earmarked for acquisitions, working capital and general corporate purposes [1][3]. EDGAR's list shows [one 2026 prospectus supplement](https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&CIK=0001394056&type=424B5&dateb=&owner=include&count=10) for the program, filed October 28; the brief's November 1 follow-on does not appear there, so the October 28 filing is the verified start date [7].

## Do the dilution arithmetic

On the print day the stock fell 7.54% to $6.25, erasing about $13 million of market value [3]. By November 4 it traded at $4.60, a $122.68 million market capitalization, down from a 52-week high of $20.88 [8]. At that size, the full $50 million program equals roughly 41% of the company's market value [4]. The sellers are not only short sellers: insiders sold $0.4 million over the past year with no buying, and [GuruFocus](https://www.gurufocus.com/news/9147282/one-stop-systems-inc-reports-q3-2026-loss-of-002-per-share-on-revenue-of-126-million-outperforming-analyst-estimates)'s model put fair value at $2.74 against the $6.76 price on October 28 [4].

## Meanwhile, retail is buying

[Stocktwits](https://stocktwits.com/symbol/OSS) shows 7,266 watchers on the symbol and a feed that is almost uniformly bullish: posts on November 2 and 3 call the ATM "not an emergency lifeline" but an "offensive war chest," argue the company "is not obligated to sell," and predict a squeeze [8]. A [Reddit](https://theinference.org/markets/companies/reddit) hub openly tracks what the program does to the share count [6]. The retail mood and the company's own filing point in opposite directions, and the filing is the one with a signature on it.

## What decides it

The next reading is the fourth quarter: several multimillion-dollar orders are expected to close there, none of the $100 million-plus "transformative" opportunities are in guidance, and collections must normalize [2][3]. While the program is open, the company itself is a registered seller of up to $50 million of its own stock [2][3]. Price sets the terms, and the price keeps falling.

## Takeaway

A genuine beat and two guidance raises sit next to a $50 million ATM over a $122.68 million market cap: One Stop Systems is now a registered seller of up to 41% of itself, and Q4 orders and collections decide whether the guide or the dilution wins.
