# OpenText concedes the AI orchestration layer, its $1 billion of new debt costing 6.70% to 7.15%

> OpenText's new chiefs conceded the AI orchestration layer on October 20 and pivoted to partners and trusted data, weeks after closing $1 billion of 6.70 to 7.15 percent debt. The November 5 print decides whether that trade pays.

At [OpenText](https://theinference.org/markets/companies/opentext) World in Orlando on October 20, chief product and technology officer Shannon Bell drew a line the enterprise AI land grab had been waiting for: "[We are not going to be the enterprise orchestration engine for our clients](https://www.techtarget.com/it-strategy/news/366652538/OpenText-wants-to-orchestrate-its-own-AI-not-run-the-whole-show)" [3]. Last year the Canadian software company pitched its AI Data Platform as exactly that layer. This year it handed the orchestration crown back, and the money behind the retreat says this was a choice made under constraint, not from strength.

## A supplier of substrate, not a stack owner

The new positioning: OpenText supplies the trusted data and context layer that lets AI agents work with governed enterprise information. CEO Ayman Antoun sized the prize himself: only about 20 percent of enterprise information is currently usable in agentic AI workflows [1]. [A September partnership with Cohere](https://www.marketscreener.com/news/opentext-cohere-partner-to-combine-trusted-data-with-agentic-ai-ce785bd2dd8af423), the Toronto sovereign-AI firm, makes the division explicit: OpenText brings data and context, Cohere's North platform brings models and orchestration [8]. Analyst Alan Pelz-Sharpe of Deep Analysis endorsed the retreat: very few winners, easy to promise, a nightmare to deliver [3].

## The pivot runs through partners

Chief sales officer Todd Cione called the mid-market change [a "radical pivot" from direct sales](https://channelbuzz.ca/2026/10/opentexts-todd-cione-on-its-radical-pivot-to-partner-led-mid-market-growth-47774/), which he compared to "a couple rowboats in the Atlantic Ocean," toward regional partners; roughly half of revenue is already partner-influenced, and he wants more [2]. That is a coverage strategy for a company with 120,000 customers, not a land-grab strategy [2].

## The bill for the retreat

Here is the arithmetic nobody joined up. On October 1 OpenText [closed $1 billion of senior secured notes](https://www.ad-hoc-news.de/boerse/news/nebenwerte/opentext-terminiert-den-ersten-quartalsbericht-open-text-aktie-legt-2-13-prozent-zu/70283710): $500 million at 6.70 percent due 2031 and $500 million at 7.15 percent due 2033 [4]. The proceeds redeem $1 billion of 2027 maturities and tender up to $300 million of 2028 notes [4].

So a company guiding core revenue growth of 2 to 3 percent, and core cloud growth of 8 to 10 percent, is paying two to three times its own guided core growth rate for term money [4]. The record behind the pivot: revenue fell more than 10 percent in FY2025 and rose about 1.5 percent in FY2026 under ousted CEO Mark Barrenechea's acquisition playbook, and quarterly revenue has only recently turned positive [3].

## The verdict arrives November 5

Q1 FY2027 results are scheduled for November 5, before the open [4]. Sell-side consensus sits at 3 Buy and 10 Hold with a $30.95 average target on a $5.7 billion market cap [4]. The test is plain: if core cloud lands in the 8-to-10 percent band, the substrate pivot is a real business; if core revenue misses 2 percent, the AI-strategy re-rating earned in Orlando gets repriced [4]. Watch the cloud print, not the keynote. Deep dive below to learn more.

## Takeaway

OpenText handed AI orchestration to partners and repositioned as the trusted data layer, while paying 6.70 to 7.15 percent on $1 billion of new debt against 2 to 3 percent guided core growth. The November 5 print decides whether the substrate trade pays.
