# Ouster's Executives Sold at $34. The Counter-Drone Rally Peaked Near $62.

> Defense headlines carried the lidar maker to a 52-week high on October 13; three sessions later it closed at $28.43. Underneath sit $21.31 million of executive sales, a $191 million share issue and a November 3 report where gross margin, not partnerships, settles who was right.

## The high lasted three sessions

[Ouster](https://theinference.org/markets/companies/ouster) builds digital lidar, the 3D sensors that let machines see, and [on October 13 it announced](https://stocktwits.com/news-articles/markets/equity/oust-stock-52-week-high-ouster-shares-counter-drone-partnership-argus/cZgO3rwReqX) that Germany's ARGUS Interception will fit those sensors to A1-Falke interceptors, drones that capture rogue aircraft with nets rather than shoot them down [1]. The stock opened up more than 22%, hit a 52-week high and rode retail messages running bullish on a name already up 308% in twelve months [1]. The peak did not hold: the one-year range tops out at $62.52, and the October 16 close was $28.43 [2]. [A October 17 technical note called the long-term trend broken](https://www.ainvest.com/news/ouster-blow-rally-broke-long-term-trend-bounce-sale-reclaims-32-2610/) and advised selling any bounce until the stock reclaims about $32 [3].

## What the quarter said underneath

The June quarter beneath the rally printed $55 million of revenue, up 56% year over year, on a record 17,000 sensors, and guided the September quarter to $54.5 million to $57.5 million [4][5]. The fine print leans the other way. GAAP gross margin of 49% carried a one-time refund worth roughly ten points that management does not expect to repeat, which puts underlying margin near 39% [4]. Adjusted EBITDA ran at minus $4 million [4]. One research desk counts trailing free cash flow at minus $57 million on a minus $0.89 result per share, with 10.5% of the float sold short [6].

*Chart: **Revenue up 146% in three years, free cash flow negative in all twelve quarters** Line chart of Ouster's quarterly revenue and free cash flow from Q3 2023 to Q2 2026, showing revenue climbing from about $22 million to about $55 million while free cash flow stays negative every quarter*

*Quarterly revenue and free cash flow in millions of dollars, calendar Q3 2023 through Q2 2026, from Ouster's SEC filings; the annotation marks Q2 2026 gross margin that includes a one-time refund [7]*

## Who sold, and who is holding

The same desk tallies Ouster's entire executive suite selling $21.31 million of stock over 90 days at prices near $34, with zero insider purchases, [ahead of the follow-on that closed on July 6 with $191 million net](https://www.basisreport.com/news/oust-ouster-q2-2026-earnings-fall-6-percent) [6]. The quarter then ended with $263 million of cash, no debt and roughly 72 million shares outstanding, a count up 18.4% this year [4][2]. Insiders banked near $34, the company banked $191 million in July, and the counter-drone crowd paid up to $62. No filing says why they sold, and the ARGUS work carries no disclosed dollar value yet.

## 56% growth is rare, and defense doors are opening

The bull case is real: 56% growth on a $205 million trailing base is rare, chief executive Angus Pacala [told the August call](https://finance.yahoo.com/quote/OUSTZ/earnings/OUSTZ-Q2-2026-earnings_call-660979.html) his company is "yet to have any major misstep on strategy, technology, product mix, or M&A," and the finance chief does not expect to need more capital for the current plan [4]. The Seneca and ARGUS drone deals, the first already flagged on that August call, plus Build America, Buy America compliance, open federally funded and defense revenue [4][8].

## The number that settles it

The September quarter arrives on November 3 [9]. Guidance implies about 2.5% sequential growth with operating expenses up another 5-8%, so the deciding figure is gross margin with the refund gone, followed by the first disclosed size of any Pentagon-facing contract through ARGUS [2][4][6].

*Chart: **Gross margin climbed from 14% to 49% in three years, but Q2's 49% carries a one-time refund** Line chart of Ouster's GAAP gross margin by quarter from Q3 2023 to Q2 2026, rising from about 14 percent to about 49 percent, with a spike to 60 percent in Q4 2025*

*GAAP gross margin as a percent of revenue by calendar quarter, from Ouster's SEC filings. Q2 2026's 49% includes a one-time refund worth roughly ten points that management does not expect to repeat; underlying margin is nearer 39%. [10]*

## Takeaway

A 52-week high that lasted three sessions, $21.31 million of executive sales near $34, a $191 million July raise, and a November 3 report where gross margin, not partnerships, settles who was right.
