# Richtech Robotics now trades below its cash, and the filings explain why

> The Las Vegas robot maker closed October at $0.95, valuing the whole company below the cash on its June balance sheet. Restated accounts and an administrative cost base that outruns the business are what the market is charging for.

[Richtech Robotics](https://theinference.org/markets/companies/richtech-robotics), the Las Vegas maker of delivery, cleaning and cocktail robots listed on Nasdaq as RR, [closed October at $0.95](https://www.cnn.com/markets/stocks/RR) [1]. That values the whole company near $213 million [1]. Its balance sheet at the end of June holds $302 million of cash [2]. A 55-person firm is thus worth less than its bank account, and on this year's record the discount looks reasoned [1][2].

## The headline loss is mostly a write-off

[Fiscal third-quarter revenue rose 17%](https://www.sec.gov/Archives/edgar/data/1963685/000121390026091798/ea0302286-10q_richtech.htm) [2]. Gross margin hit 58.4%; a year earlier it was 36.6% [2]. The quarterly operating loss of $13.3 million made the headlines, but most of it, $9.5 million, is a single charge: the company rebuilt its software stack as what it calls AI-native, decided the legacy platforms had no future service potential, and wrote them off [2].

Operations used just $3.6 million of cash over nine months [2]. Financing, chiefly sales of new shares and warrant exercises, brought in a net $113 million, which is how the bank account got so large [2]. The buyers of those shares built the pile; existing holders paid for it in dilution, with the weighted share count nearly doubling in a year [2]. Pricing this stock off the net loss reads the wrong line.

## Administration outruns the machines

Nine months of general and administrative expense came to $15.5 million [2]. Revenue for the same period was $3.9 million [2]. Research and development, the line a robotics story is supposed to carry, ran $3.1 million [2]. Administration and marketing together cost about five times the revenue they exist to support, and only rental income growing past that overhead changes the arithmetic [2].

## The discount has a source: the reporting record

On January 27 the company announced a collaboration with [Microsoft](https://theinference.org/markets/companies/microsoft) on agentic AI, software meant to plan and carry out tasks with limited supervision, and two days later closed a $38.7 million share placement [1]. Hunterbrook Media, a news website affiliated with a hedge fund, [then reported that Microsoft called the arrangement a standard customer program with no commercial element](https://www.fool.com/investing/2026/07/22/why-richtech-robotics-stock-dived-by-nearly-35-in/); Microsoft neither confirmed nor denied that, and securities class actions followed [3].

## Auditor out, report late, two years withdrawn

In March the company replaced its auditor, and in May Nasdaq flagged a late quarterly report [1]. On June 9 the audit committee [declared that two years of audited accounts and four interim quarters could no longer be relied on](https://www.sec.gov/Archives/edgar/data/1963685/000121390026067978/ea0294562-8k_richtech.htm), citing errors in warrants, in a standby equity purchase agreement (a standing right to sell shares to an investor) and in a December restricted-stock grant [4].

The August quarterly report still calls the control weakness unremediated [2]. The errors sit in the very instruments that raised the cash, and the company says the restatement should not change its cash position [4]. The market's reply is to pay less than face value for money it cannot fully audit.

*Quarter-end cash and cash equivalents, $ millions, from Richtech's SEC filings; December 2025 as restated. Excludes short-term investments, a further $37.6 million at June 2026. The reference line is the quoted market capitalization at the October 30, 2026, close. [2][5][6][1]*

## The robot business itself is improving

Robotics-as-a-service, fixed monthly fees for rented robots plus support, grew to $1.1 million over nine months, nearly triple, while product sales shrank by design [2]. The whole contracted future book is $2.1 million [2]. On September 18 a national retailer [signed a statement of work for 200 DUST-E cleaning robots over five years](https://www.sec.gov/Archives/edgar/data/1963685/000121390026101655/ea0306020-8k_richtech.htm), the deployment shape the rental model needs [7]. A [$12 million buyback authorized on August 25](https://finance.yahoo.com/markets/stocks/articles/richtech-robotics-announces-stock-repurchase-120000227.html) has not stopped the slide; the stock now trades near the bottom of its 52-week range [8][1].

## What would close the gap

H.C. Wainwright, a brokerage, [carries a $6 target on the stock](https://beinsure.com/news/richtech-robotics-stock-price-forecast/), and Freedom Broker, also a brokerage, holds at $2; both numbers were set before October's slide [9]. [The debate over 44 times sales](https://uk.finance.yahoo.com/news/richtech-robotics-rr-slides-further-131157404.html) asks a smaller question than the balance sheet does [10].

Whether or not service robots keep spreading through hotels and retail floors, this discount is not about adoption. It closes on three things a filing can show: a quarterly report that declares the control weakness fixed, an administrative bill brought down toward that rental book, and the 200-robot order showing up as revenue [2][7].

## Takeaway

Richtech Robotics closed October at $0.95, below the $302 million cash on its June balance sheet; restated accounts, an unremediated control weakness and administrative costs five times its $3.9 million nine-month revenue are what the market is charging for, and the discount closes only on evidence in a filing.
