# S&P Global billed 8% more debt but grew ratings fees just 2%; Capital IQ and SNL under review

> S&P Global's ratings franchise billed 8% more debt in Q3, but management's own disclosure shows the ex-hyperscaler core growing only in low single digits, and Q4 transaction revenue is guided down. The same day, the company put Capital IQ, SNL and Visible Alpha under strategic review with buyers circling.

[S&P Global](https://theinference.org/markets/companies/s-and-p-global) stamped the AI buildout's bonds all year, and on October 27 [its third quarter](https://stockanalysis.com/stocks/spgi/transcripts/716933-q3-2026/) showed for the first time what that business is actually worth without them [1][2]. Ratings revenue grew just 2% on billed issuance up 8%, and management's own math did the damage: strip out hyperscaler deals and investment-grade issuance would still have risen about 15%, but total billed issuance only low single digits [1][2].

The protagonist here is [S&P Global Ratings](https://theinference.org/markets/companies/s-p-global-ratings), the fee business run inside S&P Global (NYSE: SPGI) under CEO [Martina Cheung](https://theinference.org/markets/people/martina-cheung). It is the toll booth on AI debt: hyperscaler issuance reached roughly $240 billion year to date, with $250 billion to $300 billion expected for full-year 2026 [1][2].

On a call held the day before the Fed's rate decision, management guided Q4 Ratings transaction revenue down slightly year over year as those comparisons tighten, and Ratings margin contracted about 130 basis points in the quarter [1][2]. At $448.93 a share, near 25 times guided adjusted EPS of $17.70 to $17.95, the stock is pricing that fee pool as durable [2]. The $11 trillion refinancing wall management cites over four years supports the case; a financing cycle management itself expects to slow in Q4 cuts against it [2].

*Chart: **Ratings was S&P Global's slowest division in the quarter of the AI bond boom** Bar chart of S&P Global Q3 2026 year-over-year revenue growth by division: Indices 20%, Market Intelligence 7%, Energy 6%, Ratings 2%*

## Where the growth actually sits

[The counterargument sits in the same release](https://www.tradingkey.com/news/transcripts/262243388-tradingkey). Indices grew 20% with a 71.9% margin and record $6.5 trillion in ETF assets, Energy expanded margin 190 basis points, and discrete AI products added about 50 basis points of growth in both Energy and Kensho Data and Platforms [1][2]. Cheung called those businesses the trust anchors of credit, equities and commodities.

Which is why the strategic review matters more than the quarter. S&P is sounding out buyers for Capital IQ, SNL and Visible Alpha, with nondisclosure agreements already signed and advisers engaged, while keeping RatingsDirect and the lending workflows [1][2]. Management says the earliest meaningful update lands on the February earnings call [1]. Watch what it sells: that is management's own answer to where durable growth lives.

## February guidance decides how narrow the toll booth gets

February guidance, hyperscaler capital spending, and the perimeter of any Capital IQ sale. If the ex-hyperscaler issuance number stays in low single digits into 2027, the toll booth thesis narrows to the refinancing wall alone.

## Takeaway

Ratings grew only 2% on 8% more billed debt; Indices and Energy carry the growth, and the perimeter of any Capital IQ sale, updated on the February call, is the real signal.
