# Salesforce buys Braze for $5.66 billion at 6.8 times revenue and Listen Labs at 67 times sales

> Listen Labs tore up a signed $125 million Series C at $1.5 billion to sell for about $2 billion, about 67 times revenue. The same week Salesforce paid 6.8 times for Braze against a public market near 3 times, and that spread is the whole read on AI software pricing.

Two signed documents tell the story of AI software pricing better than any earnings call. The first is a term sheet: Menlo Ventures [agreed to lead a $125 million Series C](https://www.ababnews.com/news/6e45abaf-8bcb-4864-9722-da3e284d66fe) in [Listen Labs](https://theinference.org/markets/companies/listen-labs), an AI customer-research startup, at a $1.5 billion valuation [2]. The second is the torn-up version of it. Listen Labs walked from its own round when [Salesforce](https://theinference.org/markets/companies/salesforce) appeared with about $2 billion in cash or stock [1][2].

## The torn term sheet set the price

Listen Labs runs AI-moderated video interviews at scale, more than 50 million participants in over 120 languages, and sells the signal into companies like [Microsoft](https://theinference.org/markets/companies/microsoft) and [Alphabet](https://theinference.org/markets/companies/alphabet) [1][2]. Its own job posting says revenue grew 15 times since launch on $100 million of total funding, serving 15 percent of the Fortune 100 [6].

On about $30 million of annual revenue, [$2 billion is roughly 67 times sales](https://theagentwatch.com/en/briefing/2026-10-04.html); Menlo had already priced it at 50 times [1][2]. Selling gave the founders and early investors a check above the signed round price with no dilution and no close risk; closing the round would have locked them at $1.5 billion and left the exit to another day [2].

## The public market sat at half the sale price

The same week put a floor under the comparison. Salesforce agreed to buy [Braze](https://theinference.org/markets/companies/braze), a marketing-engagement platform with $834 million of trailing revenue growing 26 percent, [for $5.66 billion](https://www.saastr.com/5-interesting-learnings-from-braze-at-910-million-in-revenue-a-5-66b-sale-to-salesforce-26-growth-and-operating-expenses-up-just-6/): 6.8 times revenue and a 58 percent premium, after Braze traded at 3.7 times the day before [3]. [HubSpot](https://theinference.org/markets/companies/hubspot) and [Klaviyo](https://theinference.org/markets/companies/klaviyo) sat near 3.1 times, [Adobe](https://theinference.org/markets/companies/adobe) at 3.8, and the public B2B median at 4.5 times forward [3]. A strategic buyer paid roughly double the public multiple for the same software.

*Chart: **One buyer paid 67x revenue for Listen Labs and 6.8x for Braze against a 3x public market** Bar chart of revenue multiples: Listen Labs sold at 67x, Braze at 6.8x, Braze traded at 3.7x, HubSpot and Klaviyo near 3.1x*

*Enterprise value to trailing revenue, per The Agent Watch, ABAB News and SaaStr, October 2026. Listen Labs multiple is on about $30 million of annual revenue; Braze figures on $834 million trailing revenue. [1][2][3]*

## What it means for Salesforce holders

Marketing Cloud's constant-currency revenue declined 1 percent last quarter, and Braze's 10 percent non-GAAP operating margin dilutes Salesforce's 34 percent, which is [why UBS kept Salesforce at Neutral](https://finance.yahoo.com/media-advertising/articles/salesforce-braze-deal-wins-ubs-192000634.html) [4]. Braze itself [drew four downgrades in two days](https://www.benzinga.com/markets/mid-cap/26/10/62496813/salesforce-braze-deal-draws-downgrades-as-analysts-assess-acquisition-value), from BTIG, [Wells Fargo](https://theinference.org/markets/companies/wells-fargo), Oppenheimer and Piper Sandler, all on the same logic: the bid caps the upside [5]. The acquisition pace is now [six announced deals in 2026](https://theinference.org/article/salesforce-paid-3-6-billion-for-fin-and-200-million-of-its-august-guidance-raise-came-from-acquisitions), including Contentful, m3ter, Fin, Listen Labs, Loops and Braze, a bet that distribution, not organic growth, sets the price of AI software [3].

The next read arrives with Salesforce's fiscal third quarter, which closes on October 31 [4]. Two lines decide whether the buying is working: whether Marketing Cloud returns to growth with Braze signed but not yet closed, and how much Braze's 10 percent margin drags on Salesforce's 34 percent before the deal completes in fiscal 2028 [4].

## Takeaway

A strategic buyer is now pricing AI-adjacent software at two to twenty times the public market: Listen Labs sold at 67 times revenue, Braze at 6.8 times against roughly 3 times for its listed peers, and six Salesforce deals in 2026 say distribution, not organic growth, sets the price.
