# Sea Limited signals a Monee IPO and an AI cloud; founder Forrest Li sold $137 million and bought nothing

> Forrest Li's ninth-anniversary email, filed with the SEC today, points the fintech arm Monee toward its own listing and launches Sea Cloud, an AI-first platform for outside customers. Insider filings since June record sales only, led by Li's own $137.3 million block in August.

Nine years ago, Forrest Li stood on the New York Stock Exchange podium convinced he had just won. Today the [Sea Limited](https://theinference.org/markets/companies/sea) founder, chairman and chief executive [filed his anniversary email to staff with the U.S. Securities and Exchange Commission](https://www.sec.gov/Archives/edgar/data/1703399/000119312526425639/0001193125-26-425639-index.htm), calling the bell he rang "not a victory bell, but a starting pistol," and naming what comes next: a public listing for Monee, the fintech arm, and [Sea](https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&CIK=0001703399) Cloud, in-house infrastructure rebuilt to sell AI-first cloud services to outside customers [1].

## Li's email quantifies nine years of growth

The email prices the nine years in three lines. Quarterly revenue: $7.8 billion in the latest quarter, against $94 million in the quarter Sea listed. Shopee's quarterly gross merchandise value, the total of goods sold through the e-commerce marketplace: $38.3 billion, against $1.1 billion. Garena, the gaming arm: 666 million quarterly active users, against 69 million [1]. [The June quarter, Sea's latest reported, booked revenue up 48 percent year on year, with net income of $441 million](https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&CIK=0001703399) [2].

*Chart: **From the 2017 IPO quarter to June 2026: Shopee GMV $1.1B to $38.3B, revenue $94M to $7.8B** Range chart: quarterly revenue from $94 million at IPO to $7.8 billion in the latest quarter; Shopee quarterly GMV from $1.1 billion to $38.3 billion*

*US$ billions per quarter, figures as stated in Forrest Li's October 20, 2026, email filed with the SEC. The $94 million IPO-quarter revenue is plotted as $0.094B to keep one axis; Garena users, 69 million to 666 million, sit in the text. [1]*

## One ticker splits into three

Monee runs mobile wallets, payment processing, credit and banking across eight markets from Singapore to Brazil [3][4]. Li wrote that it is "approaching the point where it can stand on its own two feet," and that going public "could give it the resources and the room to go further and faster than it can today" [1]. The email sets no timetable, venue or size [1].

Sea Cloud is the second split. Around 500 Sailors, Sea's word for its employees, spent two years rebuilding the platform that has run all three businesses for more than a decade into an "AI-first enterprise platform" now offered to outside customers [1]. Both bets draw on a core that produced $1.5 billion of operating cash flow in the June quarter [2].

*Chart: **The core that funds both bets now throws off $1.5B of cash a quarter** Line chart of Sea quarterly operating cash flow against net income from Q3 2023 to Q2 2026, cash flow climbing to $1.5 billion as net income reaches $441 million*

*GAAP figures, US$ billions per quarter, from Sea's SEC filings. Net income crossed break-even in Q2 2024; Q2 2026 operating cash flow of $1.506 billion is the $1.5 billion June quarter. [2]*

*Chart: **Sea's quarterly revenue has climbed from $3.3B to $7.8B in twelve quarters** Line chart of Sea quarterly revenue rising from $3.3 billion in Q3 2023 to $7.8 billion in Q2 2026*

*GAAP revenue, US$ billions per quarter, from Sea's SEC filings. Q2 2026 is the latest reported quarter. [2]*

## Sales only, since June

[Every insider Form 4, the document executives file when they trade their own stock, that Sea has logged since June 23](http://openinsider.com/search?q=SE) records a sale; none records a purchase [5]. That extends [the one-way ledger The Inference detailed on October 17](https://theinference.org/article/analysts-rate-sea-limited-a-buy-at-149-40-its-insiders-sold-538-million-and-bought-nothing). GuruFocus counts $322.7 million of insider sales over three months [6].

Li's is the largest single line: 1,057,650 Class A shares sold on August 11 at $129.81, taking out $137.3 million and cutting his directly held stake by 45 percent [5]. Chief operating officer Ye Gang sold 40,000-share blocks almost weekly through September [5].

## Preset plans explain the timing, not the direction

The defense is real: the sales ran through preset 10b5-1 trading plans, and sellers kept large stakes; general counsel Wang Yanjun, whose plan dates to March 26, still holds more than 1.1 million shares [5][7]. It does not resolve a pattern of sales with no purchases, and [the stock closed at $88.47 on October 19, down 5.65 percent](https://www.sea.com/investor/home), roughly a third below the August sale prices [8].

## A listing filing, first customers, one capex line

A Monee listing filing, when it lands, sets the sum-of-parts question of what the fintech is worth standing alone. Sea Cloud's first outside customers will show whether a decade of in-house infrastructure sells to strangers. The next quarterly report carries the capex line that prices both bets.

## Takeaway

Li's email sets two tests, Monee's listing filing and Sea Cloud's first outside customers; until either lands, every insider filing since June is a sale, led by Li's own $137.3 million August block.
