# Seoul calls Solidigm's up to $150 billion Nasdaq IPO a rule violation; SK hynix's US fabs need two approvals

> South Korea's regulators say the Nasdaq listing meant to finance SK hynix's promised American fabs could break dual-listing rules, days after Reuters tied the same fabs to a China equipment license Washington has not renewed. The expansion premium inside SK hynix's New York-listed shares rests on two approvals neither government has granted.

[SK hynix](https://theinference.org/markets/companies/sk-hynix)'s promised American fabs wait on two signatures the company does not hold, and one of them has just run into a second government. On October 19, 2026, Lee Chan-jin, governor of South Korea's Financial Supervisory Service, [told a parliamentary hearing](https://www.msn.com/en-us/news/other/south-korea-says-solidigms-potential-listing-could-violate-dual-listing-rules/ar-AA2fzb1M) that he and the Financial Services Commission judge a planned Nasdaq listing by Solidigm, SK hynix's U.S. flash-memory unit, a violation of Korea's dual-listing rules [1][2]. Four days earlier, [Reuters tied those factory plans to a China equipment license Washington has not renewed](https://finance.yahoo.com/technology/articles/sk-hynix-seeks-u-chip-040733867.html) [3][4].

## Washington holds the tools that would pay for the fabs

The financing chain runs through Dalian, where SK hynix makes the NAND flash inside the solid-state drives that AI data centers run on [3]. Mod B, an empty section of that plant, was finished in 2023 and never equipped after the memory downturn [3]. Its tools would come from [Lam Research](https://theinference.org/markets/companies/lam-research), [Applied Materials](https://theinference.org/markets/companies/applied-materials) and [KLA](https://theinference.org/markets/companies/kla), and since Washington revoked the exemptions that once covered those shipments, every tool now needs its own license [3].

SK hynix's [one-year Dalian license expires on December 31, 2026](https://menafn.com/1111822121/SK-Hynix-Needs-A-Trump-2027-Deal-To-Expand-Its-Dalian-NAND-Fab), and the Commerce Department has issued no authorization for 2027 [4]. In Asia Times, a Chinese columnist reads the new regime this way: Washington approves tools that keep existing plants running, not tools that expand them [4].

## The other funding leg is a Nasdaq listing

SK hynix told Reuters the Mod B installation is being conducted in close consultation with, and under authorization from, the U.S. government, and that it is not seeking to expand the site's capacity [3]. Nothing in that statement explains how the American fabs get paid.

One Reuters source said added Dalian output would help Solidigm fund the U.S. NAND fab it is weighing in upstate New York, alongside the $4 billion Indiana packaging plant that broke ground in August [3][4][6]. The listing is the other leg: Solidigm, built from [Intel](https://theinference.org/markets/companies/intel)'s NAND business in 2021, has [picked Goldman Sachs and Morgan Stanley to lead a Nasdaq offering next year](https://biz.chosun.com/en/en-it/2026/10/18/NQZGHVLRJJDPDBCAOSSCLY23VY/) at a valuation of up to $150 billion [1][5]. Washington wants the factories and SK hynix wants the tools; each is the other's price.

## Seoul's objection is dilution

Korea tightened its dual-listing rules in July 2026, and a board must now obtain consent from minority shareholders before listing a unit overseas [1]. The worry is dilution. Solidigm brought in about 9% of SK hynix's first-half revenue, and for now everything it earns belongs to the parent [5]. The Financial Services Commission is still awaiting an official interpretation of whether the listing requires a domestic securities registration, and SK hynix says nothing has been finalized [1][5].

## The market has started repricing the plan

[The repricing is already in the tape](https://theinference.org/article/solidigm-s-ipo-ceiling-fell-50-billion-in-three-days-sk-hynix-s-new-us-holders-took-the-hit). SK hynix's shares trade in New York as SKHY, and that listing [closed at $147.55 on October 14](https://finance.yahoo.com/markets/stocks/articles/sk-hynix-stock-plunges-11-023938562.html) [7]. The Seoul shares fell 11 percent the next session [7]. Nearly 15 percent was gone by October 16, a week in which China's [ChangXin Memory Technologies claimed a denser memory cell](https://theinference.org/article/cxmt-targets-4f2-dram-years-ahead-of-samsung-and-naura-collects-the-tool-bill), though [Citi](https://theinference.org/markets/companies/citigroup) does not expect it in mass production before 2028 [8].

## A promise with a year-end deadline

For SKHY holders the two governments are one exposure, because the American expansion is being financed with assets they already own [5]. Solidigm has [signed Ballard Partners, a lobbying firm led by a close Trump ally](https://theinference.org/article/sk-hynix-s-solidigm-hired-trump-s-30-year-acquaintance-for-a-china-fab-license-and-a-150-billion-nasdaq-ipo), to work the Washington side [5]. Watch two dates: the commission's official interpretation in Seoul, and any 2027 Dalian authorization from Commerce before the license lapses on December 31 [1][4]. Until both signatures arrive, the American fabs are a promise with a year-end deadline.

## Takeaway

Solidigm's up-to-$150-billion Nasdaq listing and the 2027 equipment license for SK hynix's Dalian plant each wait on a government that has not signed. Until Seoul's official interpretation and Washington's authorization arrive, the expansion premium in SK hynix's New York shares is a promise with a December 31 deadline.
