# ServiceNow fell 26.9%: its $1.7 billion AI target is arriving as services, not subscriptions

> The company beat its own guidance on October 28 and raised its 2026 AI target to $1.7 billion, then lost 26.9% in a day. The accounts underneath explain why: half the beat was renewals pulled forward, and bundled AI deployment now books as professional services, a line that lost $39 million last quarter.

[ServiceNow](https://theinference.org/markets/companies/servicenow) [beat its own guidance on every top-line and profitability metric](https://finance.yahoo.com/technology/articles/servicenow-reports-third-quarter-2026-201000609.html) on October 28 and raised its 2026 AI contract-value target to $1.7 billion, from $1 billion in January [1][2]. The next day the stock fell 26.9%, its worst since the 2012 IPO [3]. A two-cent miss on earnings per share did not do that [1][3]. What the AI money is made of did.

## A beat borrowed from the fourth quarter

[Gina Mastantuono](https://theinference.org/markets/people/gina-mastantuono), president and chief financial officer, [said about half the third-quarter beat in cRPO](https://finance.yahoo.com/markets/stocks/articles/servicenow-now-q3-2026-earnings-054403139.html), the contracted revenue due within a year, was early renewals pulled forward from the fourth quarter [4]. Fourth-quarter cRPO growth was guided to 18.5% against a 19.8% consensus [1].

Separately, ServiceNow now bundles its own deployment experts into select large AI deals and books their value as professional services rather than subscription revenue: about 25 basis points of third-quarter cRPO, roughly 50 expected in the fourth, which she called the only reason the full beat did not reach guidance [4]. That services line ran a $39 million gross loss last quarter [2].

## The margins moved first

[GAAP gross margin has fallen six quarters in a row](https://theinference.org/article/servicenow-s-two-launches-in-two-weeks-skip-its-2-85-billion-moveworks-buy-gaap-margin-falls-to-4-1), to 70.5% from 77.3% a year earlier, and GAAP operating margin roughly halved, to 9.4% from 16.8% [3][5]. The cost of serving subscription revenue rose 58% in a year, and the $7.75 billion Armis acquisition sits in the balance sheet as new goodwill, intangibles and debt [1][2]. Inside the company the product does what it is sold for: internal AI efficiency gains exceed $1 billion a year and [headcount has slightly declined](https://theinference.org/article/servicenow-cut-214-san-diego-jobs-in-2026-as-gaap-operating-income-fell-55-earnings-october-28), which chairman and CEO [Bill McDermott](https://theinference.org/markets/people/bill-mcdermott) called "a gorgeous situation" [1].

## The same budget, three rivals that week

The bull case is on the record too: AI net-new annual contract value grew 65%, million-dollar AI deals rose 4.5-fold, and the carved-out services value returns to subscription revenue at renewal [4]. The rivals moved within 48 hours of the fall [4].

[OpenAI](https://theinference.org/markets/companies/openai)'s new plugin runs ServiceNow workflows inside ChatGPT, and OpenAI plans to run its own operations on ServiceNow [6]. Sequoia led a $150 million round into Serval at a $3 billion valuation, and Serval says an automaker replaced ServiceNow in 45 days [7][8].

## The fourth-quarter report settles it

[Sierra](https://theinference.org/markets/companies/sierra), the agent company founded by Bret Taylor and Clay Bavor, [added more than $150 million of annual recurring revenue in one quarter](https://sierra.ai/blog/our-customers-ambition-is-accelerating-our-growth), priced on outcomes rather than seats [3][9]. The fourth-quarter report settles it: either the $1.7 billion converts back into subscription revenue at the old margin and re-rates a stock 41.3% below its high, or it keeps arriving as services at 70.5% gross margin, and the multiple was wrong before the fall [3].

## Takeaway

Half the third-quarter beat was renewals pulled forward from Q4, and bundled AI deployment now books as a services line losing money, so the fourth-quarter report decides whether ServiceNow's 26.9% fall was a repricing or a mistake.
