# ServiceNow pays $127 million to keep the executives running its AI layoffs

> Two days before a guidance miss cut the stock by about a quarter, ServiceNow's board approved retention RSUs for its CEO and four deputies, filed in the same quarterly report that shows severance tripling to $167 million and a third layoff round this week. January's backlog print will say whether that bet pays.

[ServiceNow](https://theinference.org/markets/companies/servicenow)'s board just told you who it thinks matters in the AI transition. On October 26, two days before results that knocked about 27 percent off the stock, it approved retention stock worth about $127 million in target value for five senior executives [1][6]. [The same quarterly filing](https://www.sec.gov/Archives/edgar/data/1373715/000137371526000096/now-20260930.htm) shows the people beneath them paying for the pivot: severance costs have more than tripled this year, and this week [a third round of layoffs hit the UK, the US and India](https://www.peoplematters.in/news/strategic-hr/servicenow-layoffs-hit-uk-us-and-india-as-company-restructures-workforce-53222) [2][3][6].

## The awards pay for staying, not for performing

They are not bonuses for performance. They vest 25 percent at the end of 2027, 35 percent in 2028 and 40 percent in 2029, and any unvested part is forfeited if the executive walks [6]. CEO [Bill McDermott](https://theinference.org/markets/people/bill-mcdermott)'s grant is worth $50 million at target, president and COO [Amit Zavery](https://theinference.org/markets/people/amit-zavery)'s $25 million, with the rest spread across [Paul Fipps](https://theinference.org/markets/people/paul-fipps), CFO [Gina Mastantuono](https://theinference.org/markets/people/gina-mastantuono) and people chief Jacqueline Canney [6]. The filing says the board wants to keep this team through "[an exceptionally competitive period for enterprise technology talent](https://www.calcalistech.com/ctechnews/article/11spg64q9)" [1][6].

*Chart: **Five executives share $127 million in retention stock, half of it to the CEO** Bars showing the target value of each executive's retention award: McDermott $50 million, Zavery $25 million, Fipps $22.5 million, Mastantuono $17.75 million, Canney $11.3 million.*

## One filing, two ledgers

Read the two halves of it together and the strategy is clear. The company says AI-driven efficiencies now exceed $1 billion annualized and that it will end 2026 at roughly the headcount it started with, near 30,000 [2][4]. The ledger behind that claim: $167 million of severance in the first nine months against $53 million a year earlier, $153 million of it already paid in cash [3][6]. The executives get retention because they are the ones running the seat-cannibalization transition. Shareholders fund both the severance and the lock-in [1][6].

Investors have their own bet. Sellers read the weak fourth-quarter backlog guide as AI agents shrinking the contract book and cut the stock 35 percent in two weeks; buyers point to [total backlog up 22.5 percent and 98 percent renewals](https://www.trefis.com/stock/now/articles/622933/why-should-servicenow-stock-holders-watch-this-one-number/2026-11-05) [2][5]. The board's $127 million says it sits with the buyers [2][5]. [January's backlog print referees](https://theinference.org/article/servicenow-lost-a-third-of-its-value-on-one-backlog-line-and-january-settles-the-argument), and the awards are struck at a price that only pays the executives if the bulls are right.

## Takeaway

ServiceNow's board locked in five executives with $127 million of retention stock two days before results cut the stock by about a quarter, in a filing that also shows severance tripling to $167 million; January's backlog print settles whether the bet pays.
