# ServiceNow's Decagon denial is a bet that comes due on October 28

> ServiceNow put in writing that it will not buy the AI support-agent company Decagon and sees no major strategic gaps, after announcing more than $11 billion of acquisitions since 2025. Its Q3 report on October 28 puts the next number on the organic AI path that statement bets on.

[ServiceNow](https://theinference.org/markets/companies/servicenow), an enterprise-software maker, has turned the build-versus-buy question into a matter of public record. In a [written statement on October 13](https://www.marketscreener.com/news/servicenow-statement-on-m-a-ce785dd2d888ff27), Amit Zavery, the company's president, chief product officer and chief operating officer, said ServiceNow has "no interest or intention of purchasing [Decagon](https://theinference.org/markets/companies/decagon)," called the takeover reports "misinformation," and reiterated: "we do not see major strategic gaps that require large-scale acquisitions at this time" [1].

The gap claim is the one with money on it. It comes from a company that announced more than $11 billion of acquisitions since 2025 [2], and the check arrives on October 28, when ServiceNow [reports third-quarter results](https://stocktwits.com/news-articles/markets/equity/service-now-denies-decagon-acquisition-interest-analyst-says-investors-wary-after-now-s-m-and-a-spree/cZxfLGiRBpX) [2].

## The word misinformation is doing less work than it sounds

Business Insider reported that Decagon, last valued at $4.5 billion, [hired a bank to evaluate acquisition interest](https://www.businessinsider.com/ai-agent-company-decagon-hired-investment-bank-acquisition-interest-2026-10) after early talks with ServiceNow and other suitors; a ServiceNow spokesperson told the outlet the talks are "not ongoing" [3]. That is a denial of intent going forward, not a retraction of the talks.

Jefferies analyst Samad Samana called the stock's dip unsurprising after the spending spree, in the same note arguing Decagon would strengthen ServiceNow's customer service management, a business the company calls a growth engine [2]. Decagon, cash-rich after a January round that tripled its valuation [4], is, on that record, under no obvious pressure to sell.

## The organic path already has a meter

What the statement bets on is already measured in public. [AI annual contract value crossed $1 billion in the second quarter](https://www.msn.com/en-us/news/other/servicenow-ai-revenue-crosses-1b-as-non-seat-deals-hit-50-of-new-business/ar-AA2b3Q1o), and half of net-new business was priced on work completed rather than seats [5] [7]. That shift answers February's software selloff, when investors feared agents would kill per-seat licensing; as chief financial officer Gina Mastantuono put it, "customers aren't paying us for tokens, they're paying for resolutions" [5].

Chief executive [Bill McDermott](https://theinference.org/markets/people/bill-mcdermott) has repeated a $1.5 billion AI contract-value target for year-end [4]. BNP Paribas, [upgrading the stock with a $160 target](https://www.tradingview.com/news/tradingview:29b0a15187ca6:0-key-facts-servicenow-inc-160-target-q3-oct-28-ai-security-rise/), models AI near 9% of annual recurring revenue by then, on organic subscription growth near 19% [6].

## October 28 prices the denial

Consensus puts Q3 revenue near $4.09 billion, with Oppenheimer expecting a modest beat and federal spending still soft [2] [6]. The cost of the buying path is already booked: amortization from the Armis and Veza deals roughly halved second-quarter operating income under GAAP, the standard US accounting rules [5].

If the AI meter keeps climbing, the denial reads as discipline and the internal build earns the reward for closing the agent gap. If it stalls, the same sentence gets reread as a price refusal, while other buyers chase Decagon at a premium to its last mark, in a year [Nvidia](https://theinference.org/markets/companies/nvidia) paid $12.9 billion for Hugging Face, an AI-tools startup [3].

What to watch on October 28 is the AI contract-value line: it will show whether building the agent stack is cheaper than buying it.

## Takeaway

ServiceNow's written denial of interest in Decagon bets its organic AI build can close any strategic gap itself; the AI contract-value line in the October 28 report will price that bet.
