# ServiceNow's two launches in two weeks skip its $2.85 billion Moveworks buy; GAAP margin falls to 4.1%

> The October 15 EmployeeWorks release names Moveworks, the $2.85 billion acquisition beneath it, zero times, and only one briefing credits the deal. Results on October 28 will test whether the bought code is shipping or being built over.

On October 15 [ServiceNow](https://theinference.org/markets/companies/servicenow) announced "major advances" to EmployeeWorks: no-code Productivity Assistants, background Productivity Routines, a Conversations API that carries them into other applications, and ToolSmith, a developer environment trained on more than 75,000 APIs that lets developers "vibe code enterprise-grade AI tools in minutes" [1]. All of it ships in controlled availability [1].

The release names [Moveworks](https://theinference.org/markets/companies/moveworks) zero times, the second ServiceNow launch in two weeks to do so, after [the October 1 Flow release](https://theinference.org/article/servicenow-built-a-new-front-door-in-three-months-and-the-2-85-billion-one-went-unmentioned) [2]. Moveworks is the employee AI assistant ServiceNow bought for $2.85 billion in cash and stock, closed on December 16, 2025, and folded into EmployeeWorks and Otto, ServiceNow's enterprise-only AI experience [2]. Only [diginomica](https://diginomica.com/servicenow-announces-ai-passport-bringing-authorization-business-context-and-kill-switch-together)'s briefing credits the acquisition as what underpins the line [3].

## Holders have sold every buy, and the margin shows it

ServiceNow shares fell about 8 percent when the Moveworks deal was announced, and 12 percent on Armis, the cybersecurity firm it agreed to buy for $7.75 billion in cash in December 2025, a deal that closed in April 2026 [4][5]. The run of acquisitions since 2025 now exceeds $11 billion in aggregate [4].

The quiet line underneath is [GAAP operating income](https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&CIK=0001373715): $162 million in the June 2026 quarter against $358 million a year earlier, a margin of 4.1 percent against 11.1, while revenue grew 24 percent to $3.99 billion [6].

## A denial against a gap Jefferies still prices

On October 13 Business Insider reported that [Decagon](https://theinference.org/markets/companies/decagon), a customer-support AI startup valued at $4.5 billion in a January funding round and past $100 million in annual recurring revenue, [had hired a bank and held early talks with buyers including ServiceNow](https://www.pymnts.com/news/acquiring/2026/servicenow-denies-reports-of-takeover-interest-in-ai-agent-startup-decagon/) [4][7]. [Amit Zavery](https://theinference.org/markets/people/amit-zavery), ServiceNow's president, chief product officer and chief operating officer, denied it the same day: the company has "[no interest or intention of purchasing Decagon](https://www.marketscreener.com/news/servicenow-statement-on-m-a-ce785dd2d888ff27)" and sees "no major strategic gaps that require large-scale acquisitions at this time" [8].

[Jefferies](https://theinference.org/markets/companies/jefferies) kept its buy rating and $140 target anyway, arguing that Decagon's ready-to-deploy agents would strengthen customer service management, where ServiceNow already books more than $2 billion in annual contract value and [Salesforce](https://theinference.org/markets/companies/salesforce) has bought the support-AI company Fin [4]. The broker puts Decagon's valuation at roughly 45 times its revenue [4].

## What October 28 settles

The shares rose about 5 percent by midday after the denial and [closed up 6.1 percent at $148.57](https://finance.yahoo.com/markets/stocks/articles/servicenow-climbs-5-denying-decagon-165800936.html) on release day, October 15 [9][10]. Seven brokers lifted price targets to between $165 and $190 across the week [10]. [Third-quarter results land on October 28](https://www.marketscreener.com/news/servicenow-introduces-the-third-generation-of-its-employee-centric-ai-harness-so-the-workforce-can-b-ce785dd3dc8ff227) [10]. Watch two lines: whether GAAP operating income climbs out of the trough that followed the deals, and whether management can say Moveworks in the same sentence as what shipped. Two launches in two weeks, and the $2.85 billion name appears in neither.

## Takeaway

Two ServiceNow launches in two weeks name Moveworks zero times, and GAAP operating margin has fallen from 11.1 percent to 4.1 since the deals began; October 28 results will show whether the bought code is shipping or being built over.
