# ServiceNow said no to buying Decagon and got paid 5% for the answer

> Decagon hired a bank to sell at a $4.5 billion mark, and the buyer its report named said no on the record. ServiceNow shares jumped 5% on the denial and Salesforce gained 4%: the platforms got paid to promise they will build AI agents rather than buy them.

[Decagon](https://theinference.org/markets/companies/decagon), the AI customer-service agent maker founded in July 2023 by Jesse Zhang and Ashwin Sreenivas, has [hired a bank to evaluate acquisition interest](https://theinference.org/article/decagon-hires-a-bank-and-the-takeout-math-starts-near-13-billion) after [early talks with ServiceNow and other companies](https://b17news.com/ai-agent-company-decagon-has-held-early-ma-talks-and-hired-a-banker/) [1]. A [ServiceNow](https://theinference.org/markets/companies/servicenow) spokesperson says those talks are not ongoing [1], and President [Amit Zavery](https://theinference.org/markets/people/amit-zavery) [went further on the record on October 13](https://www.pymnts.com/news/acquiring/2026/servicenow-denies-reports-of-takeover-interest-in-ai-agent-startup-decagon/): "To be clear, ServiceNow has no interest or intention of purchasing Decagon," adding that the company sees no "major strategic gaps that require large-scale acquisitions" [2].

## The two-day tape paid ServiceNow to refuse

ServiceNow shares fell 1.22% to $138.61 on October 13, the day the sale report landed [3]. After the denial they [climbed 5% to $146.93 on October 15](https://finance.yahoo.com/markets/stocks/articles/servicenow-climbs-5-denying-decagon-165800936.html), [Salesforce](https://theinference.org/markets/companies/salesforce) gained 4% to $245.39, and [Palantir](https://theinference.org/markets/companies/palantir) dipped 0.9% while the software fund IGV rose just 0.9% against a falling Nasdaq [4]. The market paid the platforms to promise they will build agents instead of buying them.

## The exits that closed were struck by other buyers

[Nvidia](https://theinference.org/markets/companies/nvidia) agreed in August to [pay $12.9 billion for Hugging Face](https://techcrunch.com/2026/08/26/nvidia-closes-in-on-hugging-face-acquisition/), a company earning roughly $150 million a year [5]. [Stripe](https://theinference.org/markets/companies/stripe) agreed to [pay more than $8 billion for OpenRouter](https://www.forbes.com/sites/janakirammsv/2026/08/19/stripe-bets-over-8-billion-on-openrouters-ai-model-traffic/) [6]. Decagon's January mark of $4.5 billion, set when it raised $250 million, stood at about 45 times its $100 million August revenue run rate [1][2]. Its backers, Andreessen Horowitz, Index Ventures, Bain Capital Ventures and Accel across more than $400 million raised, have now lost their anchor bidder [1]. Sierra, run by former Salesforce co-CEO Bret Taylor, is marked at $15.8 billion [7].

*Chart: **Decagon's $4.5B mark sits under every AI exit around it** Bar chart ranking four AI company price marks: Decagon at $4.5 billion, OpenRouter at $8 billion, Hugging Face at $12.9 billion and Sierra at $15.8 billion.*

*Agreed deal prices for OpenRouter (Stripe) and Hugging Face (Nvidia); last announced private valuations for Decagon and Sierra. Billions of US dollars. [1][5][6][7]*

## Buying has already cost ServiceNow its margins

The company has announced more than $11 billion of acquisitions since 2025: Armis at $7.75 billion, [Moveworks](https://theinference.org/markets/companies/moveworks) at $2.85 billion, Veza at $1.25 billion, Logik.io at $506 million [3]. Its shares were punished for Armis and have since rebounded 55% in six months [1]. The June quarter shows the strain: revenue rose 24% to $3.99 billion while operating income fell 55% to $162 million [8].

*Chart: **The organic engine still turns: revenue up 24% in the June quarter** Column chart of ServiceNow quarterly revenue from Q3 2024 to Q2 2026, rising from $2.8 billion to $4 billion.*

*ServiceNow quarterly revenue, calendar quarters, US billions, from its SEC filings. Consensus for the October 28 report is $4.09 billion. [8]*

## The denial is a stance, not the end of the process

[Jefferies](https://theinference.org/markets/companies/jefferies) kept its Buy rating and $140 target, and analyst Samad Samana noted Decagon would strengthen ServiceNow's customer-service management line [3]. ServiceNow already ships its own agent tools, including Now Assist and AI Control Tower [4]. The sale process carried other early talks, and if none lands, Decagon raises a new round instead [1].

## The print that prices the promise

ServiceNow reports third-quarter results on October 28, with consensus at $4.09 billion of revenue, up 20%, and $1.02 of adjusted profit per share [3]. The 5% day has already been paid for the promise; the quarter has to fund it. Sierra's $15.8 billion mark is the next one waiting for a buyer.

## Takeaway

ServiceNow's on-record refusal to buy Decagon lifted its shares 5% while Salesforce gained 4%: the market paid the platforms to build AI agents rather than buy them, and the October 28 print now has to fund that promise.
