# ServiceTitan shares fell nearly 30% after it said Max AI contracts often go unbilled in the first quarter

> ServiceTitan disclosed that it typically does not bill subscription fees for the first quarter of an upsell Max AI contract, and the shares lost nearly a third of their value in September. The securities-fraud investigation that followed is still recruiting investors while the company keeps shipping; the open question is who pays for the switch.

[ServiceTitan](https://theinference.org/markets/companies/servicetitan)'s September earnings report caught up with it this week, even as the company kept shipping. On October 13 the Los Angeles company, whose software runs trade businesses from plumbing to pest control, [launched a product for enterprise pest, lawn and pool operators](https://www.stocktitan.net/news/TTAN/service-titan-launches-property-care-for-enterprise-pest-control-gfvbkl3vu9e9.html) [7]. In the same week, a securities-fraud investigation opened in late September by the shareholders'-rights law firm Pomerantz LLP was still recruiting investors [2][9]. The question underneath is who carries the cost of installing AI in a small trades business.

## The unbilled first quarter did the damage

The damage came from one paragraph in [the fiscal second-quarter report, dated September 8](https://www.morningstar.com/news/pr-newswire/20260917sf50725/servicetitan-nasdaq-ttan-scrutinized-over-surprise-revenue-timing-and-other-issues-driving-stock-down-30-hbss) [3]. [Revenue rose 21% to $292.8 million](https://pulse2.com/servicetitan-q2-revenue-rises-21-to-292-8-million-as-agentic-ai-adoption-expands/), and free cash flow rose to $50.5 million [1]. Alongside those numbers, [ServiceTitan](https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&CIK=0001638826) disclosed that Max, its package of AI agents layered onto a contractor's back office, requires substantial change management, and that it typically does not bill subscription fees for the first quarter of an upsell Max contract [2]. The shares fell nearly 30% the next day [3].

The stated cost is small: a $2–3 million subscription-revenue timing headwind for the rest of the fiscal year [3], set against full-year revenue guidance of $1.14 billion [1]. That proportion says the drop was about trust, not arithmetic. In June, management had told investors it was "automating customer onboarding" [3]; Pomerantz, and fellow shareholders'-rights firm Hagens Berman, are now investigating whether that June assurance sat too far from the September disclosure [2][3].

## Contractor demand held, and the bulls held with it

Demand, on the company's own data, is not the problem. ServiceTitan doubled its Max locations last quarter, beating its own target, and expects more than 700 enrolled by fiscal year end [1]. Aspire, its landscape-software subsidiary, [surveyed 1,020 commercial landscape operators](https://www.stocktitan.net/news/TTAN/aspire-report-finds-commercial-landscapers-prioritizing-growth-as-njabhnsp42qz.html): nearly half already use AI in some form, and more than half plan bigger AI budgets [4].

The research firms held too. At Pantheon, ServiceTitan's annual user conference in Orlando in early October, it [opened Max to every residential in-home contractor](https://www.tradingview.com/news/tradingview:b080e95302681:0-weekly-recap-cowen-100-target-and-ai-max-rollout-to-residential-contractors/) and added cheaper on-ramp tiers, Field AI and Demand AI, for customers not ready for the full package [5][6]. TD Cowen, a stock-research firm whose Buy rating means it expects the shares to rise, reiterated at $100, about 45% above the October 6 close [5]. BTIG, another research firm, stayed at $110 and called the AI opportunity "incrementally exciting" [6].

## Shareholders are financing the onboarding now

Skipping the first quarter of billing moves the cost of installing Max from the contractor's invoice to ServiceTitan's shareholders, in exchange for contracts that ramp to full value over their first year [2][3]. Installing AI in a trades firm is real work: rewiring how it books, dispatches and bills, then training crews on the new system. Whoever funds that work, and does it well, has earned the recurring revenue that follows.

What no one can price yet is conversion: whether enrolled Max locations become billed contracts. [The investigations](https://theinference.org/article/four-law-firms-probe-servicetitan-s-max-pivot-as-insiders-logged-93-sales-and-zero-buys-q3-ends-october-31) will test what management knew in June about how long onboarding really takes [3]. Until ServiceTitan reports how many Max locations are actually being billed, the stock trades on the credibility of its disclosures; that billed count is the number to watch.

## Takeaway

Skip-billing the first quarter of Max upsells shifted onboarding costs onto shareholders and cost the stock nearly a third of its value; the number to watch is how many enrolled Max locations actually become billed contracts.
