# Silver Lake sold $70.8 million of Dell without a trading plan, five days before Barclays cut the stock

> Five Silver Lake funds converted Dell stock and sold it the same day in early October, two of them down to zero, with no Rule 10b5-1 plan checked on any filing. Dell's private-equity owner of 13 years still holds about $24 billion of the stock.

## Two Silver Lake funds sold their last Dell shares

On October 9, Silver Lake Technology Investors IV sold the last of its tradable [Dell](https://theinference.org/markets/companies/dell-technologies) stock: 996 shares in seventeen tranches priced from $572.87 to $589.28, ending the day at zero [1]. Sister fund Technology Investors V emptied its final 450 the same session [2]. Three larger vehicles of the private-equity firm that has owned Dell beside founder Michael Dell since 2013 sold alongside [3][4][5]. [All five filed as director and 10% owner](https://www.sec.gov/Archives/edgar/data/1571996/000119312526421730/0001193125-26-421730-index.htm), naming Egon Durban, Silver Lake Group's chief executive and a Dell director [3].

## $70.8 million out, $24 billion still held

The funds converted 171,591 Class B shares, unlisted stock that turns into tradable Class C one-for-one, and sold 121,802 of them the same day for a combined $70.8 million at the amounts stated in the filings [1][2][3][4][5]. [None of the five forms checks the box marking sales under a Rule 10b5-1 trading plan](https://www.sec.gov/Archives/edgar/data/1571996/000119312526421726/0001193125-26-421726-index.htm), the prescheduled-trading defense insiders rely on [1][2][3][4][5]. The funds still hold about 41.2 million Class B shares, worth roughly $24 billion at the prices they just sold at, by the filings' own counts [1][2][3][4][5].

## The sales landed as Barclays questioned the AI story

Dell [booked $60.9 billion of AI-server orders in its fiscal second quarter](https://247wallst.com/investing/2026/09/02/dells-record-60-9-billion-ai-order-quarter-leaves-stock-investors-unimpressed-heres-why/) and ended it with a $95 billion backlog; the stock was already up about 241% for the year on September 2 [6]. On October 14, the day the filings hit EDGAR, the SEC's public filing database, Barclays cut Dell to Equal Weight at a $574 target, inside the band Silver Lake sold at five days earlier [7]. "[Valuations have run, commodity costs have helped revenues, and we don't see a meaningful AI inflection yet](https://finance.yahoo.com/markets/stocks/articles/dell-leads-tech-selloff-barclays-180414599.html)," analyst Tim Long wrote [7].

Dell fell about 11% [7], six days after [IDC's preliminary count put its PC shipments down 25%](https://wccftech.com/pc-shipments-dropped-by-a-whopping-20-1-in-q3-2026/) [8]. Barclays's argument is that Dell's growth reflects higher selling prices offsetting rising memory costs, not lasting unit demand [7]. Silver Lake [bought Dell at $13.88 a share in 2013](https://en.wikipedia.org/wiki/Dell); on October 9 the public paid it $582 [3][9].

## The sale is small and the motive is not stated

Reading the sales as doubt about AI-server demand runs into arithmetic: $70.8 million is about 0.3% of the stake, Durban keeps his board seat, and Michael Dell holds 58.9% of the company [10]. The filings also record in-kind share distributions to Silver Lake staff, Durban included, fund plumbing that pairs naturally with cash sales [3]. The forms state no reason for selling, and the unchecked box records only that no prescheduled plan was in place.

The sector's next reading arrives Thursday, October 15: [TSMC](https://theinference.org/markets/companies/tsmc), the contract manufacturer at the base of the AI hardware chain, [reports with third-quarter sales already up 50%](https://finance.yahoo.com/markets/stocks/articles/tsmc-q3-earnings-preview-65-070552524.html) [11]. Its margins and spending plans are the next evidence on whether AI hardware growth is demand or price [11]. After that, watch Silver Lake's Class B conversions: each sale requires one first.

## Takeaway

Five Silver Lake funds converted and sold $70.8 million of Dell in one session with no Rule 10b5-1 plan checked on any filing, but that is about 0.3% of a roughly $24 billion stake, the forms state no motive, and TSMC's Thursday report is the next evidence on AI hardware demand.
